Employment Agreement

Dear Sachin,

Noon E Commerce Owned by Noon AD Holdings One Person Company L.L.C. (the "Company"), a company
incorporated and registered in Dubai, and operating under trade licence number 764928, of PO Box 126251, United
Arab Emirates ("UAE"), is pleased to offer you employment on and subject to the following Employment
Particulars and the General Terms and Conditions (collectively the "Agreement")

Sachin Nallanhi, an Indian national, holder of passport no. TBC.

Monthly Remuneration Details (in AED)


Basic Salary: 1,755
Allowances: 945

Total Gross Salary: 2,700

The Total Remuneration inclusive of basic salary and allowances as detailed above shall be payable at the end of
every month [by bank credit transfer].

Medical Insurance: The Company shall provide medical cover for the Employee, in line with the
Company’s policy as amended from time to time by the Company at its sole discretion.
Annual Leave: In addition to the public holidays declared by the UAE government for private sector,
the Employee shall be entitled to 26 working days' paid holiday in each complete year
that runs from 1 January to 31 December. For employment beginning during the year,
the leave shall be calculated on pro rata basis.
Leave Travel Allowance: On completion of one year of service and annually thereafter, the Employee will
receive an amount equal to one Economy Class return air tickets between Dubai, UAE
and India for self.
Notice Period: After completion of the Probation Period and confirmation of the Employee, this
agreement can be terminated by either the Company or the Employee by giving one (1)
month’s written notice.

Working Hours: The Employee’s work hours will be in line with the UAE Labour Law provision and
may change from time to time by the Company at its sole discretion. Such changes will
be communicated to Employee by Employee’s Line Manager.

In case of termination of this Agreement, any amounts due to the Company from the Employee shall be deducted
from his/her end of service entitlements.

Your employment with the Company will be governed by the General Terms and Conditions of Employment as
detailed in the following pages of this Agreement. Your employment is also conditional upon obtaining satisfactory
clearances, references in due course and availability of an Employment Visa.

The Company may, at its sole discretion, process your Employment Visa under the Company or any of its affiliate
companies.

The Company reserves the right to retract the offer and cancel this Agreement at its sole discretion, at any time prior
to the Commencement Date, without any justification or liability whatsoever, and without the need for any legal
proceedings or court order, and the Employee will not be entitled to any payment or compensation whatsoever as a
result of such cancelation of the Agreement.

General Terms and Conditions

1. COMMENCEMENT DATE:
Employment will commence on the Commencement Date provided that the Employee attends to work on that date
and shall continue for an unlimited period until terminated in accordance with the terms of this Agreement.
Alternatively, the Commencement Date of this Agreement shall be the first day of attendance of the Employee to
work.
2. PROBATION PERIOD:
During the period of probation, this Agreement can be terminated without any notice and without assigning any
reasons by either the Company or the Employee. However, the formalities of submitting a formal letter of
termination/resignation and obtaining a "No-dues Certificate" from all concerned departments shall have to be
complied with before leaving the Company.
3. NOTICE AND TERMINATION:

(i) After completion of the probation period, this agreement is terminable by either the Company or the
Employee by giving one (1) month’s salary in lieu of notice. In the event the Employee terminates this
Agreement without providing the Company with at least one (1) month’s written notice, the Company
reserves the right to withhold the salary in lieu of the notice period.

(ii) If Employee is in gross default, negligence, misconduct, breach of this Agreement or any act which is
detrimental to the interests of the Company, the Company, with immediate effect, may terminate this
Agreement without notice or payment in lieu of notice or any other form of compensation. (Article
120 or Article 139 of UAE Labour Law No.8 of 1980).

4. OBLIGATIONS ON TERMINATION:
On termination of this Agreement (howsoever arising) or earlier if requested by the Company, Employee shall:

(i) immediately deliver all property belonging to any Group Company or relating to any Group
Company's business which is in Employee’s possession or control;
(ii) having first forwarded a copy to the Company, irretrievably delete any information relating
to the business of any Group Company in Employee’s possession or under Employee’s
control; and
(iii) if requested by the Company, provide a signed statement that the Employee has complied
fully with his/her obligations under this clause.
Any amounts due to Company from Employee shall be deducted from his/her service entitlements.

5. CONFIDENTIALITY:
Employee hereby irrevocably agree that during the course of his/her employment, and for an indefinite period
thereafter, Employee shall not, other than in the course of fulfilling his/her obligations as an employee or as
required by law, disclose or divulge any Confidential Information (as defined below) to any third party; use or
exploit any Confidential Information for his/her own purposes or those of any third party; make any copy,
record or memorandum (whether or not in writing or in electronic format) of any Confidential Information;
publish or disclose on any social media portals and websites any information of any kind pertaining to or
connected with the Company and/or the Group (regardless if such information is Confidential Information or
not) without Company’s written permission; or make any adverse or derogatory comments about the Group.
Company or any of their former or existing clients, consultants, directors, employees, officers, shareholders,
suppliers or agents.

Employee should keep his/her salary confidential and will not disclose the same to anyone inside or outside the
organisation.

Confidential Information means any information relating to the business, products, affairs and finances of
any Group Company for the time being confidential to any Group Company and trade secrets including without
limitation technical data and know-how relating to the business of any Group Company or any business contact
of any Group Company.

6. POLICIES AND PROCEDURES:


Employee is required at all times to comply with the Company’s internal policies and procedures, including
applicable health and safety policies, as may be amended from time to time by the Company at its sole
discretion.

In the event the Employee is required to work on premises under which the Company operates a security policy,
such as a physical search policy or biometric entrance and exit, the Employee agrees to comply with such
security measures in order to protect the legitimate interests of the Company.

Other terms and conditions of employment which are not covered by this Agreement shall be subject to the
Company’s policies as may be amended from time to time and the applicable laws.

7. TAX:
Any income tax levied in the UAE and/or in the country of nationality or birth of the Employee in respect of
the Employee’s salary, allowances and other benefits under this Agreement shall be exclusively borne by the
Employee.

8. MISCELLANEOUS:
This Agreement together with any documents referred to in it constitute the entire agreement between
Employee and the Company. No variation of this Agreement shall be valid unless it is in writing and signed by
Employee and the Company.

9. GOVERNING LAW:
This Employment Agreement shall be governed by and be construed in accordance with the laws of the United
Arab Emirates, as applicable in the Emirate of Dubai and the Dubai Courts shall have exclusive jurisdiction
over disputes arising out of and/or relating to his/her employment.
In this Agreement, Labour Law refers to UAE Federal Law No. 8 of 1980, as amended.

10. SEVERABILITY:
If it is determined that in any legal proceedings any part of this Agreement is invalid or unenforceable it will
be deemed to be severed from the remainder of this Agreement for the purpose only of the particular proceeding.
This Agreement will, in every other respect, continue in full force and effect.
If any provision or part of a provision of this Agreement shall be or become void or unenforceable for any
reason, this shall not affect the validity of that provision or any remaining provisions of this Agreement in this
or any other jurisdiction and the provision may be severable and if any provision would be treated as valid and
effective if part of the wording was deleted, it shall apply with such modifications as necessary to make it valid
and effective.

11. INTELLECTUAL PROPERTY:


Employee hereby assigns to the Company all rights, title, and interest, including, without limitation, copyrights,
patents, trade secret rights, and other intellectual property rights associated with any ideas, concepts,
techniques, inventions, processes, works of authorship, or confidential information:
(i) developed or created by the Employee, solely or jointly with others, during the course of performing
work for or on behalf of the Company or any affiliate of the Company

(ii) that the Employee conceives, develops, discovers or makes in whole or in part during the Employees
employment by the Company that relate to the business of the Company or any affiliate of the
Company

(iii) that the Employee conceives, develops, discovers or makes in whole or in part during or after the
Employees employment by the Company that are made through the use of any of the equipment,
facilities, supplies, trade secrets or time of the Company or any affiliate of the Company, or that result
from any work the Employee performs for the Company or any affiliate of the Company.

At the request of the Company, whether made during or after the termination of the Employee's employment,
the Employee agrees to execute all documents necessary for the filing of applications for a trademark, patent
or any other registration, both UAE and foreign, of the matters referred to in this clause.

12. NON-COMPETE:
The Employee shall not (without the prior written consent of the Company) during the term of this Agreement
and at any time within 12 months following termination of this Agreement, in any manner, directly or indirectly,
either individually or in conjunction with others or in any other manner whatsoever, within the UAE, carry on
or be engaged in or be concerned with or interested in or advise any person or persons, firm, association,
syndicate, company or corporation engaged in or concerned with or interested in a business similar to the
business being carried on by the Company presently and/or at the time of the termination of the Employee's
employment. Any violation of this clause while employed by the Company shall be cause for termination
without notice or payment in lieu of notice.
This Clause shall survive the termination of this Agreement and the termination of the Employee's employment.

13. NON-SOLICITATION:
The Employee agrees that he/she shall not, at any time during the term of [his/her] employment or within 12
months following the termination of [his/her] employment, either directly or indirectly, individually or in
conjunction with any other person or in any manner whatsoever within the UAE, solicit any of the Company's
customers or persons whom the Company was soliciting as customers at the time of the termination of the
Employee's employment hereunder. Solicitation while employed by the Company shall be cause for termination
without notice or payment in lieu of notice.
The Employee agrees that he/she shall not, during the term of [his/her] employment or within one year
following the termination of [his/her] employment, either directly or indirectly, individually or in conjunction
with any other person or any manner whatsoever within the UAE, entice or try to entice away any employee of
the Company. Any violation of this clause while employed by the Company shall be cause for termination
without notice or payment in lieu of notice.

This clause shall survive the termination of this Contract and the termination of Employee's employment.

5. I should always act in the best interest of the Company and not permit my personal or my Family Members’
interests or any other interests to interfere with my performance of my duties to the best interest of the
Company or use my position with the Company to obtain gain or benefits for myself or to any of my Family
Members (other than the salary/remuneration lawfully received from the Company pursuant to my

8. This Non-Conflict of Interest Statement is supplemental to my employment agreement with the Company.
All the terms and conditions of the aforesaid employment agreement and my covenants and obligations
thereunder shall remain in full force and effect. Any breach by me of any of my covenants and obligations
under this Non-Conflict of Interest Statement shall be considered as a breach to my employment agreement
with the Company.
