Subject: - Letter of Intent for Application Number- MCD-2023-1678-ZA.

Letter of intent proposed to Mr. Neeraj Saxena as a franchisee of McDonald’s India under license of
Satellite Locations: (AKA Medium Store) at the Franchisee address- 69, Krishna Vihar Colony, Near B.S.A
Engg. College, Krishna Nagar Mathura, Uttar Pradesh-- 281004

Dear Mr. Neeraj Saxena,

We refer to your application no. MCD-2023-1678-ZA for the award of Mr. Neeraj Saxena as a franchisee
of McDonald’s India under license of Satellite Locations: (AKA Medium Store) at the above franchisee
location, with following terms and conditions: -

You need to arrange a suitable piece of land/shop admeasuring 25-35 foot (Frontage) X 40-40 foot
(Depth) as indicated by you in the application for the development of the subject outlet, or if it has
routed to McDonald’s just relax, teams are working on this for site of your restaurant.
As and when advised by company, this site offered by you would be duly developed up to the road level
by cutting/filling (as applicable) with good earth/murrum, layer wise compacted as per standard
engineering practices. You shall also construct necessary retaining wall and compound of 1.5-meter
height. Designed as per site conditions as per approval of company as committed. Subsequently, the land
would be required to be transferred on lease for a minimum period of 08 years with renewable option at
rentals (if applicable in case it is your own property also than company will do the agreement with you)
please note that in case the site as offered by you is not made available for lease/purchase as per advice
of the company, this Letter of Intent will be withdrawn without any further notice.

Westlife Foodworld Limited will help you to develop the Restaurant in Mathura, Uttar Pradesh-281004,
and the business site to be taken on lease/rent by Westlife Foodworld Limited. with your preference for
franchise operating McDonald’s Restaurant with appropriate structure, outlet. Additional facilities
company will do the site interior & exterior work (site specific) may also be developed by franchisee on
its sole discretion such as Canopy, changes on outlet or any other facility as may be decided by Westlife
Foodworld Limited from time to time.

For the additional facilities that must be provided by the corporation as aforesaid, Westlife Foodworld
Limited will initiate the License after completion of NOC from government authorities for smooth
operation, so that company can start the further process like- Site Agreement, Advertisement, Interior or
exterior work at finalized site.

The company will not be held liable for any loss or damage on account of delay that may be caused in
providing you the facilities mentioned above, whatever may be the cause of the failure of delay.

As per company process you will need to invest according to franchise model approximately need to
invest in amount is as described. As you have been selected under license of Satellite Locations: (AKA
Medium Store), so need to invest as described.

For enabling you to operate the franchise, working capital, as may be determined by the company at its
sole discretion to be utilized only for the purpose of taking delivery.

You shall not induct any partner in case of individual (s) or making changes in the constitution of the
partners as existing at the time of application, except your spouse as per terms and conditions of the
OMC (Name), and shall give an undertaking to this effect.

It will always be a basic condition for the award of Mr. Neeraj Saxena as Satellite Locations: (AKA
Medium Store) that you shall be paying attention towards day to day working of the franchise by
personally managing the affairs of the franchise, you will give us a written undertaking to this effect and
shall not assign or part with the same to any other person(s), expect from authorized restaurant
manager.

As agreed, you will be initiating necessary action towards enabling registration of site where the
Restaurant is planned. You will also have to assist us in with some fees to getting the requisite NOC
from appropriate authorities. This NOC fees will be refundable while end of the contract with
McDonald’s India.

You need to deposit to McDonald’s India registration department of INR.2, 25, 500.00. (Rupees two lakh
twenty-five thousand five hundred only) through RTGS/NEFT in the favor of McDonald’s India at
Mumbai branch towards registration and confirmation that you have successfully registered the
McDonald’s franchisee under license of Satellite Locations: (AKA Medium Store).
McDonald’s India would like to inform you that franchise registration fee 5,500.00 will be deducted by
the company and remaining 2, 20,000.00 will be adjustable into your investment.

You are notified that below are the registration department accountant account details in which you will
have to deposit the above said amount within 24hours after getting Letter of Intent (LOI).

Important note: - McDonald’s India does not accept any type of Cash/DD/Cheque as per RBI guidelines;
please proceed the payment using RTGS, NEFT, IMPS.

You will be notified the company, in writing after the facility mentioned above are made available and
are ready for commissioning the franchise.
If we find that the progress made by you towards the above is not to company satisfaction, the
progress of building a restaurant or advertisement can be delay, franchisee should have make sure
that the process can be done smoothly under the timeline.

Please be informed that you are required to full fill the conditions under timeline with regard to
building a site or completion of your paper work.
In Case company will get the written letter from franchisee, and the notice period would be the 30
days after receiving the letter from franchisee for account settlement.
If it is found that you have suppressed and /or misrepresented any material facts in your application.
In case you are found to be convicted for any criminal / economic offence involving moral turpitude.
In the event of death if you are and individual/partner.

In case you are not able to provide complete the franchise registration within the specified timeline or
fail to full fill the terms and conditions of Letter of Intent (LOI), for any reason, then LOI can be
withdrawn and selection can be cancelled with your proper update.

This letter is merely a letter of intent and is to be constructed as a 'firm offer' of McDonald’s India
franchise on your name, the franchise will be allotted to you on your complying with the terms and
conditions spelt out herein above by issuance of appointment letter along with signing of our standard
franchise agreement by you and us.
