This SOW describes the Professional Services (“Services”) to be provided by Efficient IP in connection with CNR
FIRENZE (“Customer”), as further described in this document.

This SOW shall take effect and the project will commence when signed by Efficient IP and Customer (“Effective
Date”). If the parties sign on different dates, then the later of the two shall be the effective date.

The Services work effort will be performed remotely on a Time & Materials [“T&M”] basis to include 4 days of
professional assistance.

This SOW may not be modified or amended except in a writing signed by an authorized representative of each party.
Changes made to this SOW shall require the written agreement of both parties.

GENERAL PROJECT MATTERS

CUSTOMER COOPERATION
● To ensure a successful use of assistance, Customer agrees to the following:
o Customer will assign resources who are knowledgeable in Efficient IP’s DDI Deployment.
o Customer will provide technical information requested by Efficient IP to complete required tasks and
provide remote system access to SOLIDServer via remote access using Go-To-Meeting or VPN access.
o Customer will not implement production changes prior to review and validation by Efficient IP; Customer
further agrees to follow Efficient IP’s recommended process.

TIME AND MATERIAL POLICY

● Efficient IP will keep track and share hours used along with tasks. If the T&M hours are exhausted and
additional assistance is required, a new quote will be provided and the work will be paused until a new PO is
issued.
● Customer must use the T&M hours within six months from PO date, otherwise, the project will be considered
closed with or without pending tasks.
● Efficient IP will use all reasonable means to achieve Customer’s desired result; however, if the expected results
are not achieved at the end of the assistance days, Customer will need to purchase additional time.
● Customer will provide a minimum of one weeks’ cancellation notice for any mutually planned meetings,
working sessions, migration/rollout dates.
● If Customer cancels any scheduled activity or meeting with less than one weeks’ notice, Efficient IP and
Customer will work together for an agreed-upon rescheduled date. The original reserved time will be deducted
from the T&M days.

EFFICIENTIP POLICY OF PRIVACY FOR CUSTOMER DATA


● Efficient IP resources working on this project will request production data from the Customer in order to
deliver services. Efficient IP does not:

▪ Retain Customer backups

▪ Use the backup data for any other purpose other than to complete the services

▪ Share any of the Customer data with a third party

NO CUSTOMER SPECIFIC SOFTWARE DEVELOPMENT

● Efficient IP will not develop or deploy customer specific software as part of this SOW unless noted otherwise.

SCOPE OF ASSISTANCE

CNR is deploying a full DDI + NTP service on a single location in Florence.

MEAD INFORMATICA will execute the project, this pool of days will be used in case they need assistance from
EfficientIP

SOLIDSERVER ARCHITECTURE

Design Diagrams :

Efficient IP Technical Assistance does not include:


● Efficient IP Product Training
