PARTNERSHIP AGREEMENT
This Partnership Agreement for a business namely
Treated Treasures: Handcrafted Yarn Bracelet is entered into on January 28, 2024 by and
between:
Cris Tyron Palmiery, residing at brgy. Buyabod, and Kelly Luban, residing at brgy.
Buyabod, they hereinafter referred to as "Original Partners".
Purpose of Partnership
The Partners hereby agree to enter into a partnership for the purpose of operating a
handmade yarn bracelet business, including designing, crafting, marketing, and selling
handmade yarn bracelets.
Capital Contributions:
Each Partner shall contribute 50% of the initial capital required for starting and operating
the business. Contributions may include financial investments, equipment, supplies, or
other resources necessary for business operations.
Ownership and Profit Sharing:
The Partners agree to share ownership and profits of the business equally, with each
Partner entitled to a 50% share of the profits and losses.
Responsibilities and Duties:
The Partners shall divide responsibilities and duties for operating the business equitably,
taking into account each Partner's skills, experience, and availability. Responsibilities
may include but are not limited to:
- Designing and crafting handmade yarn bracelets
- Sourcing materials and supplies
- Marketing and sales
- Accounting and financial management
- Customer service and communication Termination of Partnership:
The partnership may be terminated by mutual agreement of the Partners or by written
notice from one Partner to the other. Upon termination, the Partners shall equitably
distribute assets, liabilities, and profits of the business.
Entire Agreement:
This Agreement constitutes the entire understanding and agreement between the Partners
concerning the subject matter hereof and supersedes all prior agreements, negotiations,
and understandings, whether oral or written.
