Dear Xpresso Kendra Coordinator,
ROI NET Solution Pvt Ltd (ROINET), under its umbrella of “ROINET Grahak Sewa Kendra (CSP)” is offering a bouquet of
Services for Residents around CSP. ROINET offers multiple services platform called “ROINET’s XPRESSO” with
YES BANK Business Correspondent Services ( BC Agency)
 AEPS enabled Multi-Bank Banking Services;
 Multi-Bank MONEY TRANSFER ;
 Bharat Bill Payment System(BBPS)
UTI’s Online PAN CARD enrolling services; RELIGARE Micro HEALTH Insurance
TRAVEL SERVICES ( Hotels & Ticketing –Bus & Air );
RECHARGES (Mobile, DTH TV, Data Card); BILL PAY ( Post-paid Telecom Bills, Electricity Bill, Gas Bill,
Insurance premium etc); MPOS (Debit & Credit Cards) & m-ATM( Debit Cards) , Quick Cilver, CMS
service, AHA Taxi booking
(Few services would be selectively available, as & when allowed by respective Principals & may call for additionally charges )
The Compensation details of various services on “ROINET XPRESSO” Platform is given in Annexure #A.
Terms & Conditions (deemed to be accepted by CSP in case of using/ vending ROINET Xpresso Services):-
 The CSP will need to undergo the Due diligence activity program of ROINeT ( from time to time).
 To Qualify for Compensation, CSP will arrange for requisite Infrastructure as required for executing the services, at it’s
Retail Centre. Also submit requisite Qualification documentation to the satisfaction of ROINET & It’s Principal.
 CSP also be required to follow Roles n Responsibilities as defined , time to time & shall offer Services on an ‘as-is-where-is’
basis, including but not limited to Scope of Services as defined in Annexure B. Should immediately report in writing any
suspicious/ fraudulent transactions.
 CSP will have to keep ROINET, it’s officers & affiliates-indemnified against any claim, demand, loss, penalties, expensesor
whatsoever . CSP cannot promote or sell services of competing companies/ agencies.
 Compensation Payment of some Services maybe Real Time or Monthly & would be dependent on Receipt & Transaction
calculation from Principals – which implies that there can be a Time lag been the month of Transaction & Payout. This Time
Lag will differ for respective services (& would be informed separately).
 The levy of Service Tax as paid by respective Principals & as applicable on portion of Payout to CSP, would be passed onto
CSP along with statutory TDS. Compensation would be inclusive of Service Tax, TDS – as as applicable time of commission
Payouts. CSP would be responsible for compliance & payment of all applicable taxes, duties, levies, cess, surcharge or any
other charges. Incase of any dispute, ROINET would not be liable for any damages in excess of txn value.
 CSP would fully cooperate & assist ROINET in resolving Customer/ Principal’s complaint/claim/feedback wrt Services.
 ROINET can terminate/ discontinue all/any Xpresso Services to CSP with as & when decides, without giving cause.
 Even post termination of relationship between CSP & ROINET, all liabilities & obligations accrued prior to or at termination
shall continue to be binding on CSP.
 CSP cannot assign or transfer or sub-contract any of it’s rights, benefits or obligations under this relationship without the
prior written consent of centrally Authorized Person @ ROINET HO.
 Program letter & commission ( as detailed in annexure #A) can be changed without any prior notice.

AADHAAR ENABLED PAYMENT SYSTEM (AEPS)(powered by YES Bank)(v6.3)

 AEPS Transaction limit for Withdrawal/Deposit is ₹ 10,000 per transaction ( however Max Txn Amount/ Max Day
limit is defined by OFFUS Bank & will processed accordingly). ( Deposit at moment is restricted by NPCIL &
some corrective actions are bring taken).
 Same Aadhar number can be used #5 Transactions in a day , which means only cumulative sum of #5 Deposit,
Withdrawal& Balance Enquiry are allowed for a customer in a day.
 There is no Monthly Limit in Volume/Number of AEPS transactions for Deposit & withdrawal for a customer
 For Cash Deposit Transaction Failures, Refund will happen real time (incase Money is in YES Bank’s BGL A/c).
 For OFFUS Cash Withdrawal Failures, incase Money is received in YES BGL A/c it will be resolved with ₹48 -
YesBank- Working -Hours & if not, customer will have to take up with it’s own Bank’s Main Branch/ Customer
Support – Mail &/or Toll Free Number.
 While performing the AEPS Transactions, CSP’s Wallet will be updated REAL TIME with
TRANSACTIONAMOUNT &TRANSACTIONCOMMISION.
 Wallet withdrawal request settlement will be instant.(As per the banking norms)
 Charge of Wallet withdrawal request via IMPS is Rs.10
 Charge of Wallet withdrawal request via NEFT is Rs.5

  Above given is the standard DMT pricing for CSPs less than 90 days in system. Commission for CSPs more
than 90 days in System will be according the DMT volume of the CSP. If CSP volume increases during the
month, the commission slab will change accordingly. IT system will run query every week and change the
commission, if required, accordingly. Similarly, at the end of month, system will read the total month’s
volume, and if the CSPs DMT volume is decreased, the commission plan will move to a lower slab
accordingly.

ANNEXURE B - SCOPE OF SERVICES

1. Services
The scope of Services shall be limited to electronic payment transactions including AEPS, Bill collection, Recharges,
Mobile bills, Utility Bills, Domestic Money Transfer, Travel Ticketing, PAN Card Enrollment, Payment / Premium
Collection etc.. Few payment/collection/ banking services offered shall be subject to specific conditions, if any, as
may be specified by ROINET from time to time.

2. Ba l a n c e a n d T r a n s a c t i o n s
2.1. CSP shall maintain a pre-funded monetary balance with ROINET of such amounts up to such monetary
limit as may be mutually agreed with ROINET from time to time. ROINET shall credit the Balance account only
upon receipt of clear funds into ROINET’s bank account through NEFT/RTGS fund transfer mode only and from the
Bank account maintained in the name of CSP. Cash deposits into the designated ROINET bank account may
attract charges defined from time to time by ROINET.

2.2. CSP shall replenish the utilized balance in the eLimit at Regular Intervals through deposit of monies into a
designated bank account of ROINET on a periodic basis, so as to ensure that sufficient balance is available to enable
ROINET to process the transaction requests. ROINET systems will decline to process transactions if the available
balance is not sufficient to process the transactions. No credit facility shall be extended by ROINET for updating the
balance without receipt of payment into the designated Bank account of ROINET.

2.3. CSP shall be allowed to initiate and accept payment collection transactions “Transaction(s)”) from
end-customers only up to the available balance in the balance account. Any requests to settle Transactions upon
which balance in the balance account is insufficient shall be declined by ROINET. CSP shall only undertake
transactions up to the available balance and shall under no circumstances whatsoever, pledge to the credit of ROINET
or undertake obligations for and on behalf of ROINET.

2.4.Settlement and processing of Transactions shall happen as per mechanism prescribed by ROINET.

2.5. ReconciliationCSP shall be responsible to reconcile its Transactions by downloading data from ROINET’s
Xpresso System on a daily basis. In the event of any differences being observed by CSP, it shall escalate the same
to the designated contact point at ROINET for resolution, within 7 days.

2.6. Invalid Transactions In case of invalid Transactions requests (for ex., invalidity arising from incorrect
transaction request parameters etc. or Transactions not compliant with a ROINET’s technical guidelines, Service
Provider business rules), ROINET shall not be held liable at all, save and except, to the extent of prompt reversal
of Transaction value into the balance account, if at all debited from the balance account.

3. Operational Terms & Condition

3.1 Prior approval has to be taken for any type/ form of marketing including Social Media, Newspaper, Banners,
Pamphlets, etc.
3.2 ROINET can review and cancel Business Relationship anytime incase targets are not being achieved & /or
any Fraudulent - Malpractice is even suspected.
3.3 ROINET cannot be held responsible for any payments made to any other entities.
3.4 Any Sign-On fees or Deposit given to ROINET (Directly or Indirectly) is non -refundable.
