PROFILE
N Balasubramanian is a Fellow Member of the Institute of Company Secretaries of India and a Law Graduate,
and has been a Practicing Company Secretary for more than 19 years. His career started with
M/s. Travancore Cochin Chemicals Limited, in 1994, where he worked for about 3 years. After that, he joined
Amalgam Group of Companies, in 1997, where he worked in the Secretarial Department handling all group
company compliances, including a listed company, for about 6 years. He started practice in September 2002.

His experience includes the entire gamut of Company Law matters, Limited Liability Partnerships, charge
related compliances, Secretarial Audit, Due Diligence, One Person Companies, Winding up, and mentor to
several startups.

N Balasubramanian is a faculty for Corporate Laws at various academic institutions, and has presented various
papers on corporate laws at many Forums and Seminars, and has published various articles pertaining to
corporate laws. He has Addressed various Startup founders at sessions arranged by NASSCOM 10,000
Startups. He has experience in dealing with Legal Compliances for Startups. He has also taken sessions for
startups in association with Kerala Startup Mission,Kalamassery Campus, on topic “Legal Compliances for
Startups”.

N Balasubramanian is a very active member of the Kochi Chapter of ICSI, and was a Managing Committee
member of the Chapter from 2002 to 2014, holding various positions in the Management Committee. He was
the Chairman of the Chapter in 2012. In 2019, he was elected to the post of Secretary of the Southern India
Regional Council (SIRC) of the Institute of Company Secretaries of India. In 2020, he was the Vice Chairman of
SIRC and He was the Chairman of SIRC for the year 2021.

He is the founder and Chief Consultant of M/s. Directus Consultants Private Limited, a total consultancy firm,
having its Corporate Office at Cochin, and branches at Trivandrum, and Bangalore. He is also the founder of
Directus Foundation, a public Charitable Trust.

For more than 10 years, N Balasubramanian is also the editor of Darshana, an online magazine, on legal

S. VIJAY is a Fellow Member of the Institute of Company Secretaries of India with a Master’s Degree in
Business Administration from Indira Gandhi National Open University (IGNOU) and post-graduation in
commerce from Mahatma Gandhi University, Kottayam. He has more than 15 years of Corporate and
Professional Experience in different capacities.

His career started with M/s V-Guard Holidays & Parks Private Limited, one of the Group Companies of M/s V
Guard Industries Limited, a Company listed both in NSE & BSE where he worked for about 9 years. The
Company is running an Amusement cum Water theme Park in the name and style “WONDERLA
(Erstwhile VEEGALAND)”and he was the Head of the Finance & Accounts Department and was responsible for
the entire finance cum secretarial activities. He was also engaged in the parent company, M/s V Guard
Industries Limited, later in his career since the Company was planning for Initial Public Offer. He is having
hands on experience in listing procedures as he was involved in the entire process related to IPO and
visited NSE & BSE for executing the Listing Agreement with both the stock exchanges.

Yogindunath S is a Fellow Member of the Institute of Company Secretaries of India. He also holds a degree in
law from the MG university and studied in Govt Law College Ernakulam.

He began his career as Company Secretary of Indiavision Satellite Communications Ltd, the leading news
channel in Kerala. He was involved right from the beginning of the Channel. He is credited with, as one of the
pillars of the company which was painstakingly built from the scratch. He relinquished the post of CS
of Indiavision in early 2006 after an eventful career of 5 years.

From 2006 March onwards till January 2010 he was the Manager of MCA21 project for the state of Kerala. He
has successfully handled the operations of this project right from beginning and solved complaints from
various stakeholders in an effective manner. He has also presented several papers on e-filing on various
forums of ICAI and ICSI. At present he looks after e filing and administration of the company.

With Directus Consultants, he is the Director and Consultant handling the Legal, Foreign Exchange, Indirect
taxation and compliance assignments. Before moving on to practice he was the Company Secretary &
Compliance Officer for M/s Terumo Penpol Limited, Group Company of Terumo Corporation, Japan with
responsibilities ranging from Contracts, Labour Laws, certain aspects of Indirect Taxation, to Managing Law
Suits.

His career started with M/s INKEL Limited where he was an Assistant Company Secretary responsible for
Company Law Compliance.

He was Faculty for Law at Institute of Chartered Accountants of India and for Company Law at Institute of
Company Secretaries of India.
