ALL CONTRACTS/TRANSACTIONS ENTERED INTO BY THE BUYER/BIDDER ARISING OUT OF THIS E-AUCTION SHALL BE
GOVERNED BY THE INTEGRITY PACT AVAILABLE ON OUR WEBSITE, www.mstcindia.co.in

1. Disposal will be done on "as is where is basis" condition and any cost of cutting/ dismantling/ excavating/ removal/ loading/
transportation/ unloading and or any other cost incurred in respect of this is to be borne by the bidder. Wherever applicable, cutting/
dismantling job is to be completed first before upliftment of material for any lot.
2. Bidders are advised to visit the site and inspect the items before bidding.
3. Completion Period for Physical disposal - As per MSTC DO.
4. Vendors will have to arrange all tools, tackles, equipment, water, power, labor and transportation etc. as per job requirement.
5. Vendor will have to provide the details of his labor force in writing to the HPCL Officer at the site prior to commencing work at the
site.
6. Vendor will have to obtain the Workmen's Compensation Policy for the duration of the work period, to ensure adequate cover for
his labor force while working at the site.
7. Vendor will have to adhere to all safety norms while carrying out the job. Necessary permits will be issued by HPCL.
8. Vendor will have to ensure usage of Personal Protective Equipments (PPEs) like safety shoes, helmets, gum boots, safety harness
belt while working at height etc.
9. Execution of jobs will be allowed during Location timings only from 0830 to 1700 hrs. The Vendors and their personnel will not be
permitted to remain inside the depot premises after working hours.
10. All other conditions as per MSTC tender/ e-auction document.
11. Bidders are required to quote on individual lot basis.

2. EMD:
The bidders shall submit earnest money deposit at mstc through e-payment gateway within 7 days from date of e-auction for
accepted lots.
The emd shall be @10% of the net sale value quoted (excluding taxes& duties) for lots sold.
For STA lots the bidders shall submit earnest money deposit at mstc through e-payment gateway within 7 days from date of
acceptance of STA.
The EMD should be adjustable towards material value only after receipt of the balance material value of the last instalment (incase
of instalment payment) along with applicable duties and taxes, failing which the EMD will stand automatically forfeited.
In normal circumstances, EMD should not be accepted beyond the period stated above. However, in exceptional cases, EMD can be
accepted along with the full balance material value and taxes thereon within the time limit of balance payment i.e 22 days from date
of acceptance of bid (excluding the date of acceptance). However this shall not confer any right to the bidder to make late payment
of EMD and MSTC/Seller reserve the right to accept or not to accept the payment. No further extension with/without penalty
will be allowed under any circumstances.
It should be noted that failure to submit EMD within above stipulated time will result in automatic deactivation of buyer's login from
MSTC system for a minimum period of six(06) months. Thus the bidders shall be debarred from participation in any auction being
conducted by MSTC for a minimum period of three (for hazardous materials)/ six(for all other materials) (3/6) months and
thereafter re-activation penalty will be imposed as per the policy.
In case of failure to pay EMD for Pre-bid EMD lots, within stipulated period, such Pre-bid EMD will be forfeited and user account of
buyer will not be de-activated.
In case of forfeiture of Pre-bid EMD/EMD, the forfeited Pre-bid EMD/ EMD amount shall be treated as inclusive of GST amount at the
applicable rate.

3. Balance Payment:
Buyer / Bidder will have to deposit the Material Value to the Seller / Principal directly.
The cost of each lot of material along with all taxes and duties must be paid by the Buyer in one single installment within 15 days
from the date of acceptance letter by MSTC(excluding the date of issue) but not after 22 days from acceptance of bid (excluding the
date of acceptance).
In case of direct payment to the seller account, the buyer shall inform the Seller about the payment with the details and proof of
payment and request to confirm the payment to MSTC. The action on issuance of the order will be taken after payment confirmation
by the seller. Orders cannot be issued without confirmation from the seller.

Service Chargeand IT TDS payment should be made in MSTC WRO account. The payee should select WRO region from the
dropdown.

RTGS/NEFT Payment Link for payment in MSTC account is available in Buyer's Login. Bidders are requested to avoid last minutes
payments. The date on which the amount is reflected in MSTC account will be considered. Buyers are advised to keep buffer of at
least 2 days (to avoid transactional delays) from last date of payment.

In all cases dues under any provincial/local law shall be payable by the purchaser exclusive of the sale value to the Seller/Principal.
Any other tax due in respect of the sale under any law for the time being in force shall be payable by the purchaser in addition to the
price.

Late payment- For delayed payment of balance sale value along with service charge, taxes and duties, late payment charge @1%
(of total material value excluding taxes) per week or part thereof for maximum period of 14 calendar days is also to be charged.
However this shall not confer any right to the bidder to make any late payment of balance sale value and applicable duties and taxes
and MSTC/Seller reserves the right to accept or not to accept the payment of the balance sale value with or without the additional
charges after the expiry of the due payment time as mentioned above.
In the event of delayed payment beyond the specified period of 2 weeks with late payment charge prior consent of seller for
acceptance of payment with/without additional late payment charge has to be obtained.

in quantity or for recovery of the whole or part of the money or any loss of profit/ interest/ damages and otherwise.
Seller is not liable to weigh such items while delivery.

IMPORTANT NOTES:

1. Please note: The auction catalogue on the live e auction floor should be treated as final and binding.
2. Though a facility is provided to bidders to select a category in the live auction floor, however, buyers in their own
interest are advised to go to live e auction floor, after selecting "all categories". MSTC will not be responsible for any
oversight in selecting the category in live e-auction/lot on the part of bidders/buyers.
3. Arrangement instruments and/or DD/PO of Cooperative Bank shall not be accepted.
4. Incase the last date of submission of payment happens to fall on a Public Holiday, the next day shall be considered
as the date of submission of payment.
5. Buyers have to inspect the material thoroughly and satisfy themselves about the nature, hazardous/explosive
properties, if any, before submitting the bid. In case they come across any material beyond the scope of the
description of material, it should be informed to Seller/MSTC. MSTC will not be responsible for any complaint in this
regard.
6. Risk- The Goods shall remain in every respect at the risk of the buyer from the date of acceptance of his offer by the
MSTC/ Stockholder shall not be under an liability for their safe custody or preservation thereof.
7. Should the original buyer wish to take delivery of the stores purchased by him, through a representative, he must
authorise the lifter by a letter of authority.
8. Assignment or sub-letting of contract : The buyer shall not assign or sub-let this contract or any part thereof without
the written permission of the MSTC/Stockholder and even if permitted to do so shall remain liable from fulfillment of
the contract.

1. MSTC Ltd. shall hereinafter be referred to as MSTC and HINDUSTAN PETROLEUM CORPORATION LIMITED/BYCULLA
Principal/Seller.
2. Bid validity is as per above mentioned date which can be extended by the seller upon mutual acceptance by the H1 bidder
through their MSTC login. The bid validity extension shall be requested by the seller before the expiry of bid validity or within 7 days
after the expiry of bid validity. The bidder has a maximum of 7 days time period to convey their response in the system, if not
responded the bid validity extension request shall be considered as automatically declined.
3. All the materials are offered for sale on AS IS WHERE IS basis, i.e., where they are stacked and NO COMPLAINT BASIS. Materials
are sold on the assumption that bidders have inspected the same and know what they are buying, irrespective of whether they have
first inspected the materials or not. No complaint shall be entertained in this regard. After the submission of bid(s) by the Buyer, a
presumption would be drawn that the buyer has inspected the material and has satisfied himself about the nature, quantity, quality,
other technical specifications, taxes-duties and legalities prior to the e-auction. No complaint, whatsoever, on the points referred
above, would be entertained after the submission of the bid.
4. VALIDITY OF CONTRACT: Upto the expiry of the delivery period mentioned in the Delivery Order/Release Order issued by
MSTC/PRINCIPAL or upto the extended period in case the Delivery period is extended by the PRINCIPAL at their sole discretion, as
the case may be.
5. All the materials are offered for sale on AS IS WHERE IS basis Ex works owners. The rates shall be offered ON UNIT BASIS FOR
EACH LOT SEPARATELY NOT PART THEREOF i.e. in Rupees per unit only.
6. The quantities indicated against the lot are purely indicative subject to a variation of +/- 20%. In the event of quantity turning
out to be more than the estimated quantity and within the range of (+) 20% variation, the buyer has to lift the entire material and
clear the site after making the required payment. In the event of actual quantity turning out to be less than the estimated quantity,
the buyer shall not be entitled to claim any damages, loss of interest or compensation on this ground except the refund of material
value for that much quantity from the Seller. The amount of GST and Income Tax pertaining to such undelivered quantity shall not
be refunded and will be required to be claimed by the buyer from the respective departments only.
7. The rates must be quoted exclusive of all taxes, duties and any other levies etc.
8. Bidders shall submit the related documents as and when demanded by MSTC / Owners.
9. The Bidders/customers workmen shall have to abide by the rules& regulations including safety& security regulations of the
relevant statutory Acts. Entry inside the works/stores should only be against Gate pass for the men and equipment for which
purchaser/bidder will have to apply well in advance before lifting commences.
10. The purchaser shall ensure that his workmen do not loiter around within the stores area of the Seller. They shall not touch any
material except that material shown to them. If any of his workmen is even found violating these restrictions, then the purchaser
shall be responsible for making good the loss to the seller on which their decision shall be final and binding.
11. The Buyers shall remain responsible for observance of Security Standing Instructions and normal Security Norms of the industry.
12. LIFTING PERIOD: The successful buyer shall lift the material by employing their own labour and transport at their own cost
within 30 days or as per lot description, from the date of issue of Delivery Order or as per SRO issued by the seller (if applicable).
13. The material of all the lots will be delivered by Seller as per the UOM mentioned in the e-auction catalogue, be it on actual
Weight/Quantity/Number(s)/lot as stated in the lot description.
14. Purchasers are advised in their own interest to make appointment with the seller before placement of vehicles for taking delivery

of the materials purchased by them within the scheduled date of delivery. The purchaser at his own cost will make his own
arrangement for removal, dismantling, loading, transporting and he will not be entitled to claim any facility or assistance or cost on
this account from Seller/MSTC.
15. The segregation of material is not allowed. Breaking/cutting, cleaning or hammering is also not allowed. Incase where
Breaking/cutting, cleaning or hammering is unavoidable, advance permission from the seller shall be taken by the bidder.
16. GROUND RENT: If the Successful bidder is unable to lift the material within stipulated period as specified in the DO/SRO,
Ground Rent @ 1% per week shall be levied and upto 2 weeks maximum, provided written request is received before the expiry
of free lifting period. If no such request is received, the Sale Order shall stand cancelled and the Security Deposit shall be considered
forfeited on completion of free lifting period. The Seller will have the sole discretion on whether to accept/reject the Contract.
17. Regarding the question of quantum of ground rent on the unlifted quantity, in case of goods sold where unit of measurement
(UOM) is Lot, the ground rent has to be collected by the seller on the entire lot value even lifted in part. In case of goods sold on
Unit Weight or Unit Number basis, the ground rent has to be collected on the value of the unlifted quantity.
18. In case of further delay in taking delivery of material beyond two weeks with ground rent, seller shall have the option at their
discretion to extend it further with/without ground rent, depending upon the prevailing circumstances after taking into account all
important factors.
19. Customers are required to lift the materials completely on clean sweep basis as to clear the site failing which ground rent as
applicable will be charged. Quantity indicated in catalogue is only estimated quantity and Seller/MSTC shall not compensate for any
loss & damages should the actual quantity, be less than estimated quantity.
20. Hazardous Waste: The scrap materials / items which comes under the category of Hazardous Waste as per Hazardous Waste
(Management& Handling) Act 1989 and subsequent amendments shall be sold only to those buyers who are registered with Ministry
of Environment& Forest, GoI / Central Pollution& Control Board/ State Pollution Control Board. Its buyers responsibility to ensure
that they have the requisite valid authorisation to purchase the material.
21. The Sale will be governed by the Material List & Special Terms & Conditions (STC) displayed on the Live eAuction Floor (and not
under Forthcoming Auctions) as well as the General Terms& Conditions (GTC) and Buyer Specific Terms & Conditions ( BSTC )
already accepted by the Bidder at the time of eAuction Registration with MSTC. The Material List & STC displayed under View
Forthcoming Auctions on MSTC's eAuction Website are tentative and subject to change at MSTC's sole discretion before the start of
eAuction. Bidders should therefore download the Material List and STC displayed only under View Live Auctions for their record
purpose, if required. The BSTC and GTC can be seen and downloaded by going to the Home Page of the eAuction Website and
clicking on NEW USER. Participation in the eAuction will be deemed to imply that the Bidder has made himself thoroughly aware of
and accepted the STC, BSTC and GTC. In case of any conflict between the STC and BSTC, the STC shall prevail. MSTC shall have the
right to issue addendum to the STC or BSTC, to clarify, amend, modify, supplement or delete any of the conditions, clauses or items
stated therein and the Addendum so issued shall form a part of the original STC.
22. The Principal/Seller of the materials reserves the right to withdraw at any stage the sale of any item or quantity of material
either by number or by weight or any other specific unit etc, even after issue of Sale Order/Delivery Order. The Principal/Seller will
not be bound to assign any reason or details thereof. Value of the materials so withdrawn, if any, and paid by the buyer will be
refunded. The Principal will however, not be responsible for any damage, loss, direct or consequential compensation whatsoever to
the buyer nor for payment of any interest.
23. Since materials to be sold shall never come under the custody or possession of the MSTC Ltd, any complaint from the
bidders/buyers on account of quality, quantity or delivery of the goods shall be handled by the seller only.
24. Dispute Resolution:
a. In case of dispute & differences between the Buyer& Service Provider/Selling Agent the same shall be resolved by way of
arbitration. The arbitration clause appearing in BSTC shall be treated to be applicable here.
b. The Court under which Jurisdiction the address of MSTC concerned, which is carrying out the event/auction, is located shall have
the exclusive jurisdiction in the matter.

NOTE: After the submission of bid(s) by the Buyer, a presumption would be drawn that the buyer has inspected the material and has
satisfied himself about the nature, quantity, quality, other technical specifications, taxes-duties and legalities prior to the e-auction.
No complaint, whatsoever, on the points referred above, would be entertained after the submission of the bid.

SPECIAL NOTE FOR GOODS& SERVICE TAX (GST):


The Goods& Service Tax (GST) is implemented with effect from 01st July 2017 in India. Accordingly, VAT / Sales Tax are
discontinued and these taxes will be subsumed to GST. GST will be payable on goods (whether scrap or otherwise).

Hence all Buyers / Bidders having VAT Registration (TIN) need to register with GST for continuing transactions. Copy of certificate
mentioning GST Registration Number needs to be submitted with the respective office of MSTC Ltd. (from where Registration was
done) for updating Buyer Registration details. MSTC / Seller will not be able to issue any Sale Order / Delivery Order / Invoice, etc.
wherever GST Registration Number is not updated. Further the existing VAT / Sale Tax Rate shall be replaced by GST Rate and
differential tax, if any, will be paid by or refunded to Buyers.

In the same way, all Principals / Sellers need to submit copy of certificate referring GST Registration Number with the respective
office of MSTC Ltd. (from where Auction is conducted) for updating Seller Registration details. It will not be possible to conduct any
Auction or issue any Sale Order / Delivery Order, etc. wherever GST Registration Number is not updated. Further the Service Tax
Rate on Service Charge Bill, shall be replaced by GST Rate and differential tax, if any, will be required to be paid by Principals /
Sellers.
