Online Bidder Employment Contract
This employment contract ("Contract") is entered into on 01/11/2023 between Mhz Tech
ltd a company and Madiha shah, hereinafter referred to as "Employee."

1. Position and Responsibilities:


The Employee shall hold the position of Online Bidder and shall be responsible for
managing updating, creating and bidding on Freelancing accounts as required by the
Company.

2. Working Hours:
The Employee's working hours shall be from 5 hours (Monday to Friday)

3. Salary and Payment:


The Employee's monthly salary shall be Rs.20,000 plus 10% commission for every
successful project achieved by the bid. The salary will be deposited between the 1st to 5th of
every month, with the cut-off date for the salary calculation being the end ofeach month.

4. Probation Period:
The Employee shall be subject to a probationary period of three months from the
commencement of employment. During this period, the Company reserves the right to assess
the Employee's performance and suitability for the position.

5. Notice Period:
The Employee agrees to provide a minimum of one month's notice to the Company in the
event of resignation or termination of employment. In case of termination, the Employee shall
return any Company-owned equipment, data, and materials promptly.

6. Work Environment:
The Employee will be working remotely.

7. Work Arrangement:
The position will initially be offered as remote work. However, the Company reserves the right
to convert the work arrangement to on-site employment in the future, depending on the
operational requirements and mutual agreement between the parties.

8. Data Security and Privacy:


The Employee shall not link external drives or copy any company data to personal computers
due to safety and security reasons. The Employee agrees to maintain the confidentiality of all
proprietary and sensitive information belonging to the Company or its clients. Any work,
inventions, developments, or intellectual property created or developed by the Employee
during the course of employment shall be the sole property of the Company.

9. Non-Competition and Non-Solicitation:


During the term of employment and for a period of 3 months following termination, the
Employee shall not engage in any activity that competes with the Company's business or solicit
Company clients, employees, or partners without prior written consent from the Company.

10. Employee Monitoring and Time Tracking:


The Company employs monitoring and time tracking software to ensure efficient workflow and

task management. As part of this monitoring process, the Employee's screen activities may be
monitored, and occasional screenshots may be taken during working hours. This monitoring is
intended to enhance productivity, track task progress, and maintain transparency within the
work environment. The collected data will be used solely for work-related purposes and will be
handled with utmost confidentiality.

11. Health and Safety:


The Company is committed to providing a safe and healthy working environment. The
Employee is expected to adhere to all health and safety guidelines and report any potential
hazards or incidents promptly.

12. Performance Evaluation:


The Employee's performance shall be periodically evaluated by the Company to assess their
progress and contributions. Performance reviews may be conducted at regular intervals to
provide feedback and identify areas of improvement.

13. Severability:
In the event that any provision of this Contract is deemed invalid or unenforceable, the
remaining provisions shall remain in full force and effect.

14. Counterparts:
This Contract may be executed in counterparts, each of which shall be deemed an original but
all of which together shall constitute one and the same instrument.

15. Electronic Communication:


The parties agree that electronic communication (e.g., emails/ WhatsApp) shall be considered
valid and binding for the purposes of this Contract.

16. Dispute Resolution:


In case of any dispute arising under or in connection with this Contract, the parties agree that
the laws of Pakistan shall govern the resolution of such disputes.

17. Governing Law and Jurisdiction:
This Contract shall be governed by and construed in accordance with the laws of Pakistan. Any
disputes arising out of or relating to this Contract shall be subject to the exclusive jurisdiction
of the courts of Pakistan

18. Amendments and Modifications:


Any amendments or modifications to this Contract shall be valid only if made in writing and
duly signed by both parties.

19. Acceptance of Offer:


By signing this Contract, the Employee acknowledges having read and understood its terms and
conditions and accepts the offer of employment under these terms.

20. Entire Agreement:


This Contract constitutes the entire agreement between the parties and supersedes all prior
negotiations, representations, or agreements, whether oral or written.

IN WITNESS WHEREOF, the parties have executed this Contract as of the date first above
written.
