Appointment Letter

We are pleased to appoint you in our organization as Chemical Engineer with effect
from 22th July 2023on the following terms & conditions:

With reference to your application, subsequent personal discussions and interviews, we are
pleased to appoint you as Chemical Engineer effective from 25th July 2023. You
categorically understand that the present contract is a fixed term contract solely valid till the
completion/termination of the project at Induspect India Pvt Ltd of the end client Reliance
Jamnagar . The other terms and conditions of your employment are as under:

1. Your remuneration will be 38000/- CTC (lump sum of all) (12 hrs. Duty) inclusive of tax,
provident fund, annual bonus, accommodation and transportation allowance, ESIC
deductions, OT, leave working, shift allowance or any other employer and employee
loading factors. The Company reserves the right to negotiate rates for specific
assignments, prior to actual assignment of work based on mutual agreement between
the parties. Other government liabilities like; PF, ESIC, Gratuity, PT will be deducted as
applicable to you. Gratuity payment will be driven by the Payment of Gratuity Act –
1972. If there are any changes/amendments in the Government liabilities, the same will
be borne by you. Your remuneration is confidential between you and the Company and
you need to maintain absolute secrecy regarding the same, failing to which will be
viewed seriously by the Management which may lead to disciplinary actions.

2. During your employment with the Company, the Company may, at its sole discretion,
transfer you to any of the divisions of the company and / or sister concerns and / or
associate/subsidiaries/associate offices of clients concerns in India or Abroad. Such
transfer will not entitle you to any additional benefits. In such cases, you will be
automatically governed by the terms and conditions of services of the new company to
which you are transferred. The decision of the Management in regard to your transfer
shall be final and binding to you in all respects. On such transfer, your services shall be
governed by the rules and regulations of the transferee branches / unit / Company.

3. You shall be required to submit copies of your letters of recommendation, references,
driving license, passport, photographs, and all other documents as may be reasonably
required by the Company and as stated in your offer letter.

4. This Appointment Letter is issued upon you by the Company relying wholely and solely
on the information and particulars furnished by you in your job application and
subsequent discussions. If it transpires at a later point in time that you made any false
statements or did not make a material disclosure, the Company shall be entitled to
terminate you with immediate effect and reclaim the salaries paid to you and the costs
incurred on you.

5. You will be on probation for a period of 12 months. The said probation is liable to be
extended at the sole discretion of the Company. Confirmation will not be deemed, until
and unless expressly issued by the Company in writing.

6. During the course of your employment with the Company, you shall not take up any
other employment or assignment elsewhere and shall devote your time and endeavours
to sincerely and diligently discharge the duties entrusted to you. A breach of the present
Clause will lead to immediate termination and also a claim to recover the salary that was
paid to you for the period during which you were in breach of the present Clause.

7. Your work predominantly involves intellectual and creative faculties and you will work
with a high standard of initiative, creativeness, and efficiency in the organization. The
nature of work and responsibilities will be assigned and explained to you by your senior
from time to time.

8. Working Hours: - Your working hours shall be as per the client requirements. You will be
required to work extra hours as and when required during site visits or at the office and
informed by the Company. You may be required to work on a shift. Shifts may be
scheduled across 24 hours a day, 7 days a week and 365 days a year, subject to weekly
off as per applicable laws. The Shift timing may change from time to time which you will
be notified in advance.

9. Non-Competition:

a) It is further acknowledged and agreed that following termination of the


employee of the employment with the Company for any reason the employee
shall not hire or attempt to hire any current employees of the Company.

b) It is further acknowledged and agreed that following termination of the


employee of the employment with the Company for any reason, the employee
shall not solicit business from current clients or clients of the same
industry/clients for 24 months period immediately preceding the employee’s

termination. Further employee will not start his own firm for 24 months and shall
not solicit his/her business with company client.

c) In case Employee breaches the said condition, then the company will be entitled
to initiate legal proceedings against such employee.

10. The Company may also, in its sole discretion depute you to any Client/ Partner/ Vendor
site anywhere in India or abroad. You shall not refuse such transfer/deputation or create
any impediments with regards to the same. The Company may bear costs towards such
relocation at its sole discretion. While on deputation, the Company reserves the right to
impose additional obligations on you bearing in mind the rules and regulations of the
end client.

11. You will be morally committed and lawfully responsible to successfully complete the
projects and deliverables assigned to you.

12. You shall keep the company informed about the change, if any, in your Residential
Address. In all matters not mentioned herein you will be governed by the rules and
regulations of the company in effect from time to time.

13. Consumption of Tobacco, Pan, Guthka, Cigarette, Bidi, Drugs, Alcohol or any intoxicating
products prohibited by law will not be allowed to consume in the company premises. If
found with such things Company shall be entitled to initiate appropriate disciplinary
actions up to termination of your services, forthwith without notice or payment in lieu
of notice.

14. The Employee agrees that in no case the Employee shall directly or indirectly engage in
strikes, union related activities or any political activities during the term of your
employment. It includes approaching any unions etc. for any memberships etc. or any
other reasons. Such an act shall be considered as breach of contract and shall as a
minimum lead to unconditional non-payment of all remunerations/refunds etc. by the
employer in addition to further disciplinary enquiry/action by employer.

15. You shall submit accurate timesheets subject to the approval of the end client of the
Company. All remuneration shall be directly paid in proportion to the said approved
timesheets.

16. During the probation period, this employment can be terminated by you by granting 60
days’ notice period or salary in lieu of the notice period. After confirmation, if you wish
to resign from the employment of the company, notice period of 90 days will be
applicable. During the entire tenure of your employment, the Company can terminate
your services by providing a 15 days’ notice period to you or salary of 15 days in lieu of
such notice period. In all cases where you wish to resign from the Company, the
Company shall decide in its sole discretion the option which you may exercise at the

time of such termination. Further, salary in lieu of notice period shall also be applicable
if you create a circumstance that compels the Company to terminate your services. No
leaves can be availed by you during the notice period and if any leaves are availed, the
notice period shall stand extended proportionately. During the notice period, you shall
not join any organization without the written permission of the Company. You have to
submit the resignation / No dues to project coordinator and then after his approval
submit to the Admin department and then submit to the HR Department (as per the
hierarchy). The Company shall decide in its sole discretion the option which you may
exercise at the time of such termination. The requirement of prior notice for termination
from the Company’s shall not arise, and you will be terminated immediately without any
further liability whatsoever, in case you breach the terms and conditions of this
Appointment Letter including without limitation if:

16.1. You indulge in any activity involving moral turpitude, and/or;

16.2. There are performance issues which are not rectified by you even after you
are put on a Performance Improvement Plan (“PIP”);

16.3. Remain absent without authorization from the place of work for 7
consecutive days or more, and/or;

16.4. Any incorrect information is furnished by you or if the Company discovers any
suppression of any material information at the time of joining or subsequently;

16.5. You commit any act subversive of discipline or good behaviour, and/or;

16.6. You commit any act of fraud or dishonesty in connection with the Company’s
business or property, and/or;

16.7. Conduct any other act of omission or commission not specifically provided
but which are acts subversive of decency, discipline and morality according to
normal human conduct or behaviour or are against the established practices of
discipline in the Company, and/or;

16.8. If you are physically or mentally incompetent to provide services to the


Company;

16.9. There is adverse report received about the employee from his/ her referee/s,
and/or;

16.10. You are found guilty of any incident or complaint of Sexual Harassment of any
nature whatsoever, and/or;

16.11. You breach any term and condition of any Company policy in force.

17. It is a categorical condition of your employment, that you shall not be entitled to issue
the termination notice or resign from the services of the Company in the following
circumstances: -

17.1. While you are sent on deputation to a Client site;

17.2. While you are working on an important project, or;

17.3. Four Weeks prior to the Company’s informing you that you shall be deputed
to a Client site or assigned an important project.

18. Failure to abide by the decisions of the Company pursuant this Appointment Letter shall
entitle the Company to deduct the requisite damages/disruption costs from your full and
final settlement, and in case the said damages are not recoverable from amounts
payable to you, the same shall be duly paid by you within a period of 2 days from a
demand by the Company;

19. You hereby agree that any and all improvements, inventions and discoveries whether or
not patentable which you make either alone or in conjunction with any other during the
period of your employment relating to or in any way pertaining to or connected with any
of the matters which may have been or become the subject of your duties or
investigations shall forthwith be communicated to the Company and shall become the
sole and exclusive property of the Company. You will not divulge or give public any
information related to any aspect of the company to anyone not employed by the
company, including in such activity shall render you liable for termination without any
notice or payment in lieu thereof as well as the Management reserves the right to claim
damages in loss of profit or monetary loss in any form;

20. At no point in time will you accept any present, commission or any sort of gratification in
cash of kind from any person, party, or firm, or company having dealing with the
Company and if you are offered any of these, you shall immediately report the same to
the Company;

21. Subject to this employment being continued, you shall be superannuated on attaining
the age of 58 years or as per the rules in force;

22. Maternity Benefit: - All female employees/workmen shall be entitled to Maternity


Benefit as per the provisions of the Maternity Benefit Act, 1961.

23. Security: - Security is an important aspect of our communication and office


infrastructure. Communication security is maintained by controlling physical access to
computer system, disabling all working stations, USB; disk drives and companywide

awareness about the need for protection of intellectual property and sensitive customer
information.

24. You shall also be bound by:

24.1. Employees Agreement including but not limited to the Non-Disclosure


Agreement;

24.2. Leave Rules;

24.3. Deputation Policy;

24.4. All other rules, regulations and policies followed at the client site;

24.5. The Prevention of Sexual Harassment at Workplace Policy;

24.6. Such other Rules and Regulations governing the employees employed with
the Company, in force from time to time

The rules and regulations governing your terms of employment are accessible by all
the employees of the Company. It shall be your duty to access and monitor amendments, if
any, to these rules and regulations. You shall be bound by and be governed by these rules
and your acceptance of employment pursuant to this appointment letter shall be deemed to
mean and be construed as your acceptance of these terms and conditions and you shall be
deemed to have waived the requirement of formal execution of these terms. Since the
Company encourages paper less environment, such agreements and rules shall be deemed
to have been accepted by you and shall be binding upon you.

25. On matters not specifically mentioned herein, you shall be governed by the Rules of the
Company in force from time to time as applicable to you.

26. Your appointment is subject to receipt of satisfactory report on you from your referees.

Please sign the duplicate copy of this letter of appointment in token of having understood
and accepted the above terms and conditions.
