NOTICE

Greetings,

We write this instant notice (“Notice”) to Reema Gupta (“Noticee”), director at Red
Entertainment Pvt. Ltd. (“The Company”) having its registered office at Flat Nos.
903, Vighna Rajendra Co-op Housing Society Ltd. Near Ramesh Nagar, Amboli,
Andheri(W) – 400058, on behalf of our client M/s Uttam Abuwala & Co. (“Our
Client”), registered under The Chartered Accountants Act, 1949 and Chartered
Accountants Regulations 1988 , having its registered office at 409/410, Gundecha
Industrial Complex, Kandivali (E) – 400066, thus we do hereby state as under:

1. That Our Client was appointed as the statutory auditor for The Company and
delivered professional services of auditing with the utmost dedication and
sincerity, and high regard for The Company’s regulatory deadlines and
obligations.
2. That the services rendered by Our Client were time to time on credit and trust
basis, with work always completed within time. Against your instructions Our
Client raised timely invoices for the services rendered, which were notably
acknowledged by you and The Company’ officers.
3. That following the audit for the FY 2016-17, Our Client to their surprise
received a letter from ADG and Associates for seeking any clarifications or
objections for the removal of Our Client as the auditor for The Company, it
was only later that Our Client understood that it was a conspiracy headed by
you to decrease the professional fees charged for performing the audit that
was discussed with you prior to the audit being done. The same is evident
from the records as the alleged subsequent auditor that sought clarifications,
did not respond to the objections raised by Our Client in the letter dated
_______.
4. That the subsequent year Our Client was shocked again to receive a Show
Cause Notice from your Company for the removal of their position as the
statutory auditor, as the same accused Our Client of inflating the fees you
yourself approved and acknowledged before the audit was conducted. The
statutory fees for the audit was mentioned in the balance sheet as outstanding
per your records.
5. That the Noticee and Aashish D gori (Partner, ADG & Associates) are guilty
of conspiring to cheat Our Client by dishonestly inducing them to deliver the
audit report prepared by Our Client free of cost, by intentionally making a
false representation of facts, i.e. acknowledging the fixed renumeration in
mulitple e-mails representing that the payment owed to Our Clients was going
to be paid, falsely misrepresenting that Aashish D gori was going to appointed
as the auditor on two separate occasions, when in actuality the letter seeking
an NOC from Our Client and the Show Cause Notice sent from the Noticee
were acts to deprive Our Client from their professional fees for conducting an
honest statutory audit.
