 BUSINESS ASSOCIATE AGREEMENT

This Agreement is signed on this the 1st JUNE

BETWEEN

M/s. MYGURU ONLINE (I) PVT LTD, a Category “B” ISP, having its Regd. Office at Plot# 105 7
106, ¾ 5th Cross Road, Jawahar Autonagar, Vijayawada---520007 referred as “MYGURU ONLINE”,
represented by Gutta Vidya Sagar, M.D & CEO, herein after also called as “INTERNET SERVICE
PROVIDER”

AND

M/S. SVN BROADBAND(REPALLE) (Business Associate), having its registered office at UPPIDI
ROAD, REPALLE, District: BAPATLA by Mr. NARENDRA BABU., and Herein after called as
“BUSINESS ASSOCIATE”.

WHEREAS MYGURU ONLINE is engaged in providing INTERNET SERVICES by virtue of its

License Agreement with Ministry of Communications, Department of Telecommunications,
Government of India.

WHEREAS the above BUSINESS ASSOCIATE has approached MYGURU ONLINE to extend the
following services in REPALLE on behalf of MYGURU ONLINE (I) PVT LTD on an exclusive basis:

 Business Partner represents that he is a registered Cable TV Operator under the Cable Television
Networks (Regulation) Ordinance Act 1995 and shall operate in compliance with all applicable
laws.

 BUSINESS ASSOCIATE shall not migrate the Subscribers in MYGURU ONLINE network to
other operators/Networks. Such an act on the part of the Business Partner is a violation of TRAI
guidelines and shall be considered illegal and a violation as per this term sheet.
 BUSINESS ASSOCIATE will allow MYGURU ONLINE to use their last mile connectivity,
inclusive of any equipment related to the connectivity.

 BUSINESS ASSOCIATE shall not use the same network and the same last mile infrastructure,
inclusive of Internet Bandwidth related equipment and the premises, to provide internet
connectivity either directly or from partnering with any other Internet Service Provider other
than MYGURU ONLINE, as, this agreement is on an exclusive basis between the BUSINESS
ASSOCIATE and MYGURU ONLINE only, for your designated territory REPALLE (area of
operation).

 The BUSINESS ASSOCIATE will look after the last mile connectivity to the end customer.

  The BUSINESS ASSOCIATE will forward the CAFs duly filled in by the respective customer to
the Head Office whenever a new customer request for such a service and will also maintain a
copy of the same with him. After due diligence and proper verification only, MYGURU
ONLINE will provide the service and MyGuru Online will have the right to either agree or
refuse such a request. All such current customers and any new additions in future will form an
integral part of MYGURU ONLINE direct customer base and do not belong to any third party
for all practical and legal purposes. .

 The BUSINESS ASSOCIATE on behalf of MYGURU ONLINE will handover MYGURU

ONLINE’s Invoices, Receipts, and any other Promo Material meant for the market place.

 The BUSINESS ASSOCIATE on behalf of MYGURU ONLINE will collect the payments either
by Cash, Cheque or Demand Draft from the end customers, and deposit the same with
MYGURU ONLINE’s Bank Account at Hyderabad vide ICICI Bank A/c No.630605119795,
Benz Circle Branch, VIJAYAWADA. For the preceding month, The Business Associate
will have to send an e mail with an excel sheet attachment with all the details of Collection
and remittance info during the first three working days of the following month.

 BUSINESS ASSOCIATE shall permit MYGURU ONLINE authorities to audit the accounts of
the Business Partner in respect of charges collected and remitted by subscribers.

 The maximum payout to the BUSINESS ASSOCIATE shall be limited to 40% (Forty only) on
the net revenue generated out of Internet Bandwidth sales in a given month, i.e., after excluding
applicable Service Tax. Net revenue is calculated based on Net sales and full collections
achieved and after adjusting any negative sale. (Refunds, Cancellations, Discounts, etc.).

 MYGURU ONLINE shall pay BUSISNESS ASSOCIATE amounts, as applicable. All payments
shall be made to the BUSINESS ASSOCIATE, subject to applicable taxes and other deductions.
All amounts to be paid to BUSINESS ASSOCIATES shall be made only through bank transfer
with designated banks as specified by MYGURU ONLINE from time to time, with in one week
after receiving all the details as above.

The Parties now being desirous of reducing this agreement in writing both MYGURU ONLINE and
BUSINESS ASSOCIATE have entered into this agreement with the manner hereinafter appearing.

 The BUSINESS ASSOCIATE will immediately deposit with MYGURU ONLINE an amount of
Rs.1,00,000/-(Rupees One Lakh Only) as a refundable security deposit, which will be returned in
the event of termination of this service contract by either parties, as per the termination clause .

 BUSINESS ASSOCIATE shall adhere to all the required rules / policies, formats prescribed by
MYGURU ONLINE from time to time.

  MYGURU ONLINE shall provide the required Public / Private IP addresses.

 MYGURU ONLINE shall ensure immediate response on BUSINESS ASSOCIATE queries

pertaining to last mile connectivity issues and MYGURU ONLINE’s technical persons will
extend the support for all Technical issues on request by BUSINESS ASSOCIATE from time-to-
time.

 BUSINESS ASSOCIATE on behalf of MYGURU ONLINE shall always ensure that the last
mile connectivity at the premises specified at the time of installation is maintained. However, in
case of any possible shift/change of address, MYGURU ONLINE shall intimate the same to
BUSINESS ASSOCIATE in writing.

 Periodical Training and / or ongoing support would be provided by MyGuru Online.

However at all times, any circuit / link mutually requested , proposed & accepted by BUSINESS
ASSOSIATE and delivered at SVN BROADBRANDhas to mandatory complete a minimum period of
12 Months (One Year) from the date of installation / billing commencement of such a circuit / link . In
the unusual event of SVN BROADBRAND wanting to exit prematurely and terminate a single /
multiple circuit / link for any reason , although a 90 (ninety) days notice period is applicable for the
overall agreement on the agreed terms of agreement , in such a scenario is liable to pay to MyGuru
Online , an equivalent money for the uncompleted differential balance left over period between early
termination of Circuit / link and agreed actual minimum validity of 12 Months ( One Year ) for each
Circuit / Link.

This contract is valid for a period of 36 months from the date of signing of this agreement and shall be
renewed at mutual consent at the end of the contract period.

MyGuru Online’s Trademark, Logo & Signage will be used by Business Associate only to cover
the provision of this Business Associate Agreement and is not allowed for any other activity.

The agreement signed by both the parties under their signatures with free will on the 1st August 2018, as
referred above.

BANDWIDTH

This is to certify that Internet Bandwidth Services subscribed from M/s. MYGURU ONLINE
LTD, Hyderabad, are used as permitted by The Government of India or any other Statutory
Authority. We shall not use the Internet Bandwidth Services for any illegal, immoral purpose.
Infringement, is any, shall be our responsibility and we shall indemnify M/s. MYGURU
ONLINE LTD in respect of any liability arising out of such misconduct.
