A G R E E M E N T TO S E L L

This Agreement to sell is executed at Gurgaon on _______ April 2024.

BETWEEN

Mrs. Ravinder Kaur Marwah (Aadhaar No. 9359 8424 8701 & Pan No. AAJPK1081E) w/o
Sh. Tarvinder Singh Marwah R/o Plot No. 686, Block C, Ground Floor, Sushant Lok-1,
Gurgaon, Haryana-122001 (hereinafter all called ‘FIRST PARTY’) of the one part.

AND

Mr. Onkar Singh (Aadhaar No. 7434 7554 8431 & Pan No. BCQPS7592Q) S/o Sh. Jaswant
Singh, R/o 270, E-Space, Nirvana Country, Sector 50, Gurgaon Haryana- 122001
(Hereinafter called ‘SECOND PARTY’) of the other part.

The expressions ‘FIRST PARTY’ and ‘SECOND PARTY shall mean and include their respective
heirs, successors, representatives, and assigns.

WHEREAS the FIRST PARTY is the absolute owner of the Plot No. 3567, measuring 225 Sq.
Mtrs. (269.1 Sq.Yds.) situated in residential colony known as Ansal Versalia, Sector-67A,
Gurugram, Haryana vide Conveyance Deed Vasika No. 6653 , dated 29/08/2023 duly
executed in the office of Sub registrar Badshahpur Gurgaon, Haryana (hereinafter called the
‘SAID PROPERTY’).
That the FIRST PARTY has agreed to sell and the SECOND has agreed to purchase the above said
property for the total sale consideration of Rs.1,30,00,000/- (Rupees One Crore Thirty Lakh
Only).

1. That the FIRST PARTY has received Rs.70,00,000/- (Rupees Seventy Lakh Only)
as an Advance/Earnest Money from the SECOND PARTY in the following Manner:

And The balance amount of Rs.60,00,000/- (Rupees Sixty Lakh Only) on or before of the
date of registry 2024.

2. THAT due to the Government Regulations and Notification for Tax Deductible at Source
(TDS) is applicable and implied by the Government of India which is 1% of the total transaction
value (as applicable), this Tax Deductible at Source shall be deducted by the SECOND PARTY
from the above stated Consideration payable to the FIRST PARTY and the same consolidated
amount shall be deposited by the SECOND PARTY before the date of registry to the Designated
Authority/Bank as appointed by the Government of India and a TDS Certificate, challan & Form
16B shall be provided by the SECOND PARTY for the Tax Paid on behalf of the FIRST PARTY at
the time of transfer.

3. That in case the First Party refuses to get the registry of Sale of the said property in
favor of the Second Party within the above specified period, then the Second Party has the right
to get the double amount of earnest money. In case, the Second Party fails to take the said
property by not making full and final payment of the said property to the First Party within the
above specified period, then the FIRST PARTY has the right to forfeit the advance/ earnest
money paid by the Second Party.

4. That the Second Party is empowered to get the property registered or get the sale
completed either in his own name or in the name of his nominee/s, relative, friends or in the
name of any other person for which the first party shall have no objection.

5. All the expenses in respect of Outstanding Dues, any interest, maintenance charges,
Property Tax etc. shall be borne by the First Party up to the date of the registry of the said
property. And the registration charges and stamp duty and other shall be borne by the Second
Party.

6. First Party confirms that the property to be transferred/sold under this Agreement is
free from all encumbrance mortgage, such as sale, gift and nor the First Party had already
entered or will enter into Agreement to Sell with any other party for the said property. If proved
otherwise, the Second Party shall be entitled to recover all costs and damages incurred by the
Second Party, if any, in this respect, including but not limited to double the part sale
consideration paid under this agreement from the First Party.
7. Whereas all the Original Documents/relevant documents in respect of the said property
shall be handed over by the First Party to the Second Party at the time of Full and Final payment
on the date of registry of the said property. The First Party has given the required Photocopies
pertaining to the said property to the Second Party at the time of this Agreement to Sell.

8. In the event of the last date of this transaction falling on the Public holiday, Saturday,
Sunday or any other holiday if declared by the Government or unforeseen natural calamities on
the final date of this agreement to sell, then the last date would be extended to the next working
day or any other date which is mutually decided by the First party and Second Party.

IN WITNESS WHEREOF both the FIRST PARTY and SECOND PARTY have signed this Agreement
in token of their accepting the terms hereinabove given in the presence of following witnesses:
