AGREEMENT FOR SALE

This agreement for sale is made and entered into


on this day of __ January 2023 between ;

Hereinafter No. 1 and 2 referred to as the Parties of the
“FIRST PART” and “SELLER” (which expression shall
be deemed, unless repugnant to the context, including
their Heirs, Successors and Assignees, Attorney Holder
and/or claiming through them) of the First Part;

AND IN FAVOUR OF….

LTD THROUGH ITS DIRECTOR MR. PANKAJ
NARHARI SHINDE ADULT AND INDIAN INHABITANT
HAVING ITS REGISTERED OFFICE: 1004, PLOT NO.
E/3A, GOODWILL INFINITY, SECTOR- 12,
KHARGHAR, NAVI MUMBAI – 410210 PAN CARD NO.
:- ------------- hereinafter No.1 and No.2 referred to as
the Party of the “SECOND PART” and “PURCHASER”
(which expression shall be deemed, unless repugnant
to the context, including its Heirs, Successors and
Assignees, Attorney Holder and/or claiming through
them) of the Second Part;

WHEREAS the first part of the agreement is the jointly


and absolute owners of the residential flat: ---------,Gat

------built up,

And whereas by the virtue of the conveyance deed


between Mr. Shahi Mohan therein referred purchasers
and M/s Jindal Associates through Proprietor Mr.
Sachin Agarwal therein referred to as a second part or
seller thereinbefore Deed of conveyance was executed
dt.12/07/2007, registered with Sub-Registrar Panvel-I
vide Document No. 5596/2007, allied to an abovesaid
transaction both parties made and prepared the
document; by the virtue of agreement for sale between
Mr. Shahi Mohan therein referred purchasers and M/s
Jindal Associates through Proprietor Mr. Sachin
Agarwal therein referred to as a second part or seller
thereinbefore Deed of conveyance was executed
dt.12/04/2017, registered with Sub-Registrar Panvel-I
vide Document No. 3148/2017.

Whereas in pursuance of the said plot or land owned


and sufficiently entitled by Late. Shahi Mohan died on-
-------- at ----------- surviving heirs wives namely Mrs
Sunita Shashi Mohan and daughter namely Miss.
Swapnil Singh.

And whereas by a Mutation entry No. 2791 dt---- the


right of record of Mrs Sunita Shashi Mohan and Miss.
Swapnil Singh was recorded as the legal heir of Late.
Shahi Mohan on the Gat No. 117/1/A/1/C Plot
bearing survey No. 36, situated at Talathi Sajja- Aadai,
Taluka-Panvel, District- Maharashtra admeasuring
area 0-02-81 Sq. mtr, Asses. Rs.28.10 Paise furtherly
described on the first schedule of this agreement.

And whereas by the virtue of the development
agreement between Mr. Mayur Krushna Thakur and
Mr. Vinod Gajanan Patil therein referred to as a
developer or first part and Mrs Sunita Shashi Mohan
and Miss. Swapnil Singh therein referred to as a second
Part or original owner and possessor of the said land
therein above Development Agreement was executed
dt.05/01/2018, registered with Sub-Registrar Panvel-
V, vide Document No. 144/2018, hereinafter for the
sake of brevity abovementioned is referred to as the
"Said Plot") on the terms and conditions as contained
in the said Agreement for development.

And whereas abovesaid development agreement the


terms and conditions as contained that out of the total
developed construction area 1325 sq. mtr appertain to
Mrs Sunita Shashi Mohan and Miss. Swapnil Singh
whereby commercial unit bearing Shop No.6
Admeasuring 125 sq.ft and residential unit bearing
Flat No. 102 on the First floor, Admeasuring 400 sq.ft,
Flat No. 202 on the Second Floor, Admeasuring 400
sq.ft and Flat No.302 on the third floor, Admeasuring
400 sq.ft ; and rest of the developed construction area
1825 sq. mtr whereby commercial units bearing shop
No.1, Shop No.2, Shop No. 3 and residential units
bearing Flat No. 101 on the First floor, Admeasuring
400 sq.ft Flat No. 201 on the Second Floor,
Admeasuring 400 sq.ft and Flat No.301 on the third
floor, Admeasuring 400 sq.ft appertain to Mr. Mayur
Krushna Thakur and commercial unit Shop No. 4
Admeasuring 125 sq.ft appertain to Mr. Vinod Gajanan
Patil and commercial unit Shop No. 5 Admeasuring
125 sq.ft appertain to Mr. Sachin Trimbak Bhoir in the
scope of consideration of the said development
agreement executed between the parties.

And whereas construction was accomplished and the
concerned authority grant the occupancy and
completion certificate to the abovesaid project vide
letter------------dt.-----------.

And whereas the first part of the agreement is the joint


and absolute owners of the residential flat: ---------, Gat
No. 117/1/A/1/C Plot No. 36, A/P Aadai, Taluka-
Panvel, District- Raigad, Maharashtra admeasuring
area -------------built up, furtherly seized and possessed
or well and sufficiently entitled to the second scheduled
property.

NOW THEREFORE THIS AGREEMENT FOR SALE,


THEREFORE, WITNESSETH AS UNDER AND IT IS
HEREBY AGREED BY AND BETWEEN THE PARTIES
HERETO.

I. The first part has offered to sell premises on an


ownership basis land as described in the schedule
hereunder, which is Free from encumbrances for
a total consideration of Rs.---------------/- (Rs. -----
--------------rupees) and the Second part of the
agreement has agreed to purchase the same for
the said consideration. pursuance of the said
agreement and in part consideration of the sum
of Rs.--------------/- (Rs.-------------------Rupees)
already received by the seller from the Purchasers
the said seller as the absolute owner of the said
property described in the schedule hereto and
more clearly delineated in the plan annexed with
the boundaries thereof clearly shown in the plan
annexed does hereby transfer, convey and assign
free from encumbrances all the said property to
hold the same to the said Purchasers as absolute
owner together with appurtenances belonging
hereto and all the estate, right, title, interest and
claim whatsoever of the seller in or to the said

property hereby conveyed. The Purchasers shall
hold and enjoy the same as the absolute owner.

II. It is further agreed by and between both the


parties that the Party of the Second Part shall pay
the remaining amount of Total Consideration Rs.-
---------------/- (Rupees Five Crore and seventy
Lakhs Only) on or before 60 days by way of
Cheque/DD/NEFT/RTGS Transfer to the Party of
the First at the time of Execution of the “sale deed”
in the office of the Sub-Registrar of Assurance, at
Panvel, Dist. – Raigad.

III. The said property shall be quietly entered into and


upon by the Purchasers who shall hold and enjoy
the same as absolute owner without any
interruption from the seller or any persons
claiming through the sellers.

IV. The sellers have given vacant possession of the


said property to the Purchasers.

V. The sellers have paid all taxes etc., payable on the


said property up to date and the Purchasers will
have to pay such taxes etc., payable hereafter.
The property is free from all encumbrances,
charges, mortgages, prior assignments of sale or
leasehold or court attachments and it is not
subject to any other litigation.

VI. The previous title deeds relating to the said


property are hereby handed over to the
Purchasers.

VII. The Vendor hereby agrees to cooperate with the


Vendee to get the title of the said property
changed in the name of the Purchasers in
Revenue Records.

VIII. The Sellers does hereby further always agree with


the Purchasers hereafter at the cost of the

Purchasers to do and execute all such lawful acts,
deeds, and things for further and more perfectly
assuring the said property to the Purchasers
according to the true intent and meaning of this
deed.

IX. It is agreed by and between both the parties that


the Party of the Second Part shall immediately
publish Newspaper notice by his own cost calling
for any objection if any for the said subject
property. It is agreed by both parties that, if in
case any objection arrived after the use of the
Public Notice in a newspaper, thus this
Agreement for Sale shall stand cancelled without
any further process.

X. The Purchasers hereby agree that they shall bear


all the charges costs and expenses for the transfer
of the said property in their name including the
transfer charges payable to the concerned
authorities in the name of the sellers and the
sellers have not to incur expenses of any nature
whatsoever in the transfer of the said Flat in the
name of the Purchasers.

XI. The sellers do hereby agree to keep indemnified


the Purchasers from and against all losses, costs,
damages and expenses, which the Purchasers
may sustain because of anybody to the said
property.

XII. The party of the First Part hereby declared and


assured that the party of the First Part have not
jointly and severally made and entered into any
oral and/or written Agreement
/Contract/Memorandum of Understanding and
any other covenant in whatsoever manner with
anybody regarding the transfer, convey and sell
his license of the said subjected property except a
party of the Second part.

XIII. It is agreed by and between both the Parties that,
the above-mentioned terms and conditions and
the structure of the Payment shall be the essence
of this Agreement for Sale and shall be binding on
both parties equally.

XIV. It is agreed by and between both parties that by


taking into consideration the Present working
situation of CIDCO authority offices due to the
pandemic of COVID-19, there shall not be any
such bounding of time limit on the party of the
Second Part to get registered for the Agreement for
sale or sale deed, however, the Party of the Second
Part will try their best possible to accumulate the
Agreement for sale or sale deed within the period
of 60 days.

XV. The land is not an assigned land within the


meaning of lands (Prohibition of Transfers) and it
does not belong to or under mortgage to Govt.
Agencies/Undertakings. the Sellers hereby
declare that he has transferred an extent of 0-18-
60 R transferred through this document.

XVI. It is agreed, affirm, confirm, admits by both the


Parties that, in case of any breach of any terms
and or any conditions mentioned hereinabove on
the part of any party before executing and
registering of Agreement for sale or sale deed then
the Party of the Second Part shall be entitled to
recover the entire amount of Consideration which
has paid to the party of the first part.

XVII. That since both the parties are equally bound by


the terms and conditions of this Agreement for
Sale the party of the Second part for breach of any
conditions may institute a suit and application to
recover the paid amount from the party of the
First Part before the appropriate Court of Law.

AND BOUNDED AS FOLLOWS THAT IS TO SAY:
