AGREEMENT FOR SALE

This Agreement for Sale is made and entered into on this day of __
January 2023 as under between ;

1)MR. SUKHADEV MAHADEV MHATRE, AGE 30 YEARS, & 2)


MRS. SEEMA SUKHADEV MHATRE, AGE 29 YEARS, AN
INDIAN INHABITANT, BOTH RESIDING AT — FLAT NO. 32,
SECOND FLOOR, 'A' -WING, ASHOK VIJAY CO-OPERATIVE
SOCIETY LTD., PLOT NO. 10, SECTOR- 3, NEW PANVEL (E),
TAL. PANVEL, DIST. RAIGAD MAHARASHTRA; hereinafter
referred to as the Party of the “FIRST PART” and “SELLER” (which
expression shall be deemed, unless repugnant to the context,
including their Heirs, Successors and Assignees, Attorney Holder
and/or claiming through them) of the First Part;
AND
MR. PANKAJ NARHARI SHINDE, AGE 34 YEARS, AN INDIAN
INHABITANT, HAVING PAN CARD NO. :- DOWPS5625L
RESIDING AT FLAT NO- 703, YASHWANTI CO-OP HSG
SOCIETY, PANT NAGAR, GHATKOPAR EAST, MUMBAI -
400075, MAHARASHTRA; hereinafter referred to as the Party of
the “SECOND PART” and “PURCHASERS” (which expression shall
be deemed, unless repugnant to the context, including its Heirs,
Successors and Assignees, Attorney Holder and/or claiming
through them) of the Second Part;

WHEREAS party of the first part is absolutely seized and


possessed of or otherwise well and sufficiently entitled to the
immovable property: FLAT NO. 32, SECOND FLOOR, ‘A’-WING,
ASHOK VIJAY CO-OPERATIVE HOUSING LTD., PLOT NO. 10,
SECTOR- 3, NEW PANVEL EAST, TALUKA PANVEL, DISTRICT-
RAIGAD -400206. ADMEASURING 740 SQ BUILT UP AREA.
With all the easementary right of access. Which is more
particularly described in detail in the schedule of property
hereunder Which is more particularly described in detail in the
schedule of property hereunder (hereinafter referred to as “Said
Flat/ Residential Unit”)

WHEREAS By letter of allotment to lease dated 7th day of August


1989 made between the CITY AND INDUSTRIAL DEVELOPMENT
CORPORATION OF MAHARASHTRA LTD therein and hereinafter
called - THE CORPORATION - of the ONE PART and M/s .ASHOK
VIJAY CO-OPERATIVE HOUSING SOCIETY (Regd) therein refferd
~ THE LICENSEE of the other part the said The corporation agreed
to demise and the said society, agreed to take on lease a piece of
land admeasuring about 1116.69 Sq.meters or thereabout being
Plot No.10 out of Sector - 3, pertaining to New Panel District
Raigad,(hereinafter called " THE SAID PLOT ") for residential use
for the period of 60 years at the yearly rent of Rs.100/- and upon
the terms and conditions contained therein and further agreed to
execute the lease of the said Plot and building when constructed
in terms of the said Agreement.

And Whereas In pursuance of the said agreement/letter allotment


the Corporation has handed over the possession of the said Plot to
the society on the 7th day of August 1989 on the Society paying
the full and final premium to the Corporation and on entering into
an Agreement to lease respect thereof as the Corporation's and on
entering Into a Corporation’s agreement to lease in respect thereof
as the Licensee enabling the Society, to construct the building
thereon for residential purpose as per the terms and to conditions
that may be incorporated in the said Agreement lease.

AND WHEREAS M/s. ASHOK VIJAY Co-operative Housing Society


Ltd. (Reg.) under Co-operative Act vide RGD/PWL /NSG/(TC)
517/87-88/1988 (on account of certain difficulties could not take
up construction work on the said Plot of land and) authorized
under General Body Resolutions dated 1st October 1993, the
Secretary, to entrust the work of development of the said Plot to
M/s. Kwality Developers. (the Developers herein) under an
Agreement for development dated 14th December 1993, and the
said Secretary, also executed a General Power of Attorney and
affidavit cum declaration along with the Development Agreement
dated 14th December 1993 and also handed over quiet, vacant
and peaceful possession of the Plot No. 10, Sector-3, at New
Panvel, Dist. Raigad, to Developers for Development of the said Plot
of land.

AND WHEREAS by the virtue of the said Development Agreement,


Power of Attorney and Affidavit cum declaration given by the
Secretary, to the Developers became entitled to development of the
said Plot of land together with all right, title and interest to
transfer, assign or entrust development rights to anybody
including allotment of the remaining flats to any prospective
Purchaser. In pursuance of the said development Agreement,
power of Attorney and Affidavit cum Declaration dated 14/1293
the development right for use and utilization of the Plot of land was
granted to the said Developers i.e. Kwality Developers including
the Power to sell the balance flats upon the terms and conditions
therein mentioned.
And Whereas the plan for the construction of the building has been
approved by the Town Planning Authority of CIDCO LTD vide their
letter No. EE (BP) /ATPO/1590 dated 28th October 1994. Also,
the authority has issued Commencement Certificate No.E
(BP)/ATPO/1590 dated 28-10-1994.

And whereas The Certificate of Title issued by D.M. Kousadikar,


Advocate, has been seen and Inspected by the Purchaser and a
copy thereof has been given to the purchaser and the Purchaser
has also prior to the execution of this Agreement for himself
satisfied about the right and title of the Developers to the said
property more particularly described In the Schedule hereunder
written to develop the said property more particularly described in
the Schedule hereinunder written.

And Whereas The Purchaser will be enrolled as a member of M/s.


Ashok Vijay Co-operative Housing Society Ltd. (Regd.) hereby
agree to purchase from the Developers and the Developers hereby
agree to sell to the Purchaser Flat No.32, admeasuring Chargeable
area of 916 square feet, equivalent to a built-up area of 740 square
feet as shown in the floor plan, thereof (hereinafter referred to as
"the said Premises ")

And WHEREAS M/s. Kwality Developers called and referred to as


“the developers” and Mr. S. Sunil called and referred to as “
Purchasers” therein execution by Agreement dated 03/07/1999,
registered with Sub-Registrar Panvel, vide Document No.
2171/1999, dt. 05/07/1999, hereinafter for the sake of brevity
abovementioned is referred to as the "Said Flat") on the terms and
conditions as contained in the said Agreement for sale.

And Whereas Mr. S. Sunil called and referred to as “seller” and Mr.
Paresh Natekar called and referred to as “Purchasers” therein
execution by Agreement dated 03/03/2008, registered with Sub-
Registrar Panvel-III, vide Document No. 2704/2008, dt.
03/03/2008, hereinafter for the sake of brevity abovementioned is
referred to as the "Said Flat") on the terms and conditions as
contained in the said Agreement for sale.

And Whereas Mr. Paresh Natekar called and referred to as “seller”


and Mr. Sukhdev Mahadev Mhatre and Mrs. Seema Sukhdev
Mhatre collectively called and referred to as “Purchasers” therein
execution by Agreement dated 03/09/2010, registered with Sub-
Registrar Panvel -I, vide Document No. 10571/2010, dt.
03/09/2010, hereinafter for the sake of brevity abovementioned is
referred to as the "Said Flat") on the terms and conditions as
contained in the said Agreement for sale.

WHEREAS party of the first part is absolutely seized and


possessed of or otherwise well and sufficiently entitled to the
immovable property: Flat No. 32, Second floor, A-wing, Ashok Vijay
Co-operative Housing Society Ltd., Plot No. 10, Sector-03, New
Panvel East, Taluka Panvel, District-Raigad -400206.
admeasuring 740 Sq. With all the easementary right of access.
Which is more particularly described in detail in the schedule of
property hereunder Which is more particularly described in detail
in the schedule of property hereunder (hereinafter referred to as
“Said Flat/ Residential Unit”)

NOW, THIS MEMORANDUM OF UNDERSTANDING,


THEREFORE, WITNESSETH AS UNDER AND IT IS HEREBY
AGREED BY AND BETWEEN THE PARTIES HERETO.

1. The party of the First Part herein being the absolute entitle
and in the authority of the said Residential Flat shall sell,
transfer and convey their entire right, interest, License and
authority of the said plot i.e. FLAT NO. 32, SECOND FLOOR,
'A'- WING, ASHOK VIJAY CO-OPERATIVE SOCIETY LTD.,
PLOT NO. 10, SECTOR- 3, NEW PANVEL (E), TAL. PANVEL,
DIST. RAIGAD. ADMEASURING 740 SQ.FT BUILT-UP
AREA.; Whereby sellers holding a Member Registration No.
43 share certificate for five shares no. from 211 to 215 of
Ashok Vijay Co-Operative Society Ltd., With all the
elementary right of access, solely entitle unto/to the Party of
the Second Party; the seller out of his own sweet will decide to
sell the aforesaid premises on an ownership basis herein for
the Total valuable consideration of Rs.-----------------/-
(Rupees-------------------Only).

2. The party of the First Part herein being the seller and in the
authority of the said Flat/Plot/Land shall fill the necessary
forms/documents to procure Transfer Permission from
CIDCO to transfer his entire license rights and authority
pertaining to the said Flat/Plot/Land in the name of the party
of the Second Part herein.

3. It is agreed by and between both the parties hereto that the


party of the Second Part herein shall pay Rs.---------------/-
(Rupees-------------------Only) to the party of the First Part as a
part payment out of the total consideration for an amount of
Rs.-------------------------------/- (Rupees -------------------Only) at
the time of execution of this Agreement for Sale.

4. That that the Parties hereby agreed by and between that, the
Party of the Second Part shall issue a Post-Dated Cheque /
NEFT or RTGS or any transaction for an amount of Rs.--------
---/- (Rupees ---------------------Only) in the name of the Party
of the first part, as a final consideration of said agreement
after successful completion of the said Plot/Land Transfer
process in the name of Party of the Second Part.

5. It is agreed by and between both the parties that the Party of


the Second Part shall immediately on publish Newspaper
notice by his own cost calling for any objection if any for the
said subject property. It is agreed by both parties that, if in
case any objection arrived after the use of the Public Notice in
a newspaper, thus this Agreement for Sale shall stand
cancelled without any further process.

6. The party of the First Part herein being the Licensee and in
the authority of the said Plot/Land shall pay the Transfer
Charges, MAVEJA, Delay in Charges and any other charges
which will be levied by the CIDCO in connection with the
transfer said Plot/Land in the name of the party of the Second
Part.

7. That both the parties hereby agreed, affirm, confirm admit


that the Stamp Duty and Registration Charges of Agreement
for sale or sale deed shall be born and paid by both Parties
jointly and the CIDCO Plot/Land Transfer Charges shall be
born and paid by the Party of the First Part solely.

8. It is further agreed by and between both the parties that the


Party of the Second Part shall pay the remaining amount of
Total Consideration Rs. ------------------------/- (Rupees-----------
--------Only) by way of Cheque/DD/NEFT/RTGS Transfer to
the Party of the First at the time of Execution of the “sale deed”
in the office of the Sub-Registrar of Assurance, at Panvel, Dist.
– Raigad.

9. The party of the First Part hereby declared and assured that
the party of the First Part have not jointly and severally made
and entered into any oral and/or written Agreement
/Contract/Memorandum of Understanding and any other
covenant in whatsoever manner with anybody regarding the
transfer, convey and sell his license of the said subjected
property except a party of the Second part.

10. That the Party of the First Part hereby indemnifies and will
keep indemnified the Party of the Second part herein against
any claim or right may arise after execution of this Agreement
for Sale and same will be cleared by the Party of the First Part
on their own cost.

11. It is agreed by and between both the Parties that, the above-
mentioned terms and conditions and the structure of the
Payment shall be the essence of this Agreement for Sale and
shall be binding on both parties equally.

12. It is agreed by and between both parties that by taking into


consideration the Present working situation of CIDCO
authority offices due to the pandemic of COVID-19, there
shall not be any such bounding of time limit on the party of
the Second Part to get registered for the Agreement for sale or
sale deed, however, the Party of the Second Part will try their
best possible to accumulate the Agreement for sale or sale
deed within the time period of 30 days.

13. It is agreed, affirm, confirm, admits by both the Parties that,


in case of any breach of any terms and or any conditions
mentioned hereinabove on the part of any party before
executing and registration of Agreement for sale or sale deed
then the Party of the Second Part shall be entitled to recover
the entire amount of Consideration which has paid to the
party of the first part.

14. That since both the parties are equally bound by the terms
and conditions of this Agreement for Sale the party of the
Second part for breach of any conditions may institute a suit
and application to recover the paid amount from the party of
the First Part before the appropriate Court of Law.
THE FIRST SCHEDULE REFERRED TO ABOVE:

ALL THE PIECE AND PARCEL OF LAND AND GROUND IS LYING


AND SITUATED AT WITHIN THE LIMIT OF CITY INDUSTRIAL
DEVELOPMENT CORPORATION AT NOW PANVEL MUNICIPAL
CORPORATION AND WITHIN THE JURISDICTION OF REGISTRAR
LAYING AND CONSTRUCTED ON PLOT NO. 10, SECTOR- 3, NEW
PANVEL (E), TAL. PANVEL, DIST. RAIGAD AND BOUNDED AS FOLLOWS
THAT IS TO SAY:

ON OR TOWARDS THE NORTH BY : PLOT NO.11

ON OR TOWARDS THE SOUTH BY : 11 METER WIDE ROAD

ON OR TOWARDS THE EAST BY : PLOT NO.9A

ON OR TOWARDS THE WEST BY : 8 METER WIDE ROAD

THE SECOND SCHEDULE REFERRED TO ABOVE:

ALL THAT PREMISES FLAT NO. 32, SECOND FLOOR, 'A'- WING,
ASHOK VIJAY CO-OPERATIVE SOCIETY LTD., PLOT NO. 10,
SECTOR- 3, NEW PANVEL (E), TAL. PANVEL, DIST. RAIGAD.
ADMEASURING 740 SQ. FT BUILT-UP AREA, CONSTRUCTED ON
PLOT NO. 10, SECTOR- 3, NEW PANVEL (E), TAL. PANVEL, DIST.
RAIGAD AND BOUNDED AS FOLLOWS THAT IS TO SAY:
