DEED OF SALE OF FRANCHISE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Sale of Franchise executed and entered into this 19 th day of April 2017
in City of San Jose Del Monte, Bulacan, by and between:

ROWELL JAE ROSALES MATIBAG, Filipino, of legal age, with residence at Block
14 Lot 29, Matthew Street, Francisco Homes II, Brgy. Graceville, City of San Jose Del Monte,
Bulacan, hereinafter referred to as the “VENDOR”;

-and-

KERWIN POBLETE NUESTRO, Filipino, of legal age, with residence at Block 3 Lot
9, Carissa 3A, Palmera Homes, Brgy. Kaypian, City of San Jose Del Monte, Bulacan,
hereinafter referred to as the “VENDEE”.

WITNESSETH, THAT:

WHEREAS, VENDOR is the grantee/owner of a Certificate of Mobile Stockies

(“Franchise”), under Case No. 38379801, issued in the name of VENDOR authorizing him to
operate a SIOMAI KING within MANILA and from said place to any point in the Island of
Luzon accessible to pedestrian foot traffic for the use of ONE (1) unit.

WHEREAS, VENDOR wishes to sell the aforesaid Franchise; and the VENDEE is
willing to buy said Franchise from the VENDOR.

WHEREFORE, for and in consideration of the amount of EIGHTY THOUSAND

PESOS (Php 80,000.00) Philippine Currency, receipt of which in full is hereby
acknowledged by the VENDOR from the VENDEE, the VENDOR hereby SELLS,
TRANSFERS AND CONVEYS and by these presents have SOLD, TRANSFERRED AND
CONVEYED unto the VENDEE the former’s Franchise with Case No. 38379801.

VENDOR hereby warrants that the said Franchise is free from any liens and
encumbrances.

IN WITNESS WHEREOF, we have hereunto affixed our hands this 19 th day of April
2017 at City of San Jose del Monte, Bulacan, Philippines.
