1.0 INTRODUCTION

1.1 SCOPE
Contract 101974 Diving and Subsea Support Services between BP Amoco and Stolt
Offshore Ltd.

1.2 OBJECTIVES
The objective of this report is to compare the documented Safety Management Systems
(SMS) of BP Amoco and Stolt Offshore, and where recognised interface exists to,
identify the relevant BP Amoco and Stolt Offhsore documentation.

2.0 SMS INTERFACE

This exercise has been conducted by using the template provided by BP Amoco.

Where relevant, Stolt Offshore documentation is listed opposite that of BP Amoco.

Given the space available, a certain amount of selection had to be exercised in the
process. Should any entry require explanations or discussions, the undersigned will be
happy to provide further information as the case may be.
