A The VENDOR is the absolutely owner entitled to the following extents of land in

title of the same under Sale deed Dated 11.07.2019 registered
DocumentNo. 6710 of 2019 in Book-1, in Gandhipuram Sub Registrar Office,
Coimbatore. and the Vendor is having absolute possession and un
interrupted enjoyment of the same.
B. Thus the VENDOR 0s absolutely entitled to an aggregate extent of 2.48acres of
land more fully detailed in the Schedule and hereinafter referred to as the
sCHEDULE -APROPERTY in the schedule of property hereunder.
C The VENDOR has agreed to sell common undivided fractional 104.27Sqfeet
land which is mentioned in the Schedule-B out of the total land mentioned inthe
Scheduie-A property to prospective PURCHASER and the PURCHASER has

more fully described in Schedule-B hereunder to the PURCHASER at an agreed

Hundred Ninety Two only) free from all encumbrances and charges on the
following terms and conditions.

2. PURCHASER the Schedule B property and all estates, right, title, interest, use,
inheritance, property, possession, benefits, claims and demand at law and in equity
of the VENDOR in and to the
SCHEDULE B PROPERTY or any portion or part
thereof and with all easements, rights , inclusive of right of way, pathway,
and appurtenances thereto belonging or therewith enjoyed or access
HAVE AND TO HOLD all singular the SCHEDULE B
reputed to be so, TO
PROPERTY unto the
PURCHASER forever free from all encumbrances and from all claims and demands
of the VENDOR or any person claiming through or under the

2. The VENDOR hereby declare and covenant as Follows:

a The interest hereby transferred subsists and the VENDOR has power to sell the
same. The VENDOR has full title and absolute power to sell and convey the
SCHEDULE B PROPERTY hereby sold and conveyed and no person or
persons has or have any manner of right, title, interest or claim whatsoever in or
upon the SCHEDULE B PROPERTY hereby sold and conveyed or any part
hereof. If inspite of the declaration made as above and the covenants as to title,
the PURCHASER is made to suffer any loss of title to the SCHEDULE B
PROPERTY or consequent loss of possession on account of any infimity in the
titie of the VENDOR, the VENDOR shall indemnify and save harmless the
PURCHASER defending the title and possession of the PURCHASER and
doing all acts, deeds and things as may be reasonably required in that respect
and also pay the PURCHASER any claim or loss that may be suffered or
incured by the PURCHASER by reason of any defect or loss of title to the
SCHEDULE B PROPERTY.

b The VENDOR does hereby assure the PURCHASER that the VENDOR has
not at any time done or knowingly suffered any act, Deed or thing by which the
title of the VENDOR to the SCHEDULE B PROPERTY hereby sold and
conveyed is or could be in any way affected, and that the VENDOR has not
created any mortgage, charge, lien or encurmbrance whatsoever on the
SCHEDULE B PROPERTY hereby sold and conveyed or any part thereof, that
the SCHEDULE B PROPERTY is not subject to any Lispendens and the
VENDOR does hereby agree and covenant with the PURCHASER that the
VENDOR shall indemnity and keep indemnified at alltimes and from time to time
the PURCHASER in respect of any claim or claims by any person or persons to
the SCHEDULE B PROPERTY hereby sold and conveyed or any part thereof.

The PURCHASER shall possess and enjoy the SCHEDULE B PROPERTY
hereby sold without any interruption or disturbance by the VENDOR or any
person claiming thorough or under the VENDOR and without any lawful
disturbance or interruption by any other person whomsoever.

d. The VENDOR shall at the cost of the person so requiring execute and do every
such assurance or thing necessary for further or nore perfectly assuring the
SCHEDULE B PROPERTY to the PURCHASER, their successors and assigns
as may reasonably be required.
e. The VENDOR has paid all taxes, rates , charges and outgoings iable to be
paid in respect of the SCHEDULE B PROPERTY sold up to the date of this
Deed of sale and that in the event of the PURCHASER being required topay
and paying any taxes, rates, charges or outgoings in respect of any period or
part of any period prior to the date of this Indenture of Conveyance the VENDOR
shall make good to the PURCHASER all such amounts as are required to be
paid and are paid by the PURCHASER

f. That the SCHEDULEB PROPERTY is not subject to any land ceiling restrictions
under any law governing the same and the VENDORis under no impediment to
transfer the SCHEDULE BPROPERTY to the PURCHASER.

3. The VENDOR has this day delivered vacant and peaceful possession of the
sCHEDULE B PROPERTY to the PURCHASER.

4. The VENDORhereby agreeswith PURCHASER for effecting mutation of records


relating to the SCHEDULE B PROPERTY on the files of the several Authorities
have
(Revenue, Municipal, and otherwise) and that the PURCHASER is free to
PURCHASER without any
such mutation or transfer effected in favour of the
further consent from or notice to the VENDORS.

and conditions set out therein.
