Locum Agreement

 LOCUM AGREEMENT
BETWEEN

(1) Penda Health Ltd. of P.O. Box 22647-00100, Nairobi, Kenya (hereinafter referred
to as “we”, “us” or “the Company”)

(2) And Reuben Kipkoech Kiprop of Tel 0725206803 / 0785193535. Nairobi, Kenya,
National Identity card No 36245018 (Hereinafter Referred to as “Locum”/ ÿou”).

The locum holds a practicing license that is valid ( as per the attachment) and will work
as a (Radiographer) an independent sub-contractor of Penda Health Limited and not as
an employee from 20th April 2024 to 19th October 2024 (Agreed term), on the following
conditions:

1. The Locum will work in Kimathi Street Medical Centre for the duration of the
agreement, reporting to and taking instructions from the Branch Manager or to any
person whom the authority is delegated to.
2. You will act in a professional, competent and responsible manner in providing care
to our patients.
3. During the subsistence of this agreement, you will maintain a Professional Indemnity
Insurance cover.
4. You will report as soon as is practicable an act or conduct or circumstance whether
of their own part or that of another any situation that could lead to a risk for Penda
and make a written report of the same.
5. You shall neither during the agreement (except in the proper performance of your
duties) nor at any time (without limit) after the termination thereof, directly, or
indirectly:
a) Use for your own purposes or those of any other persona or other organization,
or disclose to any person or other organization, any trade secrets or confidential
business information relating to the Company, including but not limited to any
such information relating to customers, customer lists or requirements, price
 lists of pricing structures, marketing and sales information, business plans or
dealings, employees or officers, financial information and plans, designs,
formulae, specific technical information, research activities, any document
marked “Confidential”, or any information which you have been told is
confidential or which you might reasonably expect the Company would regard as
confidential, or any information which has been given to the Company in
confidence by customers, suppliers and other persons.
6. You will attend to our patients and/or on need basis Failure to attend to them as
specified will amount to material breach of this agreement.
7. You are to perform the duties contemplated herein with reasonable skill and care
and warrant that you are fit for purpose contemplated herein.
8. In the performance of the Services hereunder, you shall comply with all applicable
laws, regulations, and guidelines.
9. The locum shall abide by Penda Health’s values, policies, and standard operating
procedures. Any violation of the same will lead to action being taken against the
locum.
10. You may not assign this Agreement or any interest herein, or delegate any of his
duties hereunder, to any third party without the Penda’s prior written consent.
11. You shall indemnify and hold harmless Penda, its officers and employees from and
against damages, liabilities, losses, costs, and expenses, but only to the extent
caused by any negligent acts, errors or omissions, or of those you are legally liable,
which arise out performance of your duties under this contract.
12. This agreement may terminate with at least 24 hours written notice by both parties.
Payment Terms
1. Every Wednesday you will be required to issue a typed invoice of the work done to
Penda Health Ltd.
2. Fees paid will be ksh 3,000 for a full day worked.
3. The consultant/ Locum will be charged 5% withholding tax for any paid wages
above ksh 24,000.
