RESOLUTION FOR AUTHORISATION TO SHRI SANJAY MEHTA (AUTHORISED SIGNATORY) TO

EXECUTE ARRANGEMENTS/AGREEMENT

“RESOLVED THAT” the Consent of the Board be and is hereby accorded for signing and execute
Arrangements/Agreement with Financial Institutions, Trust , NBFC and any other legal entity on
behalf of the company. Consent of the Board also be and is hereby accorded to avail funds for
investment in projects for Rs.50.00 Crores,(Rupees Fifty Crores) secured/unsecured loans from
company, Financial Institutions, Trust , NBFC, and any other legal entity upon terms and
conditions as may be mutually agreed.

“RESOLVED FURTHER THAT Mr. Sanjay Mehta, authorised signatory of the Company be and is
hereby individually authorized to negotiate, finalize and execute agreements and documents on
behalf of the Company financial institutions, NBFC, and other sources with and do all such acts,
matters, deeds and things and to take all steps and do all things and give such directions as may
be required, necessary, expedient or desirable for giving effect to the said transfer agreement
for procuring funds in favour of the company ”.

“RESOLVED FURTHER THAT the aforesaid power entrusted to the said official shall be valid and
effective unless revoked earlier by the Board or shall be exercisable by him so long as he is in
the concerned to the Company.”

“RESOLVED FURTHER THAT all acts, deeds, things, matters, etc. as afore stated shall be deemed
to be valid and enforceable only if they are consistent with the instant resolution as may be
relevant in this case.

“RESOLVED FURTHER THAT a certified copy of the resolution be given to any one concerned or
interested in the matter.”
