AMENDMENT TO DECLARATION
OF
MASTER COVENANTS, CONDITIONS AND RESTRICTIONS
FOR
FLAGSTAFF RANCH GOLF CLUB RESIDENTIAL COMMUNITY

THIS AMENDMENT TO DECLARATION OF MASTER COVENANTS,


CONDITIONS, AND RESTRICTIONS FOR FLAGSTAFF RANCH GOLF CLUB
RESIDENTIAL COMMUNITY ("Amendment") ismade and iseffective
December 26, 2014.

RECITALS

A. The Declarationof Master Covenants, Conditions and Restrictionsfor Flagstaff


Ranch Golf Club ResidentialCommunity (the"Declaration")was recordedon December 20, 2001
at Instrument #3122291, OfficialRecords ofCoconino County. Unless the context otherwise
requires, terms not otherwisedefinedhereinshallhave the meaning ascribedto them
capitalized
under the Declaration.

B. Pursuant to Sections20.5 and 5.13 of the Declaration,the Declarantreservesthe


right to unilaterallyamend the Master Declaration,prior to the TransitionDate, without the
approval of the Board or Members; provided however, thatno such amendment shallhave the
effectof changing the Platof an Owner's Lot withoutthe consentof the Owner.

C. The Declarationdefines Declarant as "FRGC Development LLC, an Arizona


limitedliabilitycompany, itssuccessorsand assigns,or any Person towhom theDeclarant'srights
hereunder are hereinafterassigned by recorded instrument,or any Mortgagee of the Declarant
which acquirestitletoor succeedsinthe interest
of theDeclarantinsubstantially
allof the portions
of the Propertythen owned by the Declarant . . .."(Section1.11).

D. On February 20, 2009, FRGC Development LLC, assignedthe Declarant'srights


within the Master Declarationto the FlagstaffRanch Golf Club (the "Golf Club") pursuant to
InstrumentNo. 3514391, OfficialRecords ofCoconino County.
E. An Amendment to the Declarationrecorded on
May 20, 2010, as InstrumentNo.
3562252, OfficialRecords of Coconino County, extended the Declarant'sTransitionDate to
December 31, 2012.

F. An Amendment to the Declarationrecordedon December


28, 2012, at Instrument
No. 3649839, OfficialRecords ofCoconino
County, extended the Declarant'sTransitionDate to
December 31, 2014.

G. DeclarantGolf Club executesand recordsthisAmendment to the Declarationfor


the purpose of amending ArticleVII relatedto Assessments.

NOW, THEREFORE, the Declarationishereby amended as follows:

1. Any terms capitalizedhereinshallhave the meaning assigned to itin the master


Declaration;and ifnot expresslyassigned in the master Declaration,shallhave the meaning
assignedto itinthatDeclarationof Golf Club Easement and Restriction recorded December 22,
2001, as InstrumentNo. 3122290, recordsof the Coconino County Recorder.

2. The Master Declarationishereby amended by adding the


followingsection7.18

7.18 Assessment Concessions. Anything to the contrary in this ArticleVII


notwithstanding,inorderto facilitate
the growth of the community, the Board may
grantreasonableconcessionswith respectto Assessments under thisArticleVII on
lotsowned or transferred
by the Golf Club.

3. No Further Amendments. Except as specifically


setforthherein,the Declaration,
as amended, and allprovisionsthereofremain infullforceand effectwithout furthermodification
or amendment.

4. Counternarts. This Agreement may be executedinany number ofcounterparts,each


of which, when so executed,shallbe deemed an original,
butallof which shallconstitute
one and the
same agreement.
