SUBSCRIPTION CONTRACT

FRANZISKA BEACH RESORT INCORPORATED, a corporation organized and existing under and
by virtue of Philippine laws, (the Corporation for brevity (with principal place of
business at Jubay, Liloan, Cebu, hereinafter represented by its President Mr.
Renato Baruffol, to be referred throughout this agreement as the VENDOR, for and in
consideration of the sum of P__________, receipt of which is hereby acknowledged,
hereby sells, conveys, and transfers by way of this agreement, 500 shares of stock
of the unissued portion of the Corporation's authorized capital stock with a par
value of P100.00 per share unto Mr. ______________________, of legal age, Filipino,
married, and a resident of ____________________ hereinafter called the VENDEE.
Upon execution of this agreement, the Corporation binds itself record this
transaction into its corporate books and to issue to the vendee the stock
certificate/s representing the shares of stock purchased by the vendee.
It is further agreed that the vendee shall become a stockholder of record of the
Corporation upon execution of this agreement.
