EXTRA-JUDICIAL SETTLEMENT OF ESTATE

WITH DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

KRISTINE P. VICENTE, single, of legal age, Filipino, and a


resident of Imus, Cavite.
-and-

KIMBERLY P. VICENTE, single, of legal age, Filipino, and a


resident of Imus, Cavite.

(hereinafter collectively referred to as “HEIRS of ROLANDO C. VICENTE”).

WITNESSETH: That-

WHEREAS, we are the legitimate children and sole heirs of the deceased
ROLANDO C. VICENTE (Decedent) who died on November 19, 2015.

WHEREAS, the Decedent died intestate, without any Last Will or Testament, and
without any outstanding debts or accounts;

WHEREAS, the deceased left a certain parcel of land having an aggregate area
of SIX HUNDRED EIGHTY-NINE (689) square meters, more or less, situated in Brgy.
Sta. Barbara, Municipality of Victoria, Province of Tarlac, and more particularly described
in Transfer Certificate of Title No. 429256 (TCT No. 429256) (hereinafter referred to
as the “Subject Property”) issued by the Registry of Deeds for the Province of Tarlac,
more particularly described as follows:

TECHNICAL DESCRIPTION

“A parcel of land (Lot 2275-G of the subdivision plan Psd-


03-158472, being a portion of lot 2275, Victoria cad., L.R.C.
Rec.No. ), situated in the Bo. Of Sta. Barbara, Mun. of Victoria,
Prov. Of Tarlac. Bounded on the NW., along line 1-2 by lot 2275-F
of the subd., plan; on the NE., along line 2-3 by lot 2277 Victoria
cad; on the SE., along line 3-4 lby lot 2275-H of the sub., plan;
and on the SW., along line 4-1 by road (6.00 m. wide). Beginning
at a point marked “1” on plan, being N. 86 deg. 06’E.,647.69 m.
from BBM no. 29 Victoria cad; thence N. 37 deg. 57’E., 58.30 m.
to point 2; thence S. 60 deg. 17’E.,8.16 m. to point 3; thence S. 31
deg. 35’W., 61.78 m. to point 4; thence”.

A copy of TCT No. 429256 is hereto attached and made an integral part hereof as
Annex “A”;

WHEREAS, to the best knowledge and information of the Heirs of Rolando C.


Vicente, the Decedent left no debts or obligations due against the Estate of the
Decedent;

WHEREAS, the above-described Subject Property is not tenanted and does not
come within the operation of the Comprehensive Agrarian Reform Program;

WHEREAS, pursuant to Section 1 of Rule 74 of the Revised Rules of Court of


the Philippines, and both being with full capacity to contract, we, as the Heirs of Rolando
C. Vicente, do hereby adjudicate unto ourselves the land described above, in equal
shares pro indiviso;

WHEREAS, the HEIRS of ROLANDO C. VICENTE hereby release, acquit, and


forever discharge each other from any and all rights, actions, claims, debts, demands,
costs, contracts, liabilities, obligations, damages, and causes of action whether known,
suspected or unknown, whether in law or in equity, which each Heir of the Decedent, as
the case may be, had or now have or may claim to have to any subject matter, which
was or could have been raised in connection with the Subject Property of the Decedent.

WHEREAS, having deemed the adjudication and distribution of the Estate of the
Decedent to be fair and equitable, the Heirs of the Decedent herein, therefore release,
waive, and free the Estate of the Decedent, and each and every one of them, from any
and all claims, rights, inheritance, and/or causes of actions which each of them may
have against the other as heirs of the Decedent.

NOW THEREFORE, and for and in consideration of the sum of PESOS: ONE
HUNDRED THIRTY FIVE THOUSAND PESOS ONLY (P135,000.00), Philippine
Currency, receipt of which is hereby acknowledged by us to our full and complete
satisfaction, we do hereby SELL, CONVEY, and TRANSFER by way of ABSOLUTE
SALE unto ________________________________ (hereinafter the “BUYER”), their
heirs, assigns and successors-in-interests, all our rights, interests and participation over
the above-described Subject Property;

WHEREAS, the Heirs of Rolando C. Vicente hereby warrant their valid title to
and peaceful possession of the property herein sold and conveyed, and further declares
that the same is free and clear of all liens and encumbrances of any kind whatsoever.
The Heirs of Rolando C. Vicente undertake that they and their heirs, successors, and
assigns shall warrant and defend the title to the Subject Property subject of this
Extrajudicial Settlement of Estate with Deed of Absolute Sale against all claims of all
persons or entities. The Heirs of Rolando C. Vicente further guarantee the right of
BUYER to take possession of the Subject Property herein sold upon signing and
execution of this document and will defend the latter against all judicial or administrative
actions for eviction.

FINALLY, the Heirs of Rolando C. Vicente shall hold harmless and indemnify the
BUYER, their heirs, assigns and successors-in-interest, against any and all liability,
obligation, loss, damage, claim, suit, proceeding, judgment, settlement, cost, and
expenses, to which each may become subject from or arising out of: (i) any breach or
inaccuracy in any of the representations of the Heirs of Rolando C. Vicente, warranties,
and covenants made herein; (ii) any defect in its title to and possession of the property
herein sold; (iii) any claim made by any third party or parties against the BUYERS, their
heirs, assigns, and successors-in-interest in connection with the transaction
contemplated herein; (iv) failure to perform any of the Decedent and his Heirs’
obligations herein; (v) any act performed, transaction entered into, or state of facts
suffered to exist by the Decedent and his heirs prior to this date; and (vi) any tax
assessment or re-assessment on the estate of the Decedent acquisition of ownership of
the Subject Property for the table year or other period ended before the Closing Date.

This Agreement shall be valid and binding not only on the parties herein but also
on their heirs, agents, representatives, successors and assigns.

IN WITNESS WHEREOF, we have hereunder affixed our hand this ____ day of

The foregoing instrument consisting of three (3) pages, including this page thereon the
acknowledgment is written, is an EXTRA-JUDICIAL SETTLEMENT OF ESTATE WITH
DEED OF ABSOLUTE SALE, and has been signed by the said parties on the signature
page and on each and every page thereof and this instrument has also been sealed with
my notarial seal.

IN WITNESS WHEREOF, I have hereunto set my hand the day, year and place
