MISSION
To provide monitoring and oversight over ethics programs
rollout and guidance in the design, formalization, and
maintenance of all company policies, process and
procedures, according to standards/norms in force in MTN.
The role provides assurance to management that Ethics
rules are adhered to, and Policies, processes and
procedures are adequate, up to date and aligned with
business objectives.
OPERATIONAL DELIVERY
• Identify policies, processes and procedures by
department;
• Map all the company policies, process and procedures as
per the Business requirements;
• Assist supported divisions in developing policies,
processes and procedures where these do not exist, or
where weaknesses have been highlighted by various
assurance activities including Internal Audit;
• Evaluate the effectiveness of existing policies and
procedures, and work with supported divisions to initiate
enhancements as identified;
• Monitor lifecycle of policies, processes and procedures
(design, formalization, diffusion, update, delete etc.)
through the execution of an effective program;
• Review policies and procedures, according to new rules
and regulations and work with the impacted divisions to
affect necessary changes;
• Facilitate audits of policies, and procedure to standards,
including liaison with internal and external auditors;
• Drive continuous improvement on standardization of
processes across MTN CI along with supported divisions
(who are the owners) leading to an improved internal
control environment;
• Drawing up, managing and monitoring the implementation
of ethics programs in accordance with Group and
subsidiary guidelines;
• Investigating, analysing and issuing recommendations in
cases of ethical misconduct;
• Organising and analysing declarations of conflicts of
interest and mitigating the risks involved;
• Monitoring the application of policies governing good
conduct and ethical behaviour within the subsidiary;
• Organising ethics committees and monitoring the
implementation of recommendations;
• Develop and implement actions to improve the
subsidiary's ethical maturity;
WORK EXPERIENCE
• Min 5 years’ experience in: design, implementation, training
and monitoring of company policies, processes and
procedures – Organization – Ethics management
• Experience in Telecoms industry
• Experience working in a medium organization

• Minimum Bac +4/5 En Droit, de préférence Droit
d’entreprise/privé
• Avoir des notions en anglaisproposer des solutions privées
ou judiciaires pour les litiges en conformité avec les règles
de gouvernance ;
• Traiter les saisies, ATD et réquisitions ;
EXPERIENCE PROFESSIONNELLE
• Au moins 3 ans min d’expérience dans un poste de juriste
en Entreprise en matière de conseil et de rédaction de
contrats
• Expérience de travail dans un cabinet de conseil juridique
ou d’avocats
• Effectuer une veille juridique et réglementaire dans le
domaine des télécommunications : évolution de la
réglementation (nationale, internationale), jurisprudence,
etc ;
• De manière générale effectuer toutes les taches qui re-
lèvent de son périmètre d’activité
