TERMS AND CONDITIONS OF EXCHANGE:


1. Core Units not returned within thirty (30) calendar days of shipment of the Exchange Unit ("Core Return Time") will be subject to an
additional Exchange Fee. An additional Exchange Fee will be applied on the expiration of the Core Return Time and then again after each
fourteen (14) day period or part thereof until either the Core Unit is received and accepted by AerFin or is converted to an outright sale at
the sole discretion of AerFin. If a Core Unit is not received by AerFin within sixty (60) calendar days of shipment of the Exchange Unit,
AerFin may convert the exchange order to an outright sale in which case the outright value, in addition to the applicable Exchange Fee(s),
shall be payable by Customer. Core Units returned with incomplete paperwork will be treated in the same manner as an overdue Core Unit,
with the same charges to apply.

2. Prior authorisation is required before an Exchange Unit can be returned due to a failure within the agreed warranty period. Unless agreed
otherwise, any Exchange Units returned after the expiry of the warranty period will not be accepted. All original paperwork must be returned
with the Exchange Unit or the Exchange Unit will be considered unacceptable and all repair charges will be billed to Customer. All
transportation costs incurred in returning the Exchange Unit to AerFin for warranty will be for the account of Customer. AerFin will send the
Exchange Unit to the repair facility for evaluation before credit is issued. If the Exchange Unit is determined faulty for reasons other than
customer induced damage, misuse, mishandling, non-compliant repair, FOD, accident or incident (in which case any repairs will be for
the Customer’s account), the invoiced Exchange Fee will be credited. If the shop advises "no fault found" the Customer is liable for all freight,
shop evaluation fees including a ten percent (10%) handling fee and the original Exchange Fee in addition to any recertification charges
AerFin may incur in recertifying the unit to the same standard as supplied. AerFin shall have no further liability for a faulty unit and under
no circumstances shall AerFin be liable for loss of profits or any consequential losses. A failure by Customer to comply with the requirements
set forth in this Paragraph 2 shall invalidate any warranty claim.

3. Customer agrees to pay for the overhaul/repair/modification of the Core Unit to bring it to the same standard as the Exchange Unit supplied,
plus all transportation costs (including shipping insurance and/or customs taxes and duties) and a handling charge of ten percent (10%) of
the repair costs or a minimum charge of $250, whichever is greater. Core Units will be sent to a repair vendor of AerFin’s sole choosing
(including OEM’s) and such vendor may not be the same as the certifying vendor of the Exchange Unit supplied. AerFin shall provide a
quotation for all core repair costs for notification purposes only, prior to an invoice being issued. Any queries relating to such repair costs
shall be raised by Customer within five (5) calendar days of the quotation issue date or the quotation will be deemed accepted by Customer
and an invoice issued.(If Flat Rate Exchange refer to item 15).

4. All life limited parts and inflatables must be returned with at least the same date of manufacture (DOM) and/or total life remaining as the
Exchange Unit supplied. If the Core Unit is returned with a DOM and/or TSN/CSN which exceeds that of the Exchange Unit, a differential
pro-rata charge based on the Outright Value will be charged to Customer. AerFin reserves the right to reject any Core Units that are returned
with a DOM / TSN/CSN which exceeds that of the Exchange Unit supplied at its sole discretion.

5. Serviceable Core Units and alternative part numbers will not be accepted without the prior written approval of AerFin. All costs to modify
the Customer's Core Unit to the same specification as the Exchange Unit will be for the account of the Customer. Any serviceable Core
Unit provided by the Customer shall have the same warranty terms as was provided by AerFin with the original Exchange Unit and shall
be provided with those documents listed in Paragraph 9. AerFin reserves the right to reject an unlike Core Unit and to convert the
exchange transaction to an outright sale.

6. Any incident related Core Unit or any Core Unit missing a data plate will be rejected by AerFin and the charges set forth in Paragraph 1 will
apply unless and until an alternative Core Unit is provided by Customer. Should the Customer be unable or unwilling to provide an alternative
Core Unit within sixty (60) days of AerFin’s rejection notice, AerFin reserves the right to convert the exchange transaction to an outright sale
whereby Customer will be billed the outright value for the Exchange Unit in addition to any Exchange Fees already incurred.

7. Customer is liable for any damages occurring during shipment of Core Unit to AerFin.

8. In the event that the Core Unit is unacceptable to AerFin, the repair cost of the Core Unit exceeds 75% of the outright value, the Core Unit
is deemed BER by the repair station, or the Core Unit is deemed obsolete, the Customer will be billed the aforementioned outright value
as well as the original Exchange Fee, any applicable late fees, transportation and evaluation fees for the Core Unit. Title to all Core Units
which are deemed BER or obsolete shall transfer to AerFin pursuant to Paragraph 13 (even if Customer has paid the outright value for the
Exchange Unit).

9. Core Units are to be returned to the AerFin address as stated above via prepaid freight and must include: ATA 106 Non-incident
statement (in a form satisfactory to AerFin) from Customer and the airline from which the Core Component was removed, removal tag,
proof of trace from the airline via packing slip or a signed statement from the operator indicating part number, serial number and reason
for removal. Full records and traceability documents for all time and life controlled parts are to be provided. Approved core sources are:
OEM or Aircraft manufacturer, 129, 121 and 135 operators. Core Units returned in a Serviceable condition pursuant to Paragraph 5
must be accompanied by EASA / FAA dual release certification and full traceability documents for time and life- controlled parts. Core
Units will not be accepted if they have been operated by any government or military sources.

10.Customer shall be liable for any losses, damages and expenses directly or indirectly arising from the installation, misuse or mishandling of
the Exchange or Core Units or from any other cause.

11.If an Exchange Unit is returned unused within seven (7) days complete with its original supplied documentation and a certificate stating
that the Exchange Unit has not been installed, fifty percent (50%) of the Exchange Fee will be credited and the remaining fifty percent
(50%) charged as a restocking charge subject to a minimum restocking charge of $500. AerFin reserves the right to send Exchange
Units returned unused for Test & Recertification at the Customer’s cost.

12.Title to Exchange Units will transfer to Customer upon AerFin’s receipt of the Customer’s Core Unit, simultaneously, AerFin will
gain title to the Customer’s Core Unit. Customer warrants that it has full legal and beneficial title in and to its Core Units and will
pass such title, with full guarantee to AerFin.

13.On Flat Rate Exchanges a Core Unit is considered BER and converted to a sale if the cost to repair/overhaul exceeds seventy-five (75%)
of the outright value. Any and all applicable charges identified in item 8 above shall apply.

14.The flat rate Exchange Fee includes the standard overhaul/repair of the Core Unit. A supplementary invoice may be rendered to cover any
out of scope material requirements in the event that the Core Unit requires any high cost breakdown spare parts that exceed the standard
overhaul or if it has been subjected to misuse, mishandling, FOD, contamination and/or catastrophic failure.

15.This Exchange Order is subject to AerFin's standard Terms and Conditions of Sales and Repairs, (available at www.aerfin.com), which are
hereby incorporated into this Exchange Order. In the event of any contradiction between these exchange terms and the Terms and
Conditions of Sales and Repairs, these exchange terms shall prevail.
