MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding ("MOU") is entered into on April 15th, 2024, "Effective April 19th, 2024" by and
between INTEGRASI KUASA SDN BHD, hereinafter referred to as the "Purchaser", and ORDA SINTEZ GAZ
REFINERY LLP, hereinafter referred to as the "Provider".
1. Proof of Funds:
The Purchaser acknowledges and agrees to promptly issue an MT199 proof of funds within 72 hours of the Provider's
request. Failure to do so within the stipulated time frame will result in the transaction being deemed unfulfilled from the
Purchaser's end.
2. Deposit as Guarantee:
In the event of failure to provide the MT199 proof of funds within the specified time frame, the Purchaser agrees to
provide a deposit of $210,000.00 ("Deposit") as a guarantee of their commitment to the transaction. This Deposit will
be held by the Provider and will be deducted from the final invoice upon successful completion of the transaction.
3. Terms and Conditions:
a. The Provider shall notify the Purchaser in writing of the request for the MT199 proof of funds.
b. The Purchaser shall ensure that the MT199 proof of funds is issued accurately and in accordance with the
Provider's requirements.
c. The Deposit provided by the Purchaser shall be non-refundable in the event of non- compliance with the terms
outlined herein.
4. Termination:
Either party may terminate this MOU upon written notice to the other party in the event of a material breach of the
terms herein by the other party.
5. Governing Law:
This MOU shall be governed by and construed in accordance with the laws of [Jurisdiction].
6. Entire Agreement:
This MOU constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes
all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject
matter.
