ABSOLUTE SALE DEED

THIS DEED OF ABSOLUTE SALE is made and executed on this


22nd Day of August 2023 (22.08.2023) at Bangalore by and
between:
Sri. ARVIND S
Aged about 38 years
S/o Sri. G Sunderashan
Res at: No.13, Ganesh Nilayam,
Muniswamy Reddy Layout,
Ramamurthy Nagar, Bangalore – 560016

(hereinafter referred to as the “VENDOR” which term shall
mean and include their respective Legal Heirs, Representatives,
Administrators, Executors and Assigns) of the ONE PART;
AND:
Sri. MANOJ KUMAR DUBEY
Aged about 47 years
S/o Sri. Ramadhar Dubey
Residing at: No. 7/1, Krishnamurthy Layout,
Near Transworld International Godown,
Halehalli, T C Palya, K R Puram Post,
Bangalore – 560036
Aadhar No. 3332 4813 0153

Hereinafter called the "PURCHASER" (Which expression shall


mean and include her heirs, successors, executors,
administrators, legal representatives, attorneys and assigns) of
the Other Part.

WITNESSESTH AS FOLLOWS:-
Whereas the VENDOR is the sole and absolute owner in lawful
and peaceful possession of the Schedule Property bearing Site
No. 4, Property No. 971/230/319/2/4 and E-Khata PID No.
150200400501101475, (earlier Khata No. 319/2 and 230,
Old Property No. 41/1), Situated at Halehalli Village,
Bidarahalli Hobli, Bangalore East Taluk, Bangalore, morefully
described in the Schedule hereunder he having acquired the
same by way of reg. sale deed vide Document No.BDH-1-05419-
2012-13 in Book-1, dated 15.12.2012 stored in CD No.
BDHD92 at Sub-Registrar Office, Bidarahalli, Bangalore.

Thereafter the Vendor has got E-Khatha from the concerned


Panchayath for the said schedule property vide E-Khatha No.
150200400501101475 and accordingly the Property taxes have
been paid up-to-date to the concerned authorities, and as such
the VENDOR has got absolute powers of alienation of
whatsoever manner he likes.

And whereas, the VENDOR is in uninterrupted possession and


enjoying and paying the taxes inter-alia exercising all acts of
dominion and ownership in and over the aforesaid schedule
property without any claim, objection or hindrance from any
quarter till the date of executions of these presents.

Whereas the VENDOR herein has offered to sell the schedule


property for a valuable consideration and were on the look out
for a prospective PURCHASER and the PURCHASER herein has
come forward to purchase the schedule property for a valuable

consideration of Rs.23,50,000/- (Rupees Twenty Three Lakhs
Fifty Thousand Only) free from all encumbrances and that the
VENDOR have accepted the offer of the PURCHASER and there
being no legal impediments, this Deed of Absolute Sale is made.

NOW THIS DEED OF ABSOLUTE SALE WITHNESSETH AS


FOLLOWS:
1. That in consideration of a sum of Rs.23,50,000/-
(Rupees Twenty Three Lakhs Fifty Thousand Only), paid
by the PURCHASER to the VENDOR by fallowing manner: -
a). Rs. 4,00,000/- (Rupees Four Lakhs Only) paid by way of
cheque No. 789756 dated 20.05.2023 drawn on State Bank of
India, Bhattarahalli, Bangalore.
b) Rs. 19,50,000/- (Rupees Nineteen Lakhs Fifty Thousand
Only) paid by way of cheque No. 789758 on dated 22.08.2023
drawn on State Bank of India, Bhattarahalli, Bangalore.
before the under mentioned witnesses, the receipt of which is
hereby admitted and acknowledged by the VENDOR and the
VENDOR does hereby convey, sell, transfer and assign the
schedule property in favor of the PURCHASER.

2. The VENDOR having acknowledged the receipt of the full


consideration, and there is no balance due in respect of the
schedule property, the VENDOR does hereby convey, sell,
transfer and assign unto and to the use of the PURCHASER,
the schedule property with all the right, title and interest in
the schedule property of the VENDOR unto the PURCHASER
forever and the schedule property is free from all charges,
liens etc.,

3. The VENDOR hereby covenants and declares that the
VENDOR possesses a valid right, title and interest to convey
the said schedule property hereby conveyed unto and to the
use of the PURCHASER in the manner aforesaid, further the
schedule property is not subject to any court attachment,
maintenance and the same is also not included in any court
decree.

4. Furthermore, the VENDOR and all persons claiming


under the VENDOR shall and will from time to time upon the
request of the PURCHASER, do or execute all such acts,
deeds and things whatsoever for further and more
particularly assuring the said schedule property and every
path thereof unto the PURCHASER and placing the
PURCHASER in possession of the same according to the
intents and meanings of these as shall or as may be
reasonably required.

5. The VENDOR further covenants and declares that the


schedule property is free from all encumbrances, charges,
claims, litigations, acquisitions and demands and that the
VENDOR has not done anything whereby the schedule
property may be subjected to any court attachments or lien of
any court or person whatsoever and that there are no claim
or claims of any other person or persons whatsoever.

6. And further the VENDOR shall at all times hereafter


indemnify and keep indemnified the PURCHASER against any
loss, damages, charges, costs if any suffered by reason of any
detect in the title of the VENDOR or any breach of the

covenants herein contained or against any claim or claims
made by any person or persons claiming under the VENDOR
or in trust for the VENDOR.
7. The VENDOR hereby assures the PURCHASER, that all
taxes/cesses/charges been paid by the VENDOR to the
competent authorities in respect of the schedule property
upto the date of registration of this sale deed.
8. The PURCHASER shall from this day pay all taxes/
cesses/ charges including the payment of the property tax in
respect of the schedule property to the competent authorities
and obtain the transfer of Katha of the schedule property in
his name at his cost and expenses with the concerned
authority.
9. The VENDOR has this day delivered all the
Original/Attested copies of relevant documents pertinent to
the schedule property to the PURCHASER. And the VENDOR
have this day delivered vacant possession of the schedule
property to the PURCHASER; in turn the PURCHASER can
hold and enjoy the same without any interruption or
interference either by the VENDOR or by any other persons
claiming under or through the VENDOR.
10. That Schedule Property is the self-acquired property of
VENDOR, acquired out of his own funds, further VENDOR
alone is the absolute owner of the schedule property and that
no one else has any right, interest, or share therein.
11. That there are no pending proceedings under Karnataka
Land Reforms Act, Karnataka Land Revenue Act, Karnataka
(Prevention) of Transfer of Certain Lands Act, or any other law

for the time being in force with respect to Schedule
Properties.
12. That the VENDOR herein has declared / represented that
he has not withheld any information, facts, and
circumstances prejudicing / affecting the title of the Schedule
Property.
13. That the VENDOR herein specifically represents that the
Schedule Property is free from all encumbrances and there
are no pending disputes, third party claims and any claims
from any financial institutions. The Schedule Property is not
subject matter of any suits before any civil court or any
proceedings before debt recovery tribunals and the same is
not subject matter of any decree attachment from any court
of law. Further the VENDOR herein categorically represents
that there are no proceedings pending under securitization
act. Further the schedule property is not given as collateral
security to any financial institutions / Banks. Further there
are no proceedings pending before any Arbitrator in respect of
the Schedule Property. And also the VENDOR herein
represents that he is in actual, physical possession and
enjoyment of the Schedule property.
14. That the VENDOR herein has sold the Schedule Property
in favor of PURCHASER along with all the rights attached to
Schedule Property, including the easement right, that rights
enjoying by the VENDOR shall be enjoyed by the
PURCHASER without any interpretation, since the
PURCHASER is the successor in title with respect to Schedule
Property.

All that piece and parcel of the property bearing Site No. 4,
Property No. 971/230/319/2/4 and E-Khata PID No.
150200400501101475, (earlier Khata No. 319/2 and 230,
Old Property No. 41/1), Situated at Halehalli Village,
Bidarahalli Hobli, Bangalore East Taluk, Bangalore,
measuring East to West 45 feet and North to South 30 feet
in all measuring 1350 Sq.ft , and Bounded on the: -
East by : Private Property
West by : Road
North by : Site No. 3
South by : Site No. 5

IN WITNESS WHEREOF the VENDOR and PURCHASER have


affixed their signature to this DEED OF ABSOLUTE SALE on
the day, month and year first above mentioned.
