SALE AND PURCHASE AGREEMENT

“AU-METAL” GOLD BARS
This Sales and Purchase Contract is entered into and executed on this 29 Day of

Hereinafter referred to as “THE BUYER”

Whereas the Seller agrees and warrants under penalty of perjury to sell the Gold
(Au) in the form of Bars (hereinafter referred to as “Gold”) and the Buyer agrees
and warrants under penalty of perjury to buy the Gold. The Specifications, Terms
and Conditions agreed between the above said Parties are as follows:

01. DESCRIPTION OF PRODUCT:
01.1. Type of Commodity : AU Gold Bars Dore

01.2. Quantity : 150KGS Trial
01.3. Fineness : 94.33 % or better
01.4. Quality : 22 Carats plus
01.5. Delivery : CIF
01.6. PRICE : $55,000.00/Kg
02. LOCATION AND DELIVERY: CIF
04. POSSESSION:
The Gold is free, clean and clear of all liens and encumbrances including local
Gov’t, IMG, IMF and World Bank delivery to the Buyer.
05. BREAKDOWN AND PAYMENT :
1. The buyer will come to Seller office for fiscal verification of gold offer, after
that both seller and buyer move to Notary public office to legalize the signed
contract Agreement between the parties, from the Notary public office both take
the entire 150 kilograms of Gold to KMR Refinery for testing of the agreed gold
quantity to ascertain the purity and obtain the Assay report of the Gold. once the
testing process is completed, the buyer pays deposit of 7% to seller to receive
collateral as a guarantee which will be deposited to refinery security vaults or
security company SAGAM by the until seller finish obtaining delivery
documents.
Once documents are completed, Buyer will then bring the collateral to meet with
the seller at the Airport immediate exit of the agreed 150 KG gold from Bamako

Mali to Dubai UAE for final payment, which after 72Hours after deliver buy
makes a deduction 10% and pays seller 93% remaining cost of gold.
Future subsequent delivery will be 500 on monthly basis with extension of 1year
contract agreement.
06. DOCUMENTS:
The SELLER is responsible to provide all documents to the Buyer as follows:

The Seller is wholly responsible to the security of 150kg.
6.1 Four (4) copies of Commercial Invoice made out to the SELLER.
6.2 Packing List.
6.3 Certificate of Origin.
6.4 Certificate of Ownership.
6.5 Certificate of Assay (samples assay report).
6.6 Any consignment papers for the refinery to receive the GOLD BARS.
Security House Warranty of Delivery to destination and the cost prior to
execution of delivery.
6.7 Certificate stating that the AU Metal is Free from All Liens, encumbrances,
Freely Tradable and is from non-criminal origin and any other Document
necessary to complete the Sales Transaction.
07. DELIVERY:
The Seller must make the goods available ready for exportation on time at the
airport to be delivered in Dubai at the scheduled date and time.
08. PAYMENT:

- The buyer makes TT payment in 72hours after the arrival of the Gold in
Dubai.
- Seller will do all export documents in 3 opening day and seller representative
and will accompany goods to buyer’s destination.
- The remaining 93% amount of goods will be paid to seller after the refinery and
final analysis.
- Payments to be made in clear and clean Francs CFA equivalent to the US

DOLLAR value by wiring/transferring funds.
9. NON-CIRCUMVENTION & NON-DISCLOSURE AGREEMENT:
All the Parties hereto agree and covenant not to circumvent any person involved
in this transaction, directly or indirectly, by any means or device in any manner
whatsoever. It is further agreed and covenanted that this transaction shall in no
way be divulged and revealed, partially or wholly, to any person or body outside
the circumference of this deal. This Non- Circumvention & Non-Disclosure
Agreement shall remain valid and enforceable for a period of five (5) years from
the date hereof.
10. AUTHORITY TO SIGN:
The Seller and Buyer warrant that each has full and complete legal authority and
responsibility to execute this Sales and Purchase Contract and its execution bonds
their respective Principals to the Term and Conditions herein set Forth.
11. FORCE MAJEURE:

The Force Majeure Clause of the International Chamber of Commerce of Paris –

France, shall govern this Contract.
12. ARBITRATION:
Any dispute arising from this transaction shall be settled amicably if possible.
Jurisdiction and venue shall be proper according to ICC laws.
13. BANK COMMUNICATION:
There will be absolutely no unauthorized communication with the Buyer’s Bank

or Seller’s Bank at any time unless this has been agreed in writing by the Buyer
and Seller mutually. Unauthorized communication will immediately deem this
contract to be null and void.
14. ASSIGNS:
The Parties shall retain the right to assign this contract to any Bank or
Corporation with the written agreement of the other Party; however, the consent
can only be withheld for very important reasons. Neither the Buyer nor the Seller
shall be released from their obligations under this contract in the event it is
assigned to a third Party.
15. NOTICES:
Any and all notices required to be given by one Party to the other Party shall be
given by posting registered to be address stated herein, further if any one Party
shall change its address that the Party shall give notice to the other Party
immediately and new address shall be used for all notices.

17 SPECIAL CONDITION:
THE SELLER OR HIS REPRESENTATIVE WILL BE PRESENT WITH THE

BUYER OR BUYER’S REP ALL THE TIME UNTIL FINAL PAYMENT BY
THE BUYER.
19 TOTAL AGREEMENT
This Agreement supersedes any and all prior agreements and represents the entire
Agreement between the Parties. No changes, alterations or substitutions shall be
permitted unless the same shall be notified in writing and signed by both Parties.
20 EXECUTION OF THIS AGREEMENT

The terms of this Agreement shall be Confirmed and signed by the Buyer and the
Seller via facsimile or Email. Said executed facsimile or email shall be binding and
initiates and concludes the legal liabilities between Buyer and Seller of this contract.
