Pursuant to the provisions of Section 108 of the Companies Act, 2013 and Rule 20 of
the Companies (Management and Administration) Rules, 2014 as amended by the
Companies (Management and Administration) Amendment Rules, 2015 and Regulation
44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the
Company is pleased to provide its members with the facility to exercise their right to
vote on the agenda items as stated in the notice of the Annual General Meeting by
electronic means and the business will be transacted through the e-voting services
provided by National Securities Depository Limited (NSDL).
The details pursuant to the provisions of Section 108 of the Companies Act, 2013 and
the relevant Rules prescribed thereunder are as follows:
1. The business will be transacted through voting by electronic means.
2. Date and time of commencement of remote e-voting: Tuesday, 30th July, 2024
(9.00 a.m.).
3. Date and time of end of remote e-voting: Thursday, 1st August, 2024 (5.00 p.m.).
4. Cut-off Date: Friday, 26th July, 2024.
Any person, who acquires shares of the Company and becomes member of the
Company after despatch of the notice and holding shares as of the cut-off date
i.e. Friday, 26th July, 2024 may obtain the login ID and password by sending an
request to evoting@nsdl.com by mentioning his/her Folio No. / DP ID and Client
ID No. However, if any shareholder is already registered with NSDL for remote e-
voting, then he can use his existing User ID and password for casting his vote. If
any shareholder forgets his password, he can reset his password by using “Forgot

7. Members of the Company holding shares either in physical form or in dematerialized
form as on the cut-off date of 26th July, 2024 only shall be entitled to avail the
facility of remote e-voting as well as e-voting at the Annual General Meeting. The
voting rights of the members shall be in proportion to their shares of the paid-up
equity share capital of the Company.
8. The Company is also providing remote e-voting facility during the AGM to its
members in respect of the business to be transacted during the 35th AGM.
Members may follow the same procedure for e-voting during the 35th AGM as
mentioned in the notice for remote e-voting. Only those Members, who will be
present in the 35th AGM through VC/OAVM facility and have not cast their vote on
the resolutions through remote e-voting shall be eligible to vote through e-voting
system in the 35th A G M .
