MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement is made and entered into by andT.between:

The Don Honorio Ventura State University (Dhvsu) a Higher Education
Institution duly recognized and existing under the laws of the Philippines, through the
Office of Career Services, with main campus address at Cabambangan, Bacolor,
Pampanga, represented herein by Dolores T. Quiambao, Ed.D., Vice President for
Student Affairs and Services referred to as “DHVSU”.

and

The Xavexcom Technology Inc. a company duly organized under the law of the
Philippines with Securities and Exchange Commission (SEC) Registration
No.CS201101093 with office located at Plaza Christina Bldg. Dolores City of San
Fernando represented herein by Ruby Anne Figueroa (Manager) referred to as the
“Host Training Establishment” or “HTE”.

WITNESSETH

WHEREAS, DHVSU is a state university which provides timely and cost-effective


training program in different areas, instituted an Industry Internship, where qualified
students undergo training prior to graduation in order to adequately be familiar with
actual office/industry technical operation and management to augment their formal
learning;

WHEREAS, DHVSU allowed its students to undergo Internship, whereby proposal was
accepted and approved, subject to terms and conditions provided in this Memorandum
of Agreement;

WHEREAS, the HTE accepts the students of the DHVSU as student interns at various
facilities, in support of the Student Internship Program, to supplement the existing
curricula, to strengthen work-related skills of graduates, and to match the needs and
demands of the industry;

WHEREAS, both parties are cognizant of the need for cooperative endeavor and are
fully aware of the benefits that could be met in this undertaking;

NOW, THEREFORE, for and in consideration of the above premises, the parties
hereunto have jointly agreed to implement a scheme designed to achieve their common
objective as follows:

A. DHVSU (Main and its Campuses) shall:


1. Provide officially enrolled and qualified students to undergo Internship for
required number of hours to the HTE. (See attached List of Certified Student
Interns);

2. Designate Student Internship Program in the Philippines (SIPP) coordinator to
monitor attendance, follow-up on student interns’ performance, and coordinate
with the HTE regarding various activities/requirements under this program;
3. Provide the HTE relevant information pertaining to student interns’ profile and
data. (See Endorsement papers); DOLORES T. QUIAMBAO, Ed. D.
4. Vice

regulations of the University;
5. Provide the students with Internship Journal where they will input all their
activities/accomplishments for the week.

B. The HTE shall:


1. Serve as the Host Training Establishment for the student interns by providing
appropriate training that will develop the necessary skills and mindset for their
chosen career;
2. Only accept and accommodate student interns with complete endorsement
papers required in their internship;
3. Provide student interns an Orientation regarding the agency/industry policies,
rules and regulations and its operation before the start of the internship;
4. Provide Supervised Applied Learning Experience to student interns;
5. Station student interns strictly within the company jurisdiction throughout the
prescribed duration of their internship;
6. Enforce and strictly adhere to the IATF Health Protocol to ensure safety of
student intern throughout the duration of their internship;
7. Render eight (8) hours daily of internship. (In case there is a need for an
extended hour, student interns can only do overtime for a maximum of two (2)
hours);
8. Not require the student interns to render night shift duty;
9. Assign Internship coordinator/supervisor who will take charge and supervise the
student interns while undergoing internship;
10. Allow the SIPP Coordinator of DHVSU to conduct actual/virtual visit at least two
(2) times in a month to monitor the status of the student interns and the
program;
11. Issue a Certificate of Completion and sealed Performance Evaluation to student
interns after serving the required number of hours.

C. FURTHER, the following terms and conditions are likewise included:


1. The HTE reserves the right to discontinue the Internship of the student interns
on reasonable grounds. The discontinuation shall take effect immediately upon
receipt of the said notice. The reasonable grounds that may be the cause of
termination of the student interns’ training are as follows:
1.1 Habitual absenteeism of the student interns and related tardiness;
1.2 Willful disobedience of company policies and insubordination to lawful
order of superior;
1.3 Poor health condition, permanent disability or prolonged illness which
incapacitates the student interns from training;
1.4 Theft or malicious destruction of company property and equipment;
1.5 Inefficiency of performance in the HTE for a prolonged period despite
warning duly given to the student interns;
1.6 Involvement in violence, harassment or other form of gross misconduct
inside the company’s premises;

Note: Any findings regarding the performance and decorum of student interns
shall be forwarded to the DHVSU Office of Career Services or can be coursed
through to the assigned SIPP Coordinator for deliberations and appropriate
actions.
2. No dues will be collected from both DHVSU and HTE as the only reason for
such partnership is to increase the skill-based competencies of student interns
consistent with the professional standards;
3. Both Parties shall ensure confidentiality of records/personal information in
reference to Republic Act No. 10173 also known as “Data Privacy Act of 2012,
its Implementing Rules and Regulations related issuances and applicable laws”.
These records shall only be used for internship, placement, and research
purposes alone. The Parties agree at all times, during and after the term of this
MOA, to keep in strictest physical, organizational, and technical measures, and
to take all reasonable precautions to prevent its disclosure or misuse. Parties
and any of its officers, directors, employees, agents, and representatives shall
hold all Confidential and Personal Information disclosed to it by reason of this
MOA confidential and private, and shall not disclose any/such information to
any party subject to legal obligations and applicable laws. Parties agree not to
use Confidential and Personal Information for any purposes whatsoever other
than for the provisions of this MOA.

D. EFFECTIVITY
This agreement shall take effect immediately upon signing hereof, and shall
continue hereafter, either party may terminate this agreement at any time by serving
written notice to the other party, giving thirty (30) days lead time before intended date of
termination.

voluntary deed and that of the government agencies and institution they respectively

This instrument consisting of four (4) pages, including this page on which the
Acknowledgment is written has been signed by the parties and their instrumental
witnesses on each and every page thereof and refers to an Agreement.
