MEMORANDUM OF AGREEMENT

This MEMORANDUM OF AGREEMENT is made and executed by and

between:

THESSA MAE A. ISOBAL, of legal age, Filipino, married, and

a resident of Purok 4, Bilay, Butuan City, hereinafter referred to as the
FIRST PARTY,

- and -

REMICOR AVILA, of legal age, Filipino, single, and a resident

of Butuan City, hereinafter referred to as the SECOND PARTY,

Collectively, the parties shall hereinafter be referred to as “THE

PARTIES,”

WITNESSETH THAT:

WHEREAS, the FIRST PARTY is the registered owner of a Condominium Unit

located at Camella Manors Soleia, Butuan City designated as Sales Unit No. 120/ Floor
Unit 6F-0000.

WHEREAS, the FIRST PARTY wishes to sell the said property.

WHEREAS, the SECOND PARTY contributed to the said unit and would like to
have a refund for the contribution she made.

WHEREAS, the parties voluntarily and peacefully agreed to settle any dispute
arising from the above-mentioned condominium unit.

NOW THEREFORE, the parties hereto hereby agree as follows:

1. The REFUND will be given to the SECOND PARTY after the said
Condominium Unit is sold to a prospective buyer.

2. The amount of the REFUND will depend on the total contribution made
by the SECOND PARTY plus ten (10) percent from the proceeds of the sale of the said
property.

3. After the REFUND, the SECOND PARTY will waive her rights and
interests over the property in favor of the FIRST PARTY. SECOND PARTY should
execute the proper Deed of Assignment/Waiver of Rights.

IN WITNESS WHEREOF, the PARTIES have hereunto set their hands this
