MEMORANDUM OF UNDERSTANDING

THIS MEMORANDUM OF UNDERSTANDING enters into on this 29th June 2024

M/s. THIRUKUMARAN FOOD PRODUCTS, No.146, Agaramthen Village, D.No.37,

S.No.79/1D2, Plot 1B, Tambaram Taluk, Kancheepuram, Tamil Nadu-600126 and represented by
its Proprietor Mrs. B. Saraswathi and T. Punniyakotti here in after called as the party of the FIRST
PART

AND

M/s. SRI ANDAL PET S.No.133/7B, E.G.Nagar Street, Gandhi Nagar West, Redhills,
Thiruvallur District, Chennai-600052 and represented by its proprietor Mr. A. KANNAN here in
after called as party of the SECOND PART

The terms “party of the FIRST PART and party of the SECOND PART” wherever occur, unless
repugnant to the context mean and include themselves, their respective legal heirs, administrators,
assigns and executors.

WHEREAS the party of the first part is carrying on the business of the packaged drinking
water for the past several years under the trademarks including their trademark “ NEST” from their
own packaged drinking water under the name and style of M/s THIRUKUMARAN FOOD PRODUCTS
 WHEREAS the party of the FIRST PART has obtained permissions, license from appropriate
statutory authorities including local bodies, Excise, BIS, etc

WHEREAS the party of the FIRST PART is strictly adhering with the quality standards
prescribed by the BIS

WHEREAS the party of the SECOND PART is carrying on the business of selling packaged
drinking water under the trade mark “AQUA SPEED, SRI BALAJI, 7 HILLS”

WHEREAS the party of the SECOND PART has proposed to fill water in 20L PET jar, 5L, 2L,
1L, 500ml, 300ml PET Bottle from the water purifying plant of the party of the FIRST PART under
the following terms and conditions

WHEREAS both the party agreed to recall all the materials from the market in case of any
problem in the product or in license, any sample failure.

Terms and Condition:

i. Party shall be paid charges for contract filling and blowing a under

The agreed prices may be revised with the mutually agreed terms in future depending on
the EB, wages from this day of agreement proportionately as per share of utilization of
process cost involved.

ii. The above charges include cost of filling includes water filling in bottles, labellling(BOPP &
Gum), Batch Coding and packaging, power, fuel, water, labour, BIS/FSSAI charges, test
charges as per BIS/ FSSAI, unloading of raw material and packaging material and loading of
finished goods. Also, accounting of production and dispatch.

iii. 1% of wastage is acceptable.

iv. All the scraps such as waste bottles, caps, covers, labels should return to M/S. Sri Andal
PET.
Payments:

i. The refundable advance Rs. 1,00,000.00 is given by Cheque.

ii. Parties shall submit the bills for filling every last day of the week and shall settle the
amount
Within 3 working days from the receipt of invoice.

Responsibility of FIRST PART and SECOND PART

We both the party agreed to recall the material from the market in case of sample
deficiency / failure

NOW THIS MEMORANDUM OF UNDERSTANDING AS FOLLOWS:

1. That the party of the FIRST PART sell its Non Carbonated Water Based Beverages/Water in
the PET Jars and PET bottles supplied by the party of the SECOND PART under the
trademark “AQUA SPEED, SRI BALAJI, 7 HILLS”
2. The parties herein have mutually agreed that they shall not encourage the rights upon the
trademarks of each other
3. It is mutually understood that the party of the FIRST PART shall purify and fill the water/
Non Carbonated Water Based Beverages under the standards prescribed by BIS or FSSAI, a
statutory body.
4. The standards for Non Carbonated Water Based Beverages such as Flavours & Minerals
should be maintained by FIRST PART.
5. Separate production chart will be maintained for Brand names of First & Second Part and
First Part is responsible, in case of failure of Water/ Non Carbonated Water Based
Beverages quality as per BIS/FSSAI norms.
6. It is understood that either party can terminate the MOU on three months prior notice to
the other side.
7. That this MOU shall come into force from the 19.06.2024 and expire on 18.06.2025 and it
will be renewed every year up to 3 years.
