INTERNET SERVICE AGREEMENT
This Service Agreement made this 09_day of _July_ of year 2024 at Delhi between:
ANONET COMMUNICATIONS PVT LTD., a company incorporated under the Comp Anonet es Act, 2013 and having its registered office at A-148,
BASEMENT, PRIYADARSHANONET VIHAR, DELHI-110092 (“ANONET” or “Company”, which expression shall, unless repugnant to the context or
meAnonet ng thereof, be deemed to mean and include its successors and assigns) of the One Part;
AND
_ GALAXY SERVICES a proprietary firm, carrying on business in the firm name and style through its Proprietor, Mr VIJAY MALI having principal
place of business situated at 01, GANESH NAGAR, LATUR, Latur, Maharashtra, 413512 having PAN No AIJP598A M (the “Operator”, which
expression shall, unless repugnant to the context or me Anonet ng thereof, be deemed to mean and include his heirs, legal representatives,
executors, administrators and permitted assigns) of the Other Part. The Operator has approached the Company and has represented to the
Company that:
It shall promote ANONET ’s Internet Service by procuring the Subscribers by utilising it’s contacts and goodwill in the Territory for availing Internet
Service;
It has access, by ownership or by own arrangement with owners or otherwise, to requisite infrastructure which is capable of delivering broadband
/ internet services as per specifications of ANONET as required from time to time.
Based on the above, the Company hereby agrees to introduce Internet Service in the Territory and has agreed to appoint the Operator as its
affiliate to market its Internet Service on the terms and conditions hereinafter set out, which the Operator hereby agrees.
NOW THIS AGREEMENT WITNESSETH:
In this Agreement, unless the context otherwise requires the expression used shall have the me Anonet ng as under.
“Agreement” shall mean this written agreement, including the Annexure;
“Approval” means all consent, no-objections, clearances, permissions, approvals, conditions, notices, requirements applicable to or required by
the Company or under any Law to perform its obligations under this Agreement or required from, or by the Central Government, State
Government, any Local body, official, authority or board, or any Person, as may be applicable or required.
“CAF” means the Subscriber Order Form, which an internet Subscriber signs and delivers with his /her KYC documents to the Operator for availing
the Internet Service on the terms and conditions contained therein.
"Confidential Information" shall mean all oral, written and/or tangible information created by or disclosed by ANONET to the Operator and/or any
of its agents, which is confidential, proprietary and/or not generally available to the public, including, but not limited to, information relating in
whole or in part to present and future products, services, business plans, strategies, marketing ideas and concepts, sales strategies, Subscriber
information, development plans, specifications, Subscriber requirements, configurations, designs, drawings, apparatus, sketches, or other
technical and business information of ANONET .
“ISP Agreement” means the agreement between Department of Telecommunications, (“DOT”) and the Company which stipulates the terms and
conditions on which the Company is licensed to establish, maintain and operate Internet Service and provide the Internet Service.
“Internet Service” shall mean all types of internet access and content services and includes ‘Service’, as defined in the ISP Agreement and
permitted under applicable Laws from time to time.
“Laws” shall mean all the applicable laws under which a Party is governed or applicable over it including all regulatory and statutory requirements
including but not limited to the Indian Telegraph Act, 1885, the Indian Wireless Telegraphy Act, 1933, the Telecom Regulatory Authority of India
Act, 1997, the Copyright Act, 1957 and the Cable Television Network (Regulation) Act 1995 and Information Technology Act, 2000.
“Operator” shall mean a Company or a person having access, by ownership or by own arrangement with owners or otherwise, to requisite
cable/wire infrastructure which is capable of delivering, Internet Services as per specifications of ANONET as required from time to time, to
enable ANONET to deliver its Internet Services.
“Subscriber” means the Subscribers/end users who at any point of time subscribe to Internet Service.
“Territory” shall mean the areas of State of Delhi as described in Schedule I.
This Agreement shall commence on (“the Effective Date”) and shall continue in full force and effect for a period of _5_ years from the Effective
Date, unless terminated earlier as provided hereinafter. Upon expiry of the term of ( 1Year ) years as aforesaid, unless the Parties agree
otherwise, this Agreement will stand automatically renewed for the next term of 05-july-2024_ year and so on, subject to as stated in this
AgreementIn pursuance of this Agreement, ANONET shall:Offer Internet Service on prepaid model and /or post-paid model controlled by Online
server (provisioning software), which will be maintained by the Company.
The payment for the prepaid model shall be made in advance,
Upon receipt of the advance payment by the Company and based on the requisition of the Operator, the Operator shall be given the suitable PIN
numbers, and the Operator shall allow the Subscribers to avail the same.
As regards the postpaid model of Internet Service, each Subscriber shall be serviced, invoiced by the Company and in that regard the distribution
of the invoice to the internet subscriber and collection of payment shall be the responsibility of the Operator alone.
The Operator shall deposit the entire collection of the Company in between the running month according to PIN generated in that month. The
Operator shall collect the amount under the collection receipt only in the name of “Anonet Communications Pvt LtdLtd.”.
The subscription fee and the package shall be as determined by the Company from time to time, which will be in line with the prevailing marketing
condition.
The packages / plans provided by the Company are including Goods and Services Tax (“GST”) and other government taxes.
In consideration of collection by Operator as mentioned in the agreement, the Operator would be entitled for LMC Charges and Taxes on LMC will
be borne by operator.
Arrange to provide the necessary bandwidth, entire cabling and infrastructure, technical parameters for a secured and smooth carriage of signal,
till the point of presence of the Operator. Thereafter, entire cabling and infrastructure till the point of internet subscriber shall be the entire
responsibility of the Operator. The same is clearly provided in Annexure “A” of this Agreement.
Handle the bandwidth related issue and all the issues relating to the distribution network, equipment. Further ANONET shall handle the Subscriber
complaints and allied issues subject to the Operator forwarding a log of all complaints from the internet Subscribers to the Company.
The Operator hereby undertakes that it shall:
Assist the marketing/sales/survey/technical team of the Company in promotion of the Internet Service and for identifying, persuading the
Subscribers by utilising his contacts and goodwill with them in the Territory for availing Internet Service.
Dessist, encourage or promote any other Internet Service Provider for providing Internet Service in the Territory.
Distribute the invoices prepared by the Company and collect the Internet Subscription from the Subscribers and shall collect the amount under
the invoice only in the name of “Anonet Communications Pvt Ltd. Ltd” .
Commission the Internet connection at the Internet Subscriber’s premises and ensure prompt service is provided to the Subscribers within the
territory. Ensure that expansion is done in the prescribed territory by the laying of the Fiber in the territory till the last mile subscriber and proper
maintenance of the same is undertaken.

Perform all incidental and ancillary duties as may be necessary for promotion of the Internet Service more particularly in terms of overall growth
and profitability, like arranging relevant approvals and permissions from societies to lay fibre and spread the network reach within the territory.
Operators will take permission for tower / cable laying from the concerned local authority.
Not do or allow any act, matter or thing either by himself or by any Subscriber, which will result into contravention of the terms of the ISP license
granted by the Department of Telecommunication (“DOT”) for providing internet service and the COF and/or any applicable law as may be in
force including the rules, regulations and guidelines laid down by DOT , Telecom Regulatory Authority of India (TRAI) , Information Technology Act
2000 or by any competent authority, tribunal or body or court of law;
Shall assist and cooperate with ANONET in providing all details and information at the time of audit done by DOT, TRAI or any other government
body or authorized agencies. The Operator will not withhold any information when information is sought in writing by ANONET.
Shall not tamper with, or cover up, or erase any trademark / logo, copyright etc. (IPR) of ANONET and shall immediately bring to ANONET ’s
notices any improper or wrongful use of such IPR in the Territory.
Allow the Company to pass its OFC/cable through the Territory to facilitate provision of service to the other Operators /Franchisee /agents.
Update ANONET with subscriber’s complaints, if any, by forwarding a log of all complaints via telephone call, fax, email and/or hand delivery in the
format as specified in Annexure “C” of this Agreement.
Shall ensure that the necessary service, assistance and management is effected / facilitated by the Operator for the purpose of providing the
internet service.
Undertakes to immediately inform ANONET of any damage/loss/theft of it’s cabling, infrastructure such as fibre and other equipments and the
extent of damage/loss/theft and will be liable for all charges payable towards the repair/replacement of the same.
Undertakes to provide ANONET ’s internet nodes ie: routers/servers etc. in proper working condition upon termination of this agreement. Under
no circumstances the Operator shall possess the internet nodes belonging to ANONET.
Undertakes that the orders will be booked on the Customer Registration Form (“CRF”) provided by the Company, which contains the terms on
which the Internet Service is being provided. It will be the responsibly of the Operator to see that the Subscribers have filled up the details
correctly and have signed the same. Shall maintain accurate name and all other KYC details of all the Subscribers (prepaid-model and post-paid
model both) who is availing or has availed the Internet Service and shall also obtain the proof of identity/ residence of each Subscriber and furnish
the same to the Company on a regular basis.
Shall be responsible for Local sale and door to door marketing.
is prohibited from providing interconnection for provision of internet services through a false license for which ANONET will not be responsible
for any of the Operator’s customers.
The Operator will pay Rs. /- by way of non-refundable one time set up charges.
The Operator shall pay sum of As per PO_/- (Rupees _NA_ only) by way of refundable security deposit to ANONET for the due performance of
the obligations of this Agreement. The said deposit will be refunded without interest by ANONET on termination of this Agreement by efflux of
time after deducting such sums as may be due and payable to ANONET . However, the refund of deposit shall not be applicable if the Operator
wants to back out within twelve months from date of execution of this Agreement.
During subsistence of this Agreement, the Operator shall not transfer its interest in this Agreement to any third party, without giving the Company
first right of refusal and unless the Company declines to buy or fails to respond within 30 days of receipt of the offer notice from the Operator.
Operator will ensure that the receipts issued by any of its employee shall be duly filled in, complete in all respect and should contain the name of
company ANONET COMMUNICATIONS PVT LTD. on it. Any misuse /misappropriation by the operator shall amount to a breach of trust by the
Operator and Operator shall be solely and entirely responsible for the legal action, including civil/criminal arising therefrom.
In consideration of the Operator undertaking to comply with its obligations under this Agreement, the shall pay Operator subject to deduction of
Tax Deducted at Source (“TDS”), AGR (whenever applicable) plus GST + other government taxes as applicable. The above revenue share shall be
paid on actual collection/realisation of internet subscription and after deduction of outstanding (if any), all applicable taxes and levies as per
Annexure ‘B’
Net Access Revenue shall be computed as:
The Internet Subscription actually received by ANONET from the Subscribers after deducting all duties, taxes etc. paid/payable to the
government/authorities and any other deductions recognised under the applicable Laws.
The Operator fully acknowledges that the Internet Service is dependent upon various factors such as availability of gateways, bandwidth, traffic,
usage etc., over which The Company has no control whatsoever therefore in no event will The Company have any liability to the Operator or to
any Person for any loss of revenue, profit, data or goodwill or for any other indirect, special or consequential loss or any damage arising out of or
in relation with this Agreement or any collateral contract whether in contract or in tort or otherwise.
During the term of this Agreement, the Operator agrees that, except as expressly consented to by ANONET in writing, the Operator (including
his/her relatives) shall not at any time, directly or indirectly invest, engage / support / associate / compete, whether as an employer, proprietor,
partner, shareholder, investor, director, officer, employee, consultant or agent or similarly otherwise in any activity in the Territory, that is same
or similar to the business of the Company and/or ANONET and/or further canvass, solicit or endeavour to entice away the Subscribers from
ANONET or undertake to provide any internet services which is same as or similar to those comprised under this Agreement. This non-
competition restrictions is valid for a period of 3 (three) years from the Effective Date. The Parties hereby admit that such restriction is just and
fair and reasonable taking into account the fierce competition faced by ANONET and for the protection of intellectual property rights of ANONET.
The Operator hereby agrees to keep confidential all Information under this Agreement and shall not disclose to any third Party, except under
compulsion of law or by order of any court or authority.
The Operator undertakes to provide business of atleast 100 active subscriber connections in three months from the date of commencement of
services.
The Operator hereby warrants that he has full power and authority to enter in to this agreement and to perform his obligation hereunder and that
he shall not knowingly or willingly do anything or procure or permit anything to be done which might cause or otherwise result in a breach of this
agreement.
The Operator hereby agrees to unconditionally indemnify and keep indemnified the Company from and against all costs and losses as may be
incurred by the Company on account of breach of any of the terms and conditions by the Operator including the cost of defending any suits
/claims/ proceedings initiated by any Subscriber or any authority.
Termination
Notwithstanding any provision to the contrary, and without prejudice to any other right that it may have, ANONET may immediately terminate
this Agreement by written notice to the Operator upon the happening of one or more of the following:
The ISP License for providing Internet Services being terminated or coming to an end for any reason whatsoever or the said license/registration
being suspended for any period;
ANONET ceases marketing of Internet Services;
By intimating the Operator by way of 30 days notice.
Breach by the Operator to meet the obligations under this Agreement including
A breach of any representation under this Agreement, which is not remediable, or if Remediable, the Operator has failed to remedy within Ten
(10) days of becoming aware of the same by notice requiring it to do so or otherwise;
Bankruptcy/ dissolution or insolvency of the Operator

Fraudulent or negligent acts by the Operator, or any act, matter or thing as a result the business or goodwill of the Company may in any way be
restricted, prevented, limited or prejudiced.
The Operator may terminate this Agreement by informing the Company by a 60 day’s notice in writing, provided it does not affect any subscriber
who has already paid the subscription and corresponding payment of commission for the same to the Operator, failing which, the Operator shall
be liable for the cost and consequence including but not limited to the damages suffered by the Company or the Subscriber/s.
If the performance of duties and obligations by any of the Parties under this contract is prevented, restricted or interfered with, for a continuous
period of one month, by or due to any event of force majeure or due to any reason, condition, or change of circumstances beyond the reasonable
control of such party and not of its own making, such party, upon promptly giving written notice of such reason, act or condition to the other
Party, by any mode recorded delivery, shall be excused from such performance to the extent of such prevention, restriction or interference.
This Agreement shall not constitute any Party as partner of the other for any purpose whatsoever. Unless otherwise agreed in writing, neither
Party shall have the right or authority to assume, create or incur any liability or obligation of any kind, express or implied, in the name of or on
behalf of the other Party nor shall either Party have any authority to act for or on behalf of the other Party to enter into any kind of contract,
undertaking or agreement or make a promise, warranty or representations with respect to the other Party.
All the disputes and differences which may arise between the Parties, out of or in relation to this Agreement, shall be finally settled by arbitration
in Delhi by a sole arbitrator appointed by the Company, in accordance with the Indian Arbitration and Conciliation (Amendment) Act, 2015 for the
time being in force.
The parties acknowledge that damages alone would not be an adequate remedy for the breach of any of the provisions including undertakings by
parties to this Agreement. The non-breaching party shall be entitled to equitable relief, including injunction and specific performance, as a remedy
for any such breach.
This Agreement contains all the terms agreed between the parties regarding its subject matter and supersedes any prior agreement,
understanding or arrangement between the parties, whether oral or in writing on the subject matter as defined in this agreement.
No variation of or amendment to this Agreement shall bind either party unless made in writing and signed by authorised representatives of all
Parties.
IN WITNESS WHEREOF the parties have set and subscribed their respective hand and seal the day and the year hereinabove first written.

Annexure – A
Operator's Responsibilities:
1. Providing the entire cabling and infrastructure, technical parameters for a secured and smooth carriage of signal till the point of
presence of subscriber.
2. Installation of Routing Software as deemed fit by the Company.
3. Ensuring Proper Maintenance, care of equipments provided by the Company.
4. Ensuring Managing/Maintaining last mile of the network and attending to all customer complaints.
5. Collecting Invoices/Bills of Subscribers and having it deposited into company’s Account.
Company's Responsibilities:
ANONET will make arrangements for:
1. Providing technical parameters and guidelines for smooth carriage of signal from the Operator’s point till the Subscriber’s location.
2. Providing proper Configuration of the Servers which would be provided by the Company.
3. Monitoring -Managing Routes and MRTG Graphs for Bandwidth Analysis.
4. Loading of OSS/BSS, Management Software will be taken care.
5. Ensuring proper training for Management of OSS /BSS is provided to Operator personnel.
6. Install /Manage /Monitor Transparent Caching Server. Capture Access Logs /Browsing history of users which if needed would be provided to
Law Enforcement Agencies as part of Lawful Interception.
