We are pleased to appoint you as Key account manager with Wheelseye Logistics Pvt Ltd.
During your engagement, you may be deputed at our offices or at the offices of our clients as per the business
requirements of the Company. You have to complete Joining Formalities within 10 days from your joining.
In addition to this

1. Our assignment with the Company will be effective from the 20 June 2022.Your engagement will be governed
as per clauses mentioned in this letter and the attached Letter of Engagement.
2. Your net take home details would be: 30000.00 per month. The net salary is subject to Income Tax, your
salary is payable only through electronic payment mode such a s EFT /NEFT/RTGS/ECS or account payable
cheque for which you have to provide relevant information at the time of joining.
3. In addition to the Monthly Salary, you will not be entitled to any other perquisites/allowances unless
commu nicated to you in writing. Your coverage under ESIC scheme, Provident Fund scheme, and Bonus Act
where applicable will be as per the applicable government laws and regulations. Salary would be receivable
on or before 10th of the month. Any discrepancy in the salary received needs to be reported to us within 7
days of receipt of salary. Gratuity will be payable as per Payment of Gratuity Act,1972.TDS will be deducted at
higher rate as per income tax Act, in case PAN number along with proofs is not provided within days of joining.
Any unclaimed salary within 3 years from when it is due, will be paid to Labour Welfare Fund as per
Labour Welfare Fund Act.

4. Your coverage under ESIC scheme is subject to adherence of rules & regulation, as described in this letter
and under applicable laws. It is mandatory for you to submit Aadhar Card (UID) including for your family within
one month from the date of issuance of ESIC number, if you fail to submit the Aadhar Card (UID) within stipulated
period in that case you will not be eligible to take benefits of ESIC coverage and in those circumstances, Company
shall not be held responsible.
5. You are eligible under Provident Fund scheme subject to adherence of rules & regulation as described in
this letter and under applicable laws.It is also mandatory for you to submit Aadhar Card (UID), PAN Card & Bank
A/c.No.with IFSC Code(collectively referred as‘KYC’) within one month from your date of joining, if you fail to
submit the KYC within stipulated periodin that case as per PF norms you will not able to withdraw or transfer or
to take any benefits of PF and in that circumstances Company shall not be held responsible orliable.
6. You may be required to work at different project sites as per the business requirements of the Company
and are likely to be deputed in any establishment within the city or outside the city including outside the State
for the purpose of discharging your duties as and when the situation demands, during the working hours
communicated to you.
7. You will act within the framework of organizational structure and policies and directions as may be laid down
by the Company from time to time.During the tenure of your engagement with us, you will not undertake any other
engagement or business activities, work or public office of payment or otherwise except with the written
permission of the Company. If you are found involved in any act which in the opinion of the Company is
detrimental to the interest of their business interest, Company shall be at liberty to dispense with your
engagement immediately and without any notice or compensation, subject to compliance with applicable laws.
At all times during the tenure of your engagement you will be bound by any Rules & Regulations enforced by the
Company from time to time in relation to the conduct, discipline, leave, conditions.

8. Either party can terminate the engagement as per the terms laid out inthe holidays or any other matters
relating to service attached Letter of Engagement. You shall at no point of time stake any claim or right
to claim engagement, damages,loss or compensation for engagement benefits or any related claims or otherwise
of any sort whatsoever against our clients.Your continuance in engagement is subject to your remaining physically
and mentally fit. As and when required, the Company may require you to submit yourself to medical examination
by a physician of the choice of the Company.

9.This letter is being sent to you in duplicate, please return two copies of the same, duly signed as the token of
acceptance of this letter, the attached Letter of Engagement and the above terms and conditions.
Letter of Engagement

1. We, Wheelseye Logistics Pvt Ltd.( also known as “Company”) are involved in the business of providing
services to manage key business processes of our clients / business partners. Based on your interaction
with us, we wish to confirm your engagement with us to perform the services that may be required by our
Clients/Business Partners ("Client") at their designated locations from time to time ("Work Assignment":).

2. This Engagement Letter shall be considered as renewed for another 6 months unless terminated by Client.
3. Execution of any Work Assignment Letter by you shall be a full and complete acceptance by you to perform the
services stated in the said letter. You agree that you agree that:

i. You will fully perform the services, in a professional manner, at the Client's location till the
completion of the term of the Work Assignment.

ii. During the term of the Work Assignment, you will render services to the Client in a manner that
such performance shall not be inconsistent with any obligation you may have to other thirdparties. iii.
You shall not engage in any conduct detrimental to the interests of the Clients or theCompany.

iv. You shall not, either directly or indirectly, offer yourself for, or claim, engagement, or any other similar
engagement directly with the Client, its agencies or its affiliates during the period of the Work
Assignment orthereafter.

v. You shall not, either directly or indirectly, claim from the Client, any benefits related to your engagement
with the Company, including social security contributions including PF and ESIC, or any benefits
whether arising under any law or otherwise,and any agree that notwithstanding your deputation at the
Client's premises, the Client will not be required or obligated to honour any such demands or claims
made by you, whether considered legitimate or otherwise.

vi. You acknowledged that all engagement benefits including salary,bonuses, allowances, social security
benifits and/or other statutory benefits payable or to be provided to you shall be discharged soley by the
Company. vii. You shall comply with the safety, health, environment and other rules and regulations of the
Client provided that you have been made aware of the same, verbally or inwriting.

viii. You will report and be present yourself at the designated location as informed by the Company during
the working hours mentioned in the applicable Work Assignment Letter.

ix. You will extend all co-operation and do all such things as may be necessary and comply with all terms
of the applicable Work Assignment Letter so as to effectively undertake the Work Assignment.
4. At the end of Term, as mentioned in the Work Assignment Letter, or at the completion of the workassignment,
which ever is applicable, you will deliver to the Company, a Time Sheet (or any other format/ register as required
from you) containing the number of hours worked in any given day at the Client's location and such other details
as may be prescribed by the Company.
5. As consideration for the services performed during any Work Assignment, the Company will pay you
remuneration, as per the Work Assignment Letter. The Company will be entitled to make deductions as per
applicable law or in respect of any amounts due to the Company from you. You will be reimbursed by the
Company for any approved expenses subject to your submitting original bills/ declarations as required by the
Company.
6. Any intellectual property that results from work performed by you under any Work Assignment Letter shall be
the property of the Company and you agree to assign/ transfer to the Company, the worldwide, perpetual and
entire right, title, and interest in all intellectual properties including all rights to obtain, register, perfect, and
enforce patents, copyrights, and other intellectual property protection under any laws and conventions.
7. Inventory - The ownership of all devices (Fastags,GPS, door lock, SIM card, relay, etc) as well as consumables
(Tape, Tie ,etc) and tool kit (collectively the “Inventory”), as may be provided by Wheelseye Logistics to the
Employee for the provision of the Services shall continue to vest with Wheelseye Logistics. Wheelseye Logistics
hereby reserves its right to protectand preserve the Inventory, in its absolute discretion, including, in case of
loss o f any Inventory, the right to recover the same from the Employee. Wheelseye Logistics shall be entitled
to recover the cost of inventory from the Employee and may hold the Full and Final amount of the Employee for
this regard.
8. Confidentiality – The Employee shall not, without the written consent of Wheelseye Logistics , disclose to
any other person or entity (except to the extent required by applicable law or in connection with the performance
of theServices), or use for the benefit or gain of the Employee or any person or entity other than Wheelseye
Logistics, any Confidential Information (as defined below). The Employee agrees to use the Confidential
Information only in connection with the provision of Services pursuant to this Agreement and at Wheelseye
Logistics’s request, promptly deliver to Wheelseye Logistics all Confidential Information provided to the
Employee and destroy all copies of any document with the Employee which reflect Confidential Information.
The Employee agrees that Wheelseye Logistics shall be entitled to seek equitable relief, including injunction
and specific performance, in the event of any breach of threatened breach of this Agreement, and that the
Employee shall not oppose the granting of such relief. The Employee shall not use the name of Wheelseye
Logistics or any of its affiliates in any marketing, advertising, sales promotion or other activities or materials
without the prior written consent of Wheelseye Logistics.The obligations of the Employee under this paragraph
shall continue after termination of this Agreement regardless of the reason for such termination. These
confidentiality provisions shall be in addition to and shall not limit or amend, any other confidentiality obligations
under applicable law or otherwise.

The term “Confidential Information” means all information of whatever kind (whether commercial, technical,
financial, operational or otherwise) which is at any time made available (in any manner and whether orally,
visually or in writing) by, on behalf of or in relation to Wheelseye Logistics.

9. Term andTermination

Termination by Convenience: Either party can terminate this Engagement Letter by 15 days written notice to
the other party.
Termination for Cause: The Company shall be entitled to terminate Your engagement immediately and without
notice, if in the opinion of the Company –
You neglect or fail to attend to the business requirements of the Company or fail to comply with the directions
of the Company; fail to qualify for any professional or job-related certificate reasonably required by the company;
violate Company's or applicable statutory and regulatory policies, enactments, rulesor regulations;
misappropriate any property; indulge in any act of moral turpitude or misconduct; carry out any dishonest or
fraudulent conduct or act or any breach of faith whether or not the same causes any actual harm or damage or
loss to any person including the client; are guilty of misconduct while discharging your duties or indulge
in any act of commission or omission bringing disrepute or adverse publicity to the company or the client. You
have submitted false and/or forged documents of qualification, made false representations, and/or suppressed
any material or relevant information required to be disclosed by You.
You are, either directly or indirectly, involved in fraud, theft, misappropriation, publication, misuse or wrongful or
unauthorized use of any funds or property, whether belonging to the Company or any third party You are
charged with a criminal offence or an offence involving moral turpitude;
You violate the Company’s code of business conduct or the policies, as framed from time to time; You
breach any of the terms, conditions, or stipulations of this Letter of Engagement.
You are unavailable or on leave without prior approval for a period of 3 (Three) working days or more.
10. Termination of this Letter of Engagement shall not affect the obligations of the parties that have been
incurred prior to termination and the Company will promptly settle all your dues after making applicable
deductions Further, obligations relating to confidentiality and intellectual property shall continue till 1 year after
termination/ expiry of this Letter of Engagement or the Work Assignment.

11. During the Term and for a period of one (1) year thereafter, the Employee shall not directly or indirectly
carry on, assist, engage in, be concerned or participate in any business/activity (whether directly or indirectly ,
as a partner, shareholder, principal, agent,director, affiliate,employee,consultant or in any other capacity or
manner whatsoever) which is similar to the business of the Wheelseye Logistics/ Hiring Company nor engage
in any activity that conflicts with the Employee’s obligations to the Wheelseye Logistics/ Hiring Company as
provided herein.
12. Non-solicitation – You shall not, and shall ensure that your affiliates shall not, directly or indirectly hire,
solicit or attempt to hire or solicit any director, officer or employee of Wheelseye Logistics during the term of this
Agreement or within the 24-month period after the date of the termination of this Agreement.
13. You agree to defend, indemnify and hold the Company harmless from any and all claims,damages,
liability, attorneys' fees and expenses on account of your failure to satisfy any of your obligations under
this Letter of Engagement or under thefor any other claims for damages or losses received by the Company
from third parties (including the Client) which are attributable to your actions, omissions or negligence.
14. Any dispute between you and the Company shall be referred to a sole arbitrator to be selected from a list
of arbitrators nominated by the Company. The arbitration shall be conducted in English language, in
accordance with the Arbitration and Conciliation Act, 1996, at Gurgaon, India. This engagement letter shall be
governed in all respects by the laws of India.
15. In addition to the terms contained herein, your relationship with the Company may be subject to such
other additional terms and conditions as may be communicated to you from time to time in writing by the
Company.
16. We request you to please sign a duplicate copy of this letter and return the same to us,indicating your
acceptance of the terms mentioned herein. By signing this Engagement Letter, you confirm that you have
read, fully understood and accepted the terms contained hereunder.
