LEASE DEED

THIS LEASE DEED is made and executed on the 10th day of July 2024 (the
“Execution Date”)
BETWEEN
Mr. Ajoy Roy and Mr. Basudeb Roy, residing at 1st floor, Loknath Complex,
Kampa More, 34 No., banga Road, PO - Kampa, Landmark – opp. Airforce
Office, North 24 Parganas, West Bengal - 743193, (hereinafter referred to as
the “LESSOR”), which terms or expression shall unless repugnant to the
subject or context mean and include his legal heirs, executors, successors,
administrators, legal representatives and assigns of the FIRST PART;

AND

M/s Connect India E-Commerce Services Pvt. Ltd., a Company


Incorporated under the provision of the Companies Act 2013, having its Head
Office at “Dreamland Ventures”, 3rd Floor, No. 40, Sector 6, 12th Main, HSR
Layout, Landmark: Opp JSS School back gate, Bangalore – 560102,

represented by signing authority Mr. Himanshu Gupta, CFO (Hereinafter


referred to as the “LESSEE”), which expression shall wherever the context
permits, be deemed to include their respective heirs, successors, legal
representatives and assigns) of the OTHER PART.

WHEREAS, in consideration for the rents and all other charges payable by
Lessee, and for the agreements, terms and conditions to be performed by
Lessee in this Lease, LESSOR DOES HEREBY LEASE TO LESSEE, AND
LESSEE DOES HEREBY TAKE FROM LESSOR, the premises described below
(the “Demised Premises”),

The premises demised by this Lease consist of all pieces and parcels of the
property situated at Ground floor, Loknath Complex, Kampa More, 34 No.,
banga Road, PO - Kampa, Landmark – opp. Airforce Office, North 24
Parganas, West Bengal - 743193, having total area measuring about 2,800
sq. fts.

WHEREAS the Lessor, is the owner of all piece and parcel of the property and
in such capacity is entitled and empowered to rent out the premises to the
Lessee.

AND WHEREAS, the Lessor has agreed with the Lessee to grant to the Lessee
under the terms of this Deed the Demised Premises with all fittings, fixtures
and furniture installed therein and as fully described in Annexure I detailed
hereunder annexed and forming part of this Deed. The lessee has agreed to
take on lease the same, subject to the covenants, conditions and stipulations,
hereinafter in these presents expressed and contained.

NOW IT IS HEREBY MUTUALLY AGREED BY AND BETWEEN THE


PARTIES HERETO AS FOLLOWS:

1. The Lessor hereby grants the Demised Premises on rent for 11 (eleven)
months from 5th July 2024 to 4th June 2025 to the Lessee to be used
by it for its business purposes i.e. as a warehouse for storing, loading
and unloading of cargo as well as establishing the office of the Lessee
and of its subsidiaries and associate companies, commencing from the
Execution Date, the parties may extend the period of lease deed by
executing new lease deed on mutual terms and conditions.

2. The Lease for the Demised Premises is fixed at Rs. 95,000/- (Rupees
Ninety-Five Thousand only) per month subject to the tax deduction as
per applicable laws.

3. The security deposit for the Demised Premises is fixed as Rs.


2,85,000/- (Rupees Two Lakh Eighty-Five Thousand only) which is

refunded to Lessee within 7 (Seven) days of the termination of this


Deed, without interest.

4. This Lease Agreement shall be according to the English calendar


month, and the Lessee shall pay the above-mentioned Lease amount
for every month in advance on or before the 10th of every month
through CASH/CHEQUE/ECS/BANK TRANSFER to the Lessor.

5. The Lessor hereby declares that he is the absolute owner of the Leased
premises being let out to the Lessee and is lawfully entitled to execute
this Agreement.

6. If the Lessor is unable to deliver possession within 5 (Five) days after


the agreed commencement date, the Lessee may terminate this
Agreement by giving written notice to the Lessor. The Lessor must
refund all money and security deposits paid.

7. Before the delivery of Demised Premises by the Lessor, the Lessor and
the Lessee shall inspect the premises and shall record any existing
assets and condition of the premises on a checklist. (Annexure I). Both
parties shall receive copies of the Document which should be duly
signed by both parties.

8. Lessee shall have the right to use the Common Areas. For purposes of
this Lease, the term “Common Areas” shall mean all areas and
facilities, if any, outside the Demised Premises, provided and
designated by Lessor for the use of Lessor, Lessee and other tenants of
the property and their respective employees, guests and invitees.

9. The Lessee hereby covenants with the Lessor as follows:

a. To pay the rent as aforesaid on the days and in the manner


aforesaid.

b. To pay the electricity bills that are payable in connection with the
Demised Premises.

c. Not to make any permanent structural alterations into or upon the


Demised Premises or make any alterations or additions to the
external appearance or any part of the Demised Premises without
the previous consent of the Lessor in writing.

d. To use the Demised Premises for aforesaid purposes of the Lessee.

e. Not to place or keep or permit to be placed or kept on the Demised


Premises any offensive, dangerous or highly inflammable or

explosive material or any other article or things, which may


constitute a danger, nuisance or annoyance to the demised or
surrounding premises or the owners or occupiers thereof.

f. Not to sub-let, transfer or part with the possession of the Demised


Premises or any part thereof.

g. To permit the Lessor, or agents duly authorized by him to enter into


and upon the Demised Premises at all reasonable times for doing
such works or things as may be requisite or necessary for any
repairs, alterations, servicing or improvements to the Demised
Premises.

h. To hand over the peaceful possession of the Demised Premises at


the end or the sooner determination of the said term together with
all the Lessors fixtures and fittings in as good condition as received,
with the exception of fair wear and tear, damage by fire, acts of
God, riots or other civil unrest, war, enemy action and/or other
cause not within the control of the Lessee.

10. The Lessor do hereby covenant with the Lessee as follows:

a. That on the Lessee paying the rent on the due dates thereof and in
the manner herein provided and observing and performing the
convents, conditions and stipulations herein contained and, on his
part, to be observed and performed, shall peaceably and quietly
hold, possess and enjoy the Demised Premises during the term
without any interruption, disturbance, claim and demand by the
Lessor or any person lawfully claiming under or trust for the Lessor.

b. To keep the interior, and exterior of the Demised Premises, the


drainage thereof in good and tenable condition devoid of any latent
defects.

c. To pay rates, taxes, assessment, duties, cess, impositions,


outgoings and burdens whatsoever payable to State or local or other
authority, which may at any time or from time to time during the
term hereby created be imposed or charged upon the Demised
Premises.

d. To refund the total of the security deposits with observance to the


terms and conditions of this agreement to the Lessee within 7
(seven) days of termination of this Deed.

11. The Lessee shall have the right to locate such fixtures and or fittings
and wooden temporary partitions or structures as shall be required to
execute partitions, chambers, office rooms, etc. However, the Lessee
agrees to vacate the property in the same condition he received it in,
carrying out repair work to cover up any alterations, permissible under
this clause, made by him during the period of the lease.

12. If the Lessor fails to pay the taxes, charges, and assessments payable
by him or fails to carry out the necessary repairs and other work which
he has to carry out as provided herein, the Lessee may after 15
(Fifteen) days’ notice in writing, pay, discharge and carry out the same
at its own cost and the Lessee may set off the same from the rent
payable to the Lessor under these presents.

13. Lessor, pot confirmation by the Lessee, may deduct any amount
necessary from the security deposit, to cover the Lessee’s default in
any/some/all of the following:

a. any unpaid Lease amount,

b. cleaning costs,

c. cost for repair of damages to premises and/or common areas


exclusive of expected ordinary wear and tear in accordance with
Clause 9(h).

A written accounting of said charges shall be presented to Lessee for


confirmation within 3 (three) days of termination of this Deed.

13. The Lease Deed may be terminated by either party by issuing a notice
30 (thirty days) prior to the agreed expiry of the Lease period.

14. At the termination of the agreement and before possession is restored


to the Lessor, the Lessor shall inform the Lessee of his right to be
present at the final inspection. The Lessor shall notify the Lessee of
the time and date of the inspection, which must be within 72 (seventy-
two) hours of the termination of this Deed.

15. The provisions of this Agreement shall be governed by the Laws in force
in the Union of India, and the Courts in North 24 Parganas shall have
sole jurisdiction to entertain disputes arising from/out of/as a result
of this Agreement.

16. This Lease Deed shall be executed in duplicate. The original shall be
retained by the Lessor and the duplicate by the Lessee.

17. Any modification or alteration to the terms and conditions contained


herein may be made by way of a letter written by the party proposing

such modification/alteration and the same shall come into effect upon
the acknowledgement and acceptance by the other party.

18. Any notice to be served upon the Lessor or the Lessee shall be deemed
to be properly served if sent by registered post or courier to their
respective address, mentioned herein above.

19. Each paragraph of this lease agreement shall be and remain separate
from and independent of and severable from all and any other
paragraphs herein except where otherwise expressly indicated or
indicated by the context of the agreement. The decision or declaration
that one or more of the paragraphs are null and void shall have no
effect on the remaining paragraphs of this lease agreement.

20. This document constitutes the entire Agreement between the Lessee
and Lessor. Neither Lessor nor Lessee have made any promises or
representations, other than those outlined in this Agreement and
those implied by law.

IN WITNESSETH WHEREOF the parties hereto have herein unto set and
subscribed their respective hands on the day and year mentioned
hereinabove.
