Dear Shubham Kumar,

We take reference to your application and subsequent discussion, selection process. We are pleased
to appoint you as Support Associate Trainee at EthosFocus LLP, Nagpur, on the following terms &
conditions with-effect from 01-March-2023 for the period of one month as intern. On successful
completion of internship, we will confirm your appointment. Please refer to following terms and
conditions.

1. Job and Duties

You will be employed in the terms and conditions of this agreement, in the role of Support Associate
Trainee and will perform the duties as per the requirement of your position.

2. Company Locations and Working Hours

You will be based at EthosFocus LLP Office and though you may be posted at any unit/branch of the
company worldwide. You may be asked to transfer to any place in India or abroad as required, you
may also be posted on a deputation or on a project to any establishments other than current
posted location. Your work hours or work shifts as required by the client under this
appointment and you shall not be entitled to receive any additional remuneration other than
the packages decided.

3. Contingency Conditions [Mandatory]

This appointment will be subject to receipt of satisfactory verification of the particulars given by
you in your application form/ resume. This offer is contingent on your submission of satisfactory
proof of your academic degree/certificates and contact information and also contingent upon
satisfactory completion of a pre-employment background screening, which may consist of
verification of education and previous employment.

4. Attendance and Leave:

You will follow the attendance system and working hours as per the client policy. You will be entitled
to annual leaves in accordance with the applicable laws and leave policy of the Client.

1. Approval of leaves will be the sole desire of the clients, but tracking of the leaves will be
maintained by the Agency. Your leaves will be applicable as per EthosFoucs full time employment
policy.

SALARY & BENEFITS:

5.1 Your appointment at an annual package of INR.120,000/- (One lakh twenty thousand). This
will include allowances/ emoluments/ incentives/statutory liabilities (Bonus, leave & wages,
Gratuity and PT) in accordance with Clients and labor rules and practices, which may be amend
from time to time at Client's direction. The payment of salary is subject to deduction of TDS, if
applicable

5.2 The salary will be deposited in your nominated saving account by the Agency.

6. COMPANY POLICIES:

6.1 Client will communicate to you the policies and practices, rules and regulations from time to time
both orally and through sharing the documents

6.2. You agree that your service shall be governed by the client's policies, rules and regulations
which amended or replaced from time to time, shall be binding upon you but shall not form part
of the employment contract.

7. CONFIDENTIALITY AND IPR:

7.1 You acknowledge that in the course of your employment, you would have access to, and be
entrusted with the information in respect of the business and operations of the agency / client,
its dealings, transaction and affairs, all of which information is or may be confidential and / or
proprietary,

7.2 Any information designed as confidential by the company or which to your knowledge has
been supplied to the company subject to an obligation of confidentiality.

7.3 All correspondences, drawings, notes, plans, memoranda, training manuals, employee
manuals, Company policies and other information in written form (whether in physical or
electronic media or any other information storage method in existence now or discovered /
created in future) made acquired or received by, or made available to you during the course of your
employment under this Employment Contract, are acknowledged by you as being confidential
and proprietary to the Company, and shall be surrendered by you to the Company upon
termination of your employment, or at the request of the Company at any time during the'
course of your employment under this Employment Contract.

7.4 You acknowledge that unauthorized disclosure or use, whether intentional or unintentional,
of any of the Confidential Information would be detrimental to the Company and hereby
undertakes.

7.4.1 Not to use any of the Confidential Information for any purpose other than for or in
connection with your employment with the Company.

7.4.2 Not to download, copy or extract any data, computer database or information from
Company's computer, computer system or computer network, including information or data
held or stored in any removable storage medium, for his personal gain or that of any other
person.

7.4.3 To maintain all of the Confidential Information in confidence and not to disclose any
portion of the Confidential Information to any person or entity not authorized hereunder
without the prior written consent of the Company.

7.4.4 That any dissemination of Confidential Information shall be only in connection with the
employment of the Company, and shall be only to the employees, agents or affiliates of the
Company on a strict need-to-know basis in order to carry out the duties and
responsibilities arising of the employment with the Company.

7.5 The restrictions contained in this clause shall cease to apply with respect to any information
which comes into the public domain otherwise than through an unauthorized disclosure by your
or any third party.

7.6 During the term of this Employment Contract and thereafter, you shall refrain from making
any disparaging statements, including but not limited to statements that amount to libel or
slander, about the Company and/or any of its respective employees, officers or directors in any
forum including social media platforms.

7.7 During the period of your services with our company, you will not work directly or indirectly
to any other person, firm or company either with or without remuneration. Nor you will be
involved in any other trade, business or enterprise in any capacity.

7.8 You will also notify us in writing of any changes to your permanent and present address(s) within
7 days from the date of such change. In case you do not notify us, any communication or notice sent
to your address of record will be deemed served to you.

8. MISCONDUCT:

8.1 If at any time during your employment you are found guilty of any misconduct or any willful
breach or continuous negligence of the terms of your employment, the Agency may end to your
services and terminate your employment without any notice or payment. You shall be liable for
all losses and damages.

8.2 Your services are liable to suspended in case you are charged with any offence, either
criminal or otherwise for fraud, cheating, misrepresentation or any offence as per applicable law
of land.

9. TERMINATION:

9.1 During your employment, either party may terminate this agreement by providing written
notice of 30 days or payments in lieu of notice to the other party. However, acceptance of such
notice pay from Employee will be at the sole discretion of the Client. Notice Period of 90 days will be
applicable as per EthosFocus full time employment policy

9.2 No withstanding sub clause (9.1) above, the Employer may terminate this agreement
without notice by payment of salary in lieu of notice. The salary means the basic wages or
equivalent wages of the minimum wages as applicable, whichever is higher.

9.3 Offer letter will be valid based on Background Verification Check result.

Declaration

are true and authentic. If any information or document is found to be false, my employment may
be terminated as per the company policy.

Xerox copies documents to be submitted at the time of joining:Adhar Card, Pan Card,
Electricity Bill of last month as residence proof, Xerox copies of mark sheet, last
employment offer letter and experience certificate [if any], Transfer Certificate of last
attended institute along with resume in pdf format.
