Confidentiality and Non-Disclosure Agreement


This confidentiality and Non-Disclosure Agreement is made and entered into as of [DATE] by
and between [YOUR NAME] (“Disclosing party”) and [COMPANY NAME] (“Receiving Party”).

1. Purpose
The purpose of this agreement is to protect the confidentiality of information
(“Confidential Information”) that disclosing party may disclose to the receiving party in
connection with disclosing party’s employment as Penetration Tester.

2. Definitions
Confidential information shall mean all non-public information of the organization
disclosed by Disclosing party to Receiving party, in writing or in other form, including but
not limited to:
- Technical information about receiving party customers, clients, and partners,
including their systems, networks and applications.
- Security vulnerabilities and weaknesses that Disclosing party discovers during
penetration testing.
- Disclosing party’s own proprietary methods, tools, and techniques for
penetration testing; and
- Any other information that disclosing party designates as confidential.

3. Non-Disclosure
No copies will be made or retained of any written information or prototypes supplied
without the permission of receiving party. The receiving party shall not disclose any
Confidential Information to any third party without the prior written consent of the
Disclosing party.

4. Return or Destruction of Confidential Information


Upon termination of this agreement, the Receiving party shall immediately return to
disclosing party all confidential information in its possession or control, or destroy it in a
secure manner.
