LEAVE AND LICENSE AGREEMENT

ARTICLES OF THIS AGREEMENT is made and


entered in to at Mumbai on this 1st day of Dec.,
2023, between, MR. KERMAN P. MEHTA Through
Power of Attorney Holder MR. NARESH
RAMESH LAD, an adult, Indian Inhabitant, Owner
of Shop No.4A and 4AS, Mohamadi, Bldg No.3,
Peru Compound, Dr. B.A. Road, Lalbaug,
Mumbai -400012, hereinafter referred to as the
“LICENSOR” (which expression shall wherever the
context so requires or admits, mean and include
his heirs, executors and administrators and
assigns) of
the one part’ / First Part. And KARAN HANUMANT KALE an
adult, Indian Inhabitant, hereinafter referred to as the
“LICENSEE” (which expression shall wherever the context so
requires or admits, mean and include his heirs, executors
and administrators and assigns) of the “Other part” (Second
Part).

WHEREAS the Licensor herein is in use, occupation and


possession and or otherwise and sufficiently entitled to the
premises which is lying and situated at : Shop No.4A and
4AS, Mohamadi, Bldg No.3, Peru Compound, Dr. B.A.
Road, Lalbaug, Mumbai -400012, hereinafter referred as
‘the said premises”.

AND WHEREAS the Licensee is in need of place for


Residential Purposes and Licensee had requested the
Licensor to grant permission to use and occupy the said
premises on leave and license basis for the temporary period
for 24 months, on the following terms and conditions in
writing which appear hereinafter:

1. The Licensor hereby grants leave and license to the


Licensee for the use and occupation of the premises which is
lying and situated at: Shop No.4A and 4AS, Mohamadi,
Bldg No.3, Peru Compound, Dr. B.A. Road, Lalbaug,
Mumbai -400012.

2. The Licensee has paid a sum of Rs. 16,000/- (Rupees


Sixteen Thousand Only) as and by way of Security
Deposit, without interest for the performance of the said
agreement and the same will be refundable after deducting
the balance dues payable by the Licensee.

3. The Licensee shall pay the monthly compensation of


Rs.16,000/- P.M. for which he already paid advance Rent
3,84,000/- to the Licensor for the period from
01/12/2023 TO 30/12/2025, towards the use and
occupation of the said premises.

4. The Licensee shall pay 100% Electricity Charges, for


the consumer as per the bill of the said premises to the
concerned authorities and the paid bills will be handover by
the Licensee to the Licensor every month without default.

5. The Licensee shall not claim any right, title or interest


or ownership in the said premises and he shall use the said
premises for Business Purposes.
6. The Licensee will not create any nuisance to the neighbors or
if society raised any objection on any reason then in such
case the licensor having the right to get vacates the said
premises immediately from the Licensee.

7. The Licensee will not use the said premises for any
illegal activities or anti-social activities.

8. That, the Licensees herein shall have no right to sell,


transfer, assign, or mortgage the said premises to any third
party at the date of expiry of the term of this agreement.

9. The Licensee will not make any change, alternation or


addition in the said premises, without the permission of the
licensor.

10. That the Licensee shall keep the said premises in good
conditions and he shall not damage any furniture and fixture
or Electricity Cables / Wares or Colors of the said premises
and the licensee is only responsible and if he does so then
the Licensee shall compensate for the same and licensor
having the right to deducted the said damages compensation
amount from the security deposit.

11. That, the Licensor is entitled to inspect the said


premises after giving prior intimation to the Licensee and at
the mutual convenient time and date.

12. The Licensee shall not part with the possession of the
said premises to any person or persons and that he shall use
and occupy the same only for a period of this agreement.

13. The Licensor / licensee shall give One Month Notice to


the licensee / licensor for vacating the said premises before
expiry of this agreement. On such termination or at the time
of vacating the said premises the Licensor shall refund the
said security deposit to the Licensee, the same will be
refundable after deducting the balance dues payable by the
Licensee and if the Licensee vacate the said premises without
notice then in such case Licensor having the rights to deduct
the One Month compensation form the Security Deposit.

14. On the expiry of this agreement the Licensee shall


vacate and hand over the peaceful possession of the said
premises to the Licensor and licensor refund the security
deposit, after deducting the balance dues (if any), which is
payable by the Licensee.
IN WITNESS WHEREOF the parties hereto have hereunto
set and subscribed their hands on the day and the year
first here in above.

RECEIPT

RECEIVED of and from the within named “THE LICENSEE” sum of


Rs.16,000/- P.M. for which he paid advance Rent 3,84,000/- for
the period, towards the use and occupation of the said premises to
the Licensor, as mentioned hereinabove.
