INVOICING AND PAYMENT CONDITIONS

Purchase Order

For every Project the Customer Project Manager (PM) raises a Purchase Order that includes specification
of the work at the rate and currency agreed with the Vendor Relations Manager. The Purchase Order is
published via the Business Partner Portal if set up for the Supplier. The frequency and timing for issuing
Purchase Order is defined by the Project Manager and is specific to the Project. Typical frequencies are:
cumulative - once per month; at the time of handoff for each handoff.

All Purchase Order queries shall be addressed to the Customer PM, preferably within 24 hours of Purchase
Order receipt.

Unless agreed otherwise, any Purchase Order is considered active and valid for 6 months from the
publishing in Business Partner Portal. After this period any unclaimed Purchase Orders will be considered
void and shall be removed from the Business Partner Portal.

Progress Report (if applicable)

The Work executed in a given month must be included in the Progress Report for the period. The Progress
Report Form is either sent by the Customer PM or it is available through Business Partner Portal once the
Business Partner Portal is set for the Supplier.

Invoicing

The invoice shall only be submitted upon total completion of the tasks outlined in the Purchase Order and
confirmed by the Receipt, unless otherwise agreed. The Supplier shall submit a single invoice for all work
executed and approved during a month.

Payment can be done only on the basis of an original invoice, which needs to be delivered by post mail or
in electronic form (via e-mail or Business Partner Portal). The minimum invoicing amount is 10 USD.

The invoice shall include:

• Invoice number (invoice numbers should not be duplicated)


• Identification of the parties, their offices and places of business incl. country
• Information, if the Supplier is registered VAT taxpayer in EU (yes/no)
• VAT Nr. of Supplier, if registered as a VAT taxpayer in EU
• VAT Nr. of Customer: CZ03251853
• Project number
• Purchase Order number
• Total invoiced amount for each Purchase Order number
• Total amount of the invoiced sum
• Bank connection of the Supplier
• Date of invoice - shall be the date no later than the last day of the month in which the work was
executed
• Date of invoice maturity: 30 days after receipt of the invoice by the Customer

The Supplier shall keep the invoice created through the Business Partner Portal under the same invoice
number, total amount of invoiced sum, date of invoice and other appropriate identifiers in its books and / or
records to enable checking the matching tax records at both parties by the financial or other relevant
authorities.

By standard Customer pays via bank transfer within 30 days (“Payment Period”) after receipt of a proper
invoice unless otherwise agreed with the Vendor Relations Manager.

If the Supplier asks the Customer to pay the invoice earlier than is the agreed Payment Period, the
Customer will deduct from the whole amount of such invoice 2% cash discount. For expedited payment,

The day when the Customer pays the invoice to the Supplier is considered (for purpose of computation of
the cash discount) the day when the Customer’s bank debits its bank account with the paid amount.

The transfer commission (bank fee) for the payment of a single invoice in a calendar month done by the
Customer will be shared – the Customer will pay to its local bank while the Supplier will pay the bank charges
to their bank. The Customer commits to discuss with the Supplier and look for the most cost-effective form
of payment. If invoices are paid more frequently than once in a calendar month on the Supplier’s request,
the Supplier will pay all bank charges connected with the payment of the second and further invoices.

Payments inside EU

Payments inside the EU are settled as standard SEPA (Single Euro Payments Area) payments, using
SWIFT/BIC, IBAN and shared fees. Date of payment is the date when the amount is deducted from the
Customer’s account.

Payments outside EU

Payments outside the EU are settled via standard wire transfers. Transfer fees are shared between
Customer and Supplier for the invoices exceeding 100 USD. Invoices with lower amount are paid
accumulatively based on the due date of the youngest invoice or by alternative payment method (e.g.,
PayPal). Date of payment is the date when the amount is deducted from the Customer’s account.

Alternative and preferred payment methods

Customer’s preferred payment method are payments via PayPal:

• For monthly invoiced amount below 100 USD.

Transfer fees are shared between Customer and Supplier. Customer is not responsible for the amount of
transfer fees applicable by the payment service provider.

For the invoices in amounts exceeding the foregoing limits, the transfer fees are borne solely by the Supplier.

Payments from USA

If the Supplier is residing in the United States of America, the Supplier’s payment shall be administered by
Customer’s affiliated company Moravia IT, LLC. Supplier must submit a valid W9 form during the Supplier
onboarding and be eligible to work in the United States. When a valid W9 form is not submitted or the
Supplier is not eligible to work in the United States, Customer will terminate the business relationship with
immediate effect. It is the responsibility of the Supplier to inform the Customer immediately if work eligibility
status changes and Supplier is no longer eligible to work in the United States. Payments from the United
States affiliated company will be made in USD only, and may be sent via (i) PayPal or (ii) via ACH payment
method (direct deposit). Date of payment is the date when the amount is deducted from the Customer’s
account.

Any requests or questions related to pricing or payment conditions including Project specific must be
discussed/agreed only with/by dedicated Vendor Relations Manager. Customer’s PMs are not authorized. Any
additional price, invoicing and payment conditions for the Work shall be specified in the PO or Work Specification.
