Agreement for Onsite IT Developer Placement

This Agreement is made and entered into as of 26th Feb 2024, by and between INPUTI, with a
principal place of business at Kampala Uganda “Inputi”, and FARMSIO LTD, with a principal place of
business at 71-75 Shelton Street, London, Greater London, United Kingdom, WC2H 9JQ "Farms.io".

WHEREAS Inputi requires the services of an IT developer for 2 months and desires to engage Famrs.io
to provide such services, and Farms.io desires to provide such services.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as
follows:

Terms and Conditions:

Scope:

 The onsite resource will handle both Web and Mobile applications along with other
developers in the development team offshore.
 5-day work week and not more than 9 hours of work in a day (Including lunch and breaks).
 Client shall provide the Developer with a dedicated workspace, access to necessary
equipment and software, and a collaborative working environment.
 The client will provide an invitation letter to facilitate the visa application process for the
staff.
 Maximum onsite period is 2 months.

Fees and Payment:

 Travel and Accommodation: All airfare, visa, and accommodation costs will be covered by the
INPUTI.
 INPUTI would be charged 100 US Dollars per day for the entire period onsite including
weekends.
 Payment will be monthly on the presentation of invoices by Farms.io.
Termination:

 This Agreement may be terminated by either party upon 15 days' written notice to the other
party, for any reason or no reason.
 In the event of termination by Inputi, Inputi shall be responsible for payment of all fees due
and payable under this Agreement through the date of termination.
 In the event of termination by Farms.io due to Inputi's breach of this Agreement, Inputi shall
be responsible for payment of all fees due and payable under this Agreement through the
date of termination.
