REPUBLIC OF KENYA

AGREEMENT FOR SALE OF LAND

Between …………………….. of Identity Card Number ………… and of Post Office Box
………., within the Republic of Kenya, [hereinafter called the “VENDOR”] on one hand and
Anonymousof Identity Card Number …………… of Post Office Box Number 20829 (00202)
Nairobi, within the Republic of Kenya,[hereinafter called the “PURCHASERS”] which
expression shall where the context so admit include their personal representatives and assigns of
the other part WITNESSETH AS FOLLOWS:

WHEREAS:
[a] The Parcel No. ………. /measuring …… hectares is registered in the name of ……………..
and situate within ligala rise [hereinafter called “The Property”]

[b] The vendor is desirous of selling part of land to the purchasers and the purchasers have
agreed to buy the same at a price and consideration of ONE HUNDERED THOUSANDS
KENYA SHILLINGS [ 100,000Kshs ONLY].
c) The PURCHASERS have agreed to pay for the cost of transfer of land being bought by
them.

PAYMENT:
1) The Vendor shall sell and the Purchasers shall buy the subject property measuring …..Ha at
an agreed price and consideration of 100,000 KENYA SHILLINGS [KSHS ONLY.
2) The Purchasers shall pay to the Vendor a deposit of FOURTY THOUSANDS KENYA
SHILLINGS [KSHS] ONLY as part payment of the purchase price upon execution of this
agreement, receipt whereof the vendor hereby acknowledges.
3) The balance of SIXTY THOUSAND KENYA SHILLINGS [KES 60000 ONLY] shall be
paid by the Purchasers to the Vendor as follows
NOW IT IS MUTUALLY AGREED:

1) The Vendor undertakes to perform and do all in their powers to facilitate the smooth transfer
of the said property to the Purchasers and shall sign all forms and documents relating to the
property in favour of the Purchasers.
2) The Vendor guarantees the title and undertakes to indemnify the Purchasers against any
third-party claims and/or undertakes to discharge all encumbrances, if any, shall be existing
at the time of execution of this agreement.
3) That in the event of default of transfer of the said portion to the purchaser as a result of
negligence, refusal or fault of the Vendor, the vendor undertakes to refund the purchase price
already paid with interest of 10% plus all expenses incurred by the purchaser on the
transaction.
4) The Vendors shall give vacant possession of the said parcel upon execution of this
agreement.
5) The Vendors undertakes to obtain and facilitate the obtaining of consent of all the relevant
authorities for the purposes of effecting the transfer to the purchasers’ name.
6) The legal fees and all expenses necessary to facilitate the registration and transfer of the
property into the purchaser’s name including succession expenses shall be borne by the
Purchasers.
7) This agreement shall be deemed to incorporate the terms of the Law Society Standard
Agreement for sale in so far as the said Law Society Standard Agreement for sale [1993
edition] is not inconsistent with any clause herein.
