Overview
Robbox is developing the first generation of Smart Digital
Power Tools for the connected world. Through the integration
of senses and intelligence in their tools — Robbox is changing
the way people use and interact with their handheld tools for

Solution
Robbox is developing a line of multi-functional handheld tools equipped on an open-source platform that incorporate
smart technology and IoT capabilities. In order to break through a mature and technologically lagging industry,
Robbox has taken a more vertical approach in introducing its technology and tools to the power tool markets.
Initially, Robbox will be launching it’s highly anticipated xDrill™ — the world’s first Smart Digital Power Drill. The
platform that is built within the xDrill™ will be easily transferable to other applications which will allow Robbox to
expand on its product line and introduce other new and exciting Smart Digital Power Tools in the near future.

Business Model
Revenue Through Hardware Products
Currently, Robbox is generating revenue from the sales of its hardware products. This includes the xDrill™ as
well as other additional accessories for the xDrill™ such as charging stations and replacement batteries.
Replacement batteries have proven to be an important revenue stream within the power tool industry. This
will provide Robbox with a reoccurring revenue from battery sales that hold a high profit margin.

Based on low-medium volume of production,

Revenue Through Software Products


From 2022 onwards, Robbox will also be looking to expand on its software platform that is integrated in the
tool and through our iOS and Android app. Through the touch interface incorporated on our tools, we are
able to capture a range of data and information such as tool usage/frequency, location and much more. We
do believe there may be a potential revenue stream within this however we are still developing on this front
to identify a viable stream.

Revenue Through Technology Licensing


Aspects of Robbox’s technology has generated great interest from other industries. Other large
corporations believe that Digitization of Tools is the future. In Q2 of 2021, Robbox has entered talks with
two multi-billion-dollar companies for the integration of Robbox technology into their line of products.
One large American Multi-National Conglomerate Corporation as well as another Large Swedish
Manufacturer has signed NDA’s and CDA’s as they work together with Robbox to build a path forward
towards a long-term partnership.

May 2017 — Robbox Brand debuted at the National Hardware Show in Las Vegas. Robbox
received a great reception with customers, industry professionals and even
competitors excited about the potential our technology and products could
introduce to the industry.

Jan 2018 — Integrated our technology into a more vertical approach targeting one of the
largest submarkets of the Power Tool Industry — Power Drills. Robbox introduces the
first xDrill™ prototype at CES 2018

May 2018 — Robbox returns to the National Hardware Show for the second year and wins the

Execution Plan

Sales/Marketing Strategy (North American Market)

Upon delivery of the first batch of units, Robbox is looking to allocate 60-70% of the total quantity to D2C sales and
the rest towards retailers and distributors.

e-Commerce
Robbox will utilize D2C sales heavily in the beginning stages of product launch. This will ensure that margins
are kept as high as possible in the beginning stages which will allow for a more controlled introduction to the
market.
This will be achieved through the following channels:

Shopify (Robbox Direct)
Specialized Online Retailers (eg. Touch of Modern)

In order to gain traction and brand awareness into these channels, Robbox is collaborating with big name
influencers and personalities within the power tool and home improvement industry, specifically on YouTube
as well as other social platforms that provide real, live feedback and reviews.

Along with influencers, targeted ad-spend will be initiated to increase traffic and sales through the various
D2C channels. Plans for customer acquisition also including celebrity endorsements with Home & Garden
networks such as HGTV in Canada. Relationships with these networks have already been established.

Retail
Over the past 2 years, the Robbox management team has established critical relationships with various
buyers from retailers ranging from consumer electronic giants BestBuy to Home Improvement retailers such
as Lowes and Ace Hardware. Upon delivery of the first finished samples of the production models, these
retailers will begin sampling the Robbox xDrill™ in their stores to determine an optimal purchase order
quantity that can be met and handled by both parties.

As Covid-19 restrictions lift throughout North America, Robbox will resume in its efforts to maintain
tradeshow presence and will continue marketing itself physically as well as continuing to build relationships
with various buyers.

Sales/Marketing Strategy (Rest of World)

Retail
In markets that Robbox does not have immediate physical access to, Robbox is partnering with exclusive
distributors to form mutual partnerships for distribution in select countries. Robbox has currently established
partnerships with Australia, Japan and New Zealand and has initially committed purchase orders for 6000
units in the three countries followed by additional units after exhaustion of product. In the following months,
Robbox will also be looking to find additional partners in Western Europe.

Manufacturing

The initial micro batch of the xDrill™ will be assembled and distributed locally in Vancouver, British Columbia from
our company HQ. All components will be sourced from our turnkey contract manufacturer in Malaysia and be sent to
Vancouver for Assembly and Quality check before we begin mass production of larger quantity units. Upon approval
of the micro batch of units, our partners in Malaysia and Singapore will begin mass production of the xDrill™ where
they will handle every aspect of the manufacturing process.

Currently, Robbox is relations with Meiban(CM) and V.S. Industry(CM) for the production of the xDrill™ as well as
other future products. These turnkey manufacturers handle all aspects of manufacturing and delivery including
assembly, packaging, logistics, etc. They manufacturer a range of consumer electronics, power tools, vacuums, and
many other digital products. Some of the more popular products to date include various versions of the iPhone as
well as Dyson Fans.

Distribution Strategy (North America)

Distribution for the North American Market will initially be handled by our Vancouver HQ. Upon completion of
production, CM will ship out batches to our Vancouver HQ where our team will distribute orders from eCommerce
sales as well as local North American retailers.

Competition
The power tool industry itself has been lagging in terms of true innovation compared to other larger industries.
Robbox is looking to disrupt this market and tackle a new niche of Premium Smart Digital Power Tools that are
superior to conventional power tools. As of 2019, the power tool market was valued at $32.6bn and is projected to
reach $48.6bn by 2027. The DIY segment of the market is expected to exhibit the highest growth rate during the
forecasted period and has the greatest potential for adopting new innovating technology.

Initially, Robbox will be targeting the DIY and Home Markets as well as light professional markets in order to break
through a mature and technologically lagging industry in order to fully establish its brand presence and position.

Taking our flagship product — the xDrill™ into consideration, the Power Drill Market alone was valued at $9.6bn with
Cordless Battery Powered Drills taking a whopping $6bn of the total market.

Robbox is looking to specifically target the DIY/Home Market initially. The Cordless Battery Powered Drill Market in
the DIY and Home Sector was valued at just under $2 Billion in 2019. By 2024, Robbox is looking to capture 3%
($60m) of this total addressable market by 2024 with the xDrill™ alone.

At this point in time, Robbox has several competitors in play that make up a substantial portion of the Market,
however the closest direct competitor is Festool and its line of premium power tools. On average, Festool is offering
their premium power drill at a price of $500USD, approximately $120 more than what the xDrill™ is being offered for.

Management Team

Andrei Matei — Co-Founder/CEO


Andrei is an experienced marketer who brings over 10 years of experience at an executive level having also been
involved in operations and manufacturing in his previous roles. Previous to Robbox, Andrei was in business with Andy
and successfully exited in 2018 to focus their efforts on building Robbox. Andrei has extensive knowledge of the
power tool industry and is also an experienced user himself having been involved in trades while completing business
school. Andrei leads Robbox’s overall growth, brand positioning, and marketing efforts to establish Robbox as a
leader in Smart Digital Power Tools.
Andy Matei — Co-Founder/CTO
Andy is an inventor and 3x founder with 2 exits and over 25 years of experience in manufacturing and product
development. Previous to Robbox, Andy founded a turnkey manufacturing facility that focused on building industrial
products for several industries including gas, pulp and paper, and automotive. After growing the business for more
than a decade, Andy exited and sold to focus his efforts on Robbox. With a background in mechanical engineering,
Andy has also worked as a technical consultant helping various companies bring their concepts to reality.
Ken Anderson — Head of Engineering
Ken is a Silicon Valley veteran having spent over 15 years in the valley at various tech companies. Previous to Robbox,
Ken led the engineering team at “Opener” — a personal aviation startup that attracted big name investors such as
former CEO of Google — Larry Page. During his time in the valley, Ken built, grew, and led engineering teams from
concepts to manufacturing and brings this experience to the Robbox engineering team.

Rodica Matei — COO


Rodica leads the operational team at Robbox having spent over 25 years in various operational positions within the
automotive industry. Prior to Robbox, Rodica was the COO of Wedge Clamp Systems, a subsidiary of Craftsman
Collision — one of the largest privately-owned automotive repair shops in Canada with offices in Canada, US, and
China. Rodica joined Wedge Clamp Systems while it was on the verge of bankruptcy and brought it to profitability
in three short years. Her strengths lie in operations, manufacturing, and supply chain management. She brings this
breadth of experience to the Robbox team while managing the day-to-day operations of the business.

Exit Strategy

Acquisition

Over the last two years, Robbox has established relationships with potential acquirers including power tool
competitors. At this stage, we are looking to grow the company and generate $200M in annual revenue within
the next 3-4 years before we begin to engage in an acquisition deal with a competitor in the tool space or a
private equity firm.

Potential Acquirers

Competitor — Stanley Black and Decker (Stanley BD)


Robbox’s management team has sat down at the table with Stanley BD on numerous occasions over the last two
years. At the moment, Robbox does not quite fit the “Established Brand” criteria yet that Stanley BD looks for in their
acquisition targets.

Data/Tech Company — Google/Amazon (Alexa)


Data/Tech company is also a viable acquirer for Robbox. As Google and Amazon expand on their smart home solution
and devices, Robbox Tools would add to their portfolio of Connected Devices and compliment their many other
brands under their umbrella.

Private Equity
Robbox is also open to a potential acquisition from a Private Equity firm if it makes sense at that time.

With that being said, Robbox has currently been seeing some great traction through the relationships
that are being buildt with the two industrial corporations they are in talks with at the moment. As
mentioned even by them, this is an opportunity that can potentially lead to an acquisition deal in itself.

SUMMARY OF PRINCIPAL TERMS AND CONDITIONS
FOR PRIVATE PLACEMENT OF PREFERRED SHARES OF
ROBBOX INC.
June 1, 2021
The following is a summary of the principal terms and conditions with respect to the proposed private
placement financing of ROBBOX INC. (the “Company”) by the undersigned and certain other qualified
investors, if any (collectively, the “Investors). Except for the section entitled Binding Terms, this
summary of terms (the “Term Sheet”) does not constitute a legally binding obligation and is subject to
definitive agreements to be negotiated and executed by the Company.

Offering Terms

1. Securities to Issue: The Company is conducting an offering (the “Offering”) of Preferred


shares in the capital of the Company (each a “Preferred Share”).

2. Size of Offering: Up to $1,000,000 in aggregate.


The Offering size may be reduced or increased in the Company’s sole
discretion.
The minimum subscription amount is $25,000 per Investor.

3. Price Per Share: The issue price will be (the “Issue Price”), either:
(a) $0.29 per Preferred Share, based on an increased pre-money
valuation of approximately $5,000,000 calculated on a fully-
diluted basis; or
(b) $0.203 per Preferred Share, being a thirty percent (30%) discount
on such valuation, for the first $500,000 in committed capital only.

4. Closing Date: The Offering may take place in one or more closings. Final closing of the
Offering is expected to take place July 15, 2021 (the “Closing”).

5. Voting Rights: Voting together with the Company’s Common shares (the “Common
Shares”) on all matters on an as-converted basis, subject to applicable law.

6. Dividends: If, as and when declared by the Board of Directors of the Company (the
“Board”). No dividends may be declared on the Common Shares without
an equal per share dividend declared on the Preferred Shares.

7. Liquidation: One times (1x) the Issue Price plus declared but unpaid dividends on each
Preferred Share upon the occurrence of a Liquidation Event, with the
remaining balance of proceeds distributed pro-rata to the holders of the
Common shares.
“Liquidation Event” will mean (a) a share sale, merger, reorganization
or similar transaction whereby the shareholders of the Company own less
than a majority of the shares of the surviving or successor company; (b) a
dissolution or winding up; or (c) a sale, exclusive license or other
disposition of all or substantially all of the Company’s intellectual

property assets.

8. Conversion: Each Preferred Share will be convertible into one Common Share (subject
to proportional adjustments for stock splits, stock dividends and the like,
and for anti-dilution adjustments): (a) at any time at the option of the
holder, and (b) automatically upon (i) consent of at least 50% of the
holders of Preferred Shares, or (ii) the Company closing an initial public
offering.

9. Investors: The Offering will be made on a private placement basis pursuant to


exemptions from prospectus and registration requirements under
applicable laws, and will only be available to investors that qualify for
such exemptions and are otherwise acceptable to the Company in its sole
discretion.

10. Shareholders’ The Investors will become party to the Company’s shareholders’
Agreement: agreement among the Company and all of its shareholders dated
September 9, 2018, which includes a conditional voting trust and a drag-
along right.

11. Binding Terms: Each party will bear its own legal expenses with respect to this transaction.
Prior to Closing, neither the Company nor any Investor may disclose the
existence or any details of this Term Sheet or the transactions
contemplated herein to any party other than their respective senior
employees and advisors who have a need to know and who have agreed in
writing to maintain such information in confidence.
This Term Sheet and all related agreements will be governed by the laws
of the Province of British Columbia and the federal laws of Canada
applicable therein.
All monetary amounts under this Term Sheet are in US Dollars.
