INTRODUCTION
 Governance is the process by which
organisations establish their rules and
policies and implement and monitor them.
 Good governance has various essential
characteristics and can mean different
things to different people.
 Nurse/midwife leaders holding positions of
power must have a sense of accountability
and a means of carrying out checks and
balances if they want to govern successfully.
DEFINITION OF TERMS
1. GOVERNMENT
A group of people that govern a
community / country
 It sets and administers public policy and
exercises executive, political and sovereign
power through customs, institutions and
laws within a state
 Examples of governments include
democracy,monarchy,republic,dictactorshi
p etc.
2. GOVERNANCE
 is "the process of decision-making and the
process by which decisions are
implemented (or not implemented)".
 Governance in this context can apply to
corporate, international, national, or
local governance as well as the
interactions between other sectors of
society.
3. GOOD GOVERNANCE
 is the process of measuring how
public institutions conduct public
affairs and manage public resources
and guarantee the realization of
human rights in a manner essentially
free of abuse and corruption and with
due regard for the rule of law.
GOOD GOVERNANCE
 good governance refers to mobilizing the
people of a country in the best direction
possible.
 It
requires the unity of people in society and
motivates them to attain political objectivity.
 In other words; It ensures proper utilization of
all the resources of the state for its citizens
which ensures sustainable development.
ROLES OF GOOD GOVERNANCE IN
ORGANISATIONS
 Minimizes the potential for corruption
 Increases inclusion and the ability to
benefit from diverse thinking
 Reacts to the needs of society, both now
and in the future
 Provides a framework for managing
organisations
 It identifies who can make decisions and
can act on behalf of the organisation

PARTICIPATION
 participation of others in the
process of governance is the key
characteristics of good governance.
Participation as an important step for
mobilizing people to participate in
the decision-making process.
It can be direct or indirect but
Participation needs to be informed
and organized.
 The aims and objectives of the
political rights would be fulfilled by
the greater participation of the people
in the society.
 The legal framework represents the
rule of law which ensures impartiality
in terms of participation in the
decision-making process of governance
2. Consensus-Oriented
 The boardroom/conference/meeting is an
appropriate forum for hosting robust
discussions and debates.
 Some of the most heated debates result in
the best decisions, as representatives from
many different walks of life come together
with varying perspectives.
Good governance means securing
agreement from these discussions.
Consensus-oriented decision-making
has to take on board the different
needs and perspectives of this
diverse group to deliver a broad
consensus that will serve the best
interests of communities and
companies.
3. ACCOUNTABILITY
Accountability is a crucial
characteristic of good governance.
Boards of directors/managers are
accountable to groups and
individuals affected by their
decisions, including their
shareholders, stakeholders, vendors,
employees and the general public.
Transparency and the rule of law
go hand-in-hand with
accountability;
transparency is one of the core
values of good governance, and it
both drives and evidences
accountability.
4. Transparency
 Good corporate governance requires that
records and processes are transparent and
available to shareholders and stakeholders.
 Financial records should not be inflated or
exaggerated.
 Reporting should be presented to
shareholders and stakeholders in ways that
enable them to understand and interpret
the findings.
 Transparency means that stakeholders
should be informed of key corporate
contacts and told who can answer
questions and explain reports, if
necessary.
 Corporations should provide enough
information in their reports so that
readers get a complete view of the
issues.
5. Responsiveness
responsiveness has a basic necessity
of the administration which can
motivate the interrelationships
between administration and people.
It requires sufficient services to the
people within a specific time.
A timely response to the unexpected is
crucial, with corporations that
practice good governance usually able
to prioritize swift and honest
communication with shareholders and
stakeholders.
6. Equity and Inclusiveness
 Each board director/manager has an equal
seat at the board table.
 Each director/manager can and should
use their voice to share their experiences,
opinions and philosophies to enhance and
broaden discussions.
 No one should feel left out or that their
views have less meaning than others.
7. Rule of Law
 important characteristic of good governance is
rule of law.
 It needs a fair legal framework to establish rule of
law in society.
 Rule of law ensures impartiality which helps to
protect human rights, particularly who is most
marginal in society.
 The Independent judiciary system, its impartial
nature, and the incorruptible police force are the
key element to ensure rule of law
8. Strategic Vision
 One of the primary responsibilities of
board directors is strategic planning,
which includes the organization’s
mission, vision and values statements.
 Strategic planning leads boards to
understand where the corporation is
going and how it will get there.
 Good corporate governance requires a
robust planning process, incorporating
action plans, budgets, operating plans,
analysis, reporting and much more
 The strategic plan holds board
members accountable for their
decisions and for monitoring their
goals.
 Strategic planning also includes risk
management and protecting the
company’s reputation.
PRINCIPLES OF GOVERNANCE
1. SELFLESSNESS
Holders of public office should act solely in
terms of the public interest
2. INTERGRITY:
 Holders of the public office must avoid
placing themselves under any
obligation to people or organisation
that might try inappropriately to
influence them in their work
 They should not act or take decisions
to gain financial or other material
benefits for themselves, their family
or friends
3. OBJECTIVITY
Holders of the public office must act
and take decisions impartially, fairly and
on merit using the best evidence and
without discrimination or bias
4. OPENNESS
 Holders of the public office should act
and take decisions in an open and
transparent manner
 Information should not be with held from
the public unless there are clear and
lawful reasons for so doing
5. HONESTY
Holders of the public office should
be truthful
6. LEADERSHIP.
Holders of the public office should
exhibit these principles and treat
others with respect
They should actively promote and
robustly support the principles and
challenge poor wherever it occurs.
