INVOICING AND PAYMENTS

EXHIBIT-C, “INVOICING AND PAYMENTS”

1. CONTRACT PRICE FOR

1.1 With reference to the TYBICAL CONTRACT, it is mutually agreed between

COMPANY and CONTRACTOR that for the complete performance of the WORK,
COMPANY shall pay to CONTRACTOR the Lump Sum CONTRACT PRICE of:

 an amount / 1000000000 / S.P only one billion Syrian Pounds

 an amount of / ________ / . Foreign Currency Portion

1.2 The Lump Sum CONTRACT PRICE comprises the sum of Lump Sum Contractor’s
shown in the Pricing Sheets.

1.3 The Pricing Sheets show the breakdown of the Lump sum CONTRACT PRICE per
Activity. An Activity is in this context defined as a specific execution function for a
Plant system or item indicated on the Pricing Sheets.

1.4 The price amounts shown for each Activity are deemed to be the full amount
payable to CONTRACTOR for the complete performance of all WORK associated
with that Activity, including, but not limited to, a proportional share in all other
costs incurred by CONTRACTOR for WORK required under CONTRACT for
which no specific Activity is defined.

1.5 The CONTRACT PRICE shall be paid by COMPANY as follows :

a- Syrian Currency Portion : COMPANY will pay an amount / 1000000000 / S.P

only one billion Syrian Pounds to The CONTRACTOR against services works
inside Syrian Arab Republic territory.
b- Foreign Currency Portion is to be paid by Foreign Currency transferable.

Note: Bidders who are interested in financing the project can submit a
special financing offer which will be considered in the evaluation of
their bids.
this special offer should be put in a closed envelope in the financial
offer (third envelope).

2. PROGRESS PAYMENTS

For the calculation of the Value of Work Done ( VOWD ) at the end of each calendar
month, a percentage complete shall be mutually agreed between COMPANY and
CONTRACTOR for each Activity in accordance with the following guidelines:
