9.2. The Lump Sum price ‫ يعتبر المبلغ المقطوع و المحدد في‬9-2

9.3. ‫ إذا دعت الحاجة إلى إضافة منشآت أو‬9-3

Should any need arise for
additional installations or ‫معدات بغية تحقيق ضمان التنفيذ المطلوب‬
Equipment to meet the performance ‫بمقتضى أحكام هذا العقد أو لتنفيذ المشروع‬
guarantee of this Contract, or
‫وفق الممارسة الهندسية الجيدة و المواصفات‬
project execution in accordance
with good engineering practice and ‫العامة و المواصفات القياسية الواردة في‬
the general conditions and ‫دفتر الشروط فيترتب على المتعهد أن يقدم‬

Article No. 10 Conditions :‫ شروط و طريقة الدفع‬-10 ‫المادة‬
and Mode of Payment :

10.1 The foreign currency
portion shall be paid for
equipment, materials and also
for services, transport costs,
erection, licenses, insurance,
and design costs, etc.............,
will be paid as following:
10-1-1 sixty fife percent (65%) of
the foreign currency portion shall
be paid to the Contractor against
shipping documents of the
equipment and materials on the
basis of (CIF site) presented by
the Contractor, as indicated in
para 10.4.1 by means of an
irrevocable, divisible and
confirmed Letter of Credit opened
in foreign currency by the
Commercial Bank of Syria No.
(1) in Homs in favor of the
Contractor.
This L/C will be notified to the
Contractor by the means of the
Corresponding Bank.
10.1.2- Four percent (4 %) out of
the foreign currency portion will be
paid to the Contractor, for the
services outside SAR against the
documents which shall be
presented by the Contractor as
indicated in para. 10.4.2 by means
of an irrevocable, divisible and
confirmed L/C, opened in foreign
currency at a foreign bank –First
class by Branch No. 1 in favour of

‫للرجـ ـ ـ ــوع و قابـ ـ ـ ــل للتجزئـ ـ ـ ــة و معـ ـ ـ ــزز يفتح‬

‫هذا االعتماد إلى المتعهد بواسطة المصرف‬

 Article No. 11-Bank
Guarantees, Performance
Bond:
11.1. All bank guarantees to be
provided by the Contractor under
the Contract shall be issued by a
bank accepted by the Commercial
Bank of Syria, branch. No. (1) on
the request of the Contractor and on
his account, and will be confirmed
by the CBS.
They shall be in the form approved
by Commercial Bank of Syria,
Branch No. (1) Homs.
The Contractor shall pay all Stamp
duties, fees and expenses
charged or occurred from the
confirmation and extension of
these Guarantees to the CBS,
Branch No. (1).
11.2. The contractor shall provide
within 15 days from the date of
letter of intent a performance
bond to the value of 10% (ten
percent) of the Lump Sum of
the Contract specified in Art. 9.
The performance bond will be
released and terminated after
the end of guarantee period and
30 days after issuing the final
Acceptance Certificate signed
by the Administration and this
will not considered as
termination for his
responsibility

 11.3. The Contractor shall submit
to the Administration within
(15) fifteen days from the date
of signing the Contract a bank
Guarantee, for the down
payment, in the rate of 10% out
of the Contract amount,
indicated in the Article 9 for
the down payment. Issued by
the CBS No. /1/.
Down payment guarantee will
be reduced pro rata with
submitted invoices for (10) ten
percent from the value of each
payment due to the Contractor.
Article No .12-
Delay Penalties:
In case the Contractor delayed in
achieving all his obligations in
due scheduled time according to
the rules of this Contract, then
delay penalties should be imposed
on him in ratio of (0,1%) (one per
thousand) out of the total Contract
value for each day of delay
provided not to exceed 20% of the
total Contract value, even if no
damages have affected the
administration.

Article No 13 – Contract ‫ نفقــــــات التعـاقــــــد و‬-13 ‫المادة‬
charges, Taxes and fees:

First- The Contractor shall bear the ‫أوًال يتحمل المتعهد الضرائب والرسوم‬

7) Fees of inspection certificate issued
by Neutral International Inspection
Company Chosen by S.G.C. from
the list or lists which will be
nominated by the contractor.
8) All the custom release expenses
except the custom fees
Second- Syrian Gas Company shall
bear the following taxes and duties:
1) All the Taxes and duties imposed
inside Syrian Arab Republic
territories against executing this
contract and which is not
mentioned in para. first of Article
13.
2) Customs duties in Syria Arab
Republic lands.
3) Expenses of L/C opening and
confirmation according to Contract

Article No.14 - Insurance : : ‫ التأمين‬- 14 ‫المادة‬

14.1. The Contractor shall at his ‫ يجب على المتعهد الحصول على‬14-1

Provisional Acceptance of the
Project.
14.4. The Contractor and the
sub-Contractors shall, at their
expense, insure their employees
according to the requirements of
the Syrian law.

Article No.15-Facilitation: : ‫ التسـ ــهيالت‬15 ‫المادة‬

The Administration will endeavor ‫تسعى اإلدارة إلعفاء المتعهد و مقاوليه‬

to exempt the Contractor and

and non-Syrian employees
during the execution of the
Work, from the following
obligations. These facilitation’s
shall not result in any expenses
on the Administration :

Syrian foreign trade

organizations .

15.3. Government formalities ‫ اإلجراءات الحكومية المطبقة على‬15-3

applied to the transport of

documents and others by air ‫ أو‬/‫والوثائق و غيرها بطريق الجو و‬
and/or road and / or sea and/or

railways, and in particular the

Article No.16 - Suspension of ‫ تعليــق األعمــــال و إ‬- 16 ‫المادة‬

Work & Contract Termination
and Cancellation The : ‫نهاء العقدو سحب التنفيذ‬

Without prejudice to the / 59 -55 -54/‫مع مراعاة أحكام المواد‬

provisions of Article No./54-55-
59/ of the Law no.51 of 2004. . 2004 ‫ لعام‬/51/ ‫من القانون رقم‬

16.1. The Administration may ‫ أو تنهي‬/ ‫ يجوز لإلدارة أن تعلق و‬16-1

suspend and/or terminate the
Contract if the Contractor and/or ‫ أو أي‬/ ‫العقد إذا لم يتقيد المتعهد و‬
any sub-Contractor is not in full ‫من المتعهدين الثانويين بااللتزامات‬
compliance with his contractual

obligations and commitments

In the event of such termination, the

 para16.1 ( due to the
Contractor’s or sub-Contractors
default), the Administration may
request, for reasonable and
substantial reasons, the
Contractor at any time, in
writing, to suspend the Work, or
part of it, for a period of time
not exceeding (15) fifteen days,
to the extent and manner may be
considered necessary by the
Administration.
The Contractor, upon receiving
such request, has to suspend the
work specified in the request
immediately. During the
suspension time, the Contractor
will protect and secure the Work
and Project in the appropriate
and necessary possible manner.
16.3. The Administration may
terminate the Contract in any of
the following cases:
16.3.1. If the Contractor
assigns or attempts to assign the
Contract or any part of it prior
getting the written
Administration approval.
16.3.2. If the Contractor did
not comply with Article No. 25.
16.3.3. If the Contractor acted
in a way, the Administration
considers as violating the
provisions of the Contract.

‫أعاله (بسبب تقصير المتعهد أو‬
‫المتعهدين الثانويين) يجوز لإلدارة إذا‬
‫كان لديها أسباب وجيهة و جوهرية‬
‫أن تطلب في أي وقت من المتعهد‬
‫خطيا توقيف سير العمل أو أي جزء‬
‫) خمسة عشر‬15( ‫منه لفترة ال تتجاوز‬
‫يوما و إلى الحد وباألسلوب الذين‬
. ‫تراهما اإلدارة ضروريين‬
‫و يقوم المتعهد عند استالمه مثل هذا الطلب‬
‫بتعليق العمل المحدد في الطلب فورا و‬
‫يقوم أثناء فترة التعليق هذه بحماية و‬
‫تأمين العمل و المشروع بالشكل‬
. ‫المالئم و القدر الضروري و الممكن‬
‫ يجوز لإلدارة أن تنهي العقد في‬16-3
: ‫أية حالة من الحاالت اآلتية‬
‫ إذا تنازل المتعهد أو حاول أن‬16-3-1
‫يتنازل عن العقد أو أي جزء منه دون‬
‫الحصول مسبقا على موافقة اإلدارة‬
. ‫الخطية‬
)25( ‫ إذا لم يتقيد المتعهد بالمادة‬16-3-2
. ‫من العقد‬
‫ إذا تصرف المتعهد بطريقة‬16-3-3
‫ترى اإلدارة أنها تشكل مخالفة ألحكام‬
‫العقد‬
16.3.4. If the Contractor
failed in the fulfillment of his
contractual obligations, or repair
any justified default, negligence
or fault complained by the
Administration in writing,
within the period of time
mentioned para.16.4.2.
16.3.5. If the Contractor
became bankrupted or insolvent
or has an execution levied on
his goods or has a receiving
order against him, or
compounding with his creditors
or being a corporation
commences to be wound up, not
being a member voluntary
winding up for amalgamation or
reconstruction or carries on its
business under receiver for the
benefit of its creditors or any of
them.
16.4. In the event that the
Administration wishes to
terminate the Contract due to the
failure of Contractor and/or any
of his sub-Contractors, then the
following procedure shall be
applied:
16.4.1The Administration will
notify the Contractor, by a
registered letter or cable, of the
existence of the default and the
need for its remedy.
16.4.2. If the Contractor did
not take the necessary measure
to repair the fault within thirty

‫معسرا أو في حال تنفيذ الحجز على‬
,‫بضائعه أو صدر أمر حراسة عليه‬
‫ أو‬, ‫أو في حال تصالحه مع دائنية‬
‫كونه شركة بدء بتصفيتها و لم تكون‬
‫تصفية طوعيه لألعضاء بغرض‬
‫الدمج أو إعادة التكوين أو إذا استمر‬
‫في العمل تحت الحراسة القضائية‬
. ‫لصالح دائنيه أو أي منهم‬
‫ في حال رغبة اإلدارة في إنهاء‬16-4
‫أو أي‬/ ‫العقد نتيجة لتقصير المتعهد و‬
. ‫من مقاوليه الثانويين‬
‫تتبع عندئذ األحكام و اإلجراءات‬
:‫اآلتية‬
‫ تبلغ اإلدارة المتعهد خطيا‬16-4-1
‫بكتاب مسجل أو برقية عن وجود‬
. ‫الخلل و عن ضرورة إصالحه‬
‫ إذا لم يتخذ المتعهد اإلجراءات‬16-4-2
‫الالزمة بإصالح الخلل خالل ثالثين‬
 days from the date of receiving ‫يوما من استالم ذلك اإلخطار يحق‬
this notification, then the
Administration shall have the ‫لإلدارة عندها إنهاء العقد دون أن‬
right to terminate the Contract . ‫يستحق المتعهد أي تعويض‬
with no compensation to the
Contractor.

16.4.3. The decision of ‫ يبلغ قرار إنهاء العقد إلى‬16-4-3

Contract termination will be
notified to the Contractor in a ‫المتعهد بكتاب مسجل و يسري مفعول‬
registered letter. This ‫هذا اإللغاء بعد ستة أيام من تاريخ‬
termination will be effected after

six days from the date of receipt
of notice.

16.4.4. The termination of the ‫ ال يؤثر إنهاء العقد على أية‬16-4-4

Contract does not affect any
payment to the Contractor for ‫مبالغ مستحقة للمقاول عن األعمال‬
work performed before the . ‫المنفذة قبل تاريخ اإلنهاء‬
termination date.

16.4.5. If the Administration ‫ أما بالنسبة لجميع األعمال‬16-4-5

so wishes, all works executed,
and all other delivered materials ‫المنفذة والمعدات الموردة األخرى‬
and equipment will become the ‫فتؤول ملكيتها إلى اإلدارة إذا رغبت‬

16.4.6. All mechanical ‫ تبقى جميع الضمانات‬16-4-6

guarantees by the Contractor for

the course of production, not

withstanding the Contract

 termination, provided that these
materials and equipment are
related to the Contract.
16.4.7. All equipment under
production or design by the
Contractor on the termination
date should be completed by the
Contractor and handed over to
the Administration, if so is
requested. The Administration
will pay the outstanding due
balance for such equipment.
16.4.8. Upon the Contract
termination, the Contractor will
provide the necessary protection
for executed part of Work till it
is transferred into the custody of
the Administration .
Mutual agreement shall be made
concerning the payment of
costs incurred by protecting
these works, and the
Administration shall pay the
agreed costs.
16.4.10. In the event that the
Contract termination was to the
reason attributable to the
Contractor, the Contractor
undertakes to carry out all
necessary measures to invalidate
the L/C opened by the
Administration in his favour in
compliance with the provisions
of this Contract. In case of
Contractor’s failure to do so, he

‫العقد إذا طلبت اإلدارة ذلك لقاء قيام‬
‫اإلدارة بدفع الرصيد المتبقي المستحق‬
. ‫بالنسبة لتلك المعدات‬
‫ يقوم المتعهد لدى إنهاء العقد‬16-4-8
‫بتأمين الحماية الالزمة لذلك الجزء من‬
‫العمل المنفذ إلى أن يتم نقله إلى حوزة‬
‫اإلدارة ويجري االتفاق فيما بين‬
‫الفريقين على تسديد التكاليف الناجمة‬
‫عن حماية هذه األعمال و تدفع اإلدارة‬
.‫تلك التكاليف المتفق عليها‬
‫ إذا كان إنهاء العقد قد تم بسبب‬16-4-9
‫ يتعهد المتعهد بأن يتخذ‬,‫من المتعهد‬
‫جميع اإلجراءات الالزمة إليقاف‬
‫مفعول االعتمادات المستندية المفتوحة‬
‫من قبل اإلدارة لصالحه تنفيذا ألحكام‬
.‫هذا العقد‬
‫و في حال تعذر تنفيذ ذلك من قبل‬
‫المتعهد فإنه يلتزم أن يعيد مبالغ‬

guarantees and due payments,
without violating the
Administration’s right to ask
for compensation against the
damages resulting by the
Contract termination.

‫األعمال والخدمات وشراء المواد و‬
‫تنفيذ األشغال و يحق لها أيضا أن‬
‫تصادر كافة التأمينات و المبالغ‬
‫المستحقة للمقاول على اإلدارة دون‬
‫اإلخالل بحق اإلدارة في مالحقة‬
‫المتعهد بالتعويضات الناجمة عن‬
‫األضرار التي لحقت بها نتيجة إنهاء‬
. ‫العقد‬

Article No.17 Warranty of ‫ ضمان حقوق‬- 17 ‫المادة‬

Properties rights and Patents:
:‫الملكية و بـــراءة االختراع‬

17.1. The Contractor hereby ‫ يتعهد المتعهد بمنح اإلدارة حق‬17-1

grants the Administration a non-
exclusive royalty free, non-
transferable, irrevocable Licence
to use solely for the operation of
the Project, the equipment,
machinery, materials, processes
or methods supplied by the
Contractor and/or sub-
contractors and to make use and
sell any substances produced by

‫وبحيث يكون غير قابل للتحويل و‬
‫بشكل مطلق و غير قابل للرجوع من‬
‫أجل استعماله له فقط لعمليات تشغيل‬

‫و طرق التشغيل المقدمة من قبل‬
‫ أو المتعهدين الثانويين و‬/ ‫المتعهد و‬

 or during said operations of the
Project or any part of it.
17.2. Contractor shall at his
expense provide the
Administration with any process
licences required for the
operation of the Project.
17.3. Contractor shall indemnify
and save harmless the
Administration from any
damage and/or loss arising from
the claims for the infringement
of any patent right in respect of
any design provided, or any item
of the Project, manufactured or
supplied or any work done or
method employed for the
execution of the work, by
Contractor or sub-Contractors.
If the need arises, the Contractor
shall defend the Administration
on his own expense and pay all
damages and costs awarded, if
any, against the Administration.
In the event that the
Administration is restricted in
the continuous use of part of the
Project as a result of such claim,
the Contractor shall at his own
expense, execute such
replacements or modifications
or licenses required to restore to
the Administration the
unrestricted right to use the
Project.

 17.4. The Contractor shall require
from every sub-Contractor the
same patent protection for the
Administration that Contractor
is required to provide under this
article.
17.5. The Administration shall
immediately notify the
Contractor of any claim made
against the Administration for
breach of patent, and the
Contractor shall (with the
assistance of the Administration,
on the Contractors expense, if
required) conduct all
negotiations and take all legal
steps in order to settle such
claims or dispute.
Article No.18-Guarantees:
18.1.The Contractor guarantees the
correct design of the Project
including the piping, heat and
material balance,
instrumentation, civil,
mechanical and electrical,
engineering and incorporated
necessary safety factors.
18.2 The Contractor guarantees
that the Project shall be
fabricated and constructed in
the best practical technical
manner of the first class,
applying high levels of skill,
and with materials of the best
first class quality for their
respective use.

must be fully replaced or
repaired by the Contractor.

Article No. 26 Settling
Disputes:
disputes shall be resolved according

Jurisdiction is the content authority
to resolve every dispute may arise
out of the contract.
b- It would referred to arbitration
according to the rules taken in front
of Administrative Jurisdiction
Article No. 27-Force
Majeure:
The Contractor shall execute all his
obligations within the dates
specified in this Contract. If any
delay should occur in executing
these obligations due to Force
Major or unforeseen events that
both Parties are not responsible
for, when signing the Contract.

Article No. 29 Affidavits and
Liens:
If at any time there is evidence of
any lien or claim for material or
labour to which, if established,
Company or its property might
be subjected, and which is

:‫الحجز‬
‫إذا ظهر في أي وقت من األوقات دليل على‬
‫وجود أي حجز أو مطالبة بشأن المواد‬
‫أو العمل يمكن أن تتعرض له اإلدارة أو‬
 chargeable to Contractor,
Company shall have the right to
retain out of any payment to be
made under this Contract by an
amount sufficient to indemnify
Company completely against
such lien or claim.
Should the remaining payment due
to Contractor dose not cover the
amount requested from
Company, Company has the
right to assert a lien against
Contractor’s property and assets
which are equal to the requested
amount. Should there be proof
of any lien upon the property
and assets which are equal to the
requested amounts or should
there be proof of any lien upon
the property of Company after
all payments there under have
been made, Contractor agrees to
refund to Company all the
money that the latter may be
compelled to pay in discharging
any such lien imposed on
property of Company.
Company can keep the lien on
Contractor’s property and assets
till the complete claimed
amount is paid.
‫ممتلكاتها و كان المتعهد هو المناط‬
‫بالمسؤولية فيحق لإلدارة أن تحتجز أي‬
‫من الدفعات المستحقة للمقاول بموجب‬
‫هذا العقد المبلغ الكافي للتعويض عليها‬
‫تعويضا كامال من جراء تلك المطالبة أو‬

‫إذا لم تغطى الدفعة الباقية المستحقة للمتعهد‬
‫المبالغ المطلوبة من اإلدارة عندئذ يحق‬
‫للشركة أن تحجز على ممتلكات و‬
‫موجودات المتعهد المساوية للمبالغ‬
‫المطلوبة منه و إذا كان هناك دليل على‬
‫حجز فرض على ممتلكات الشركة بعد‬
‫تسديد كافة الدفعات المستحقة للمتعهد‬
‫استنادًا إلى العقد يوافق المتعهد على أن‬
‫يعيد إلى الشركة كافة المبالغ التي‬
‫اضطرت إلى دفعها بغية رفع أي حجز‬
.‫يقع على ممتلكاتها‬
‫و تستطيع اإلدارة حفاظا على حقوقها أن‬
‫تبقي الحجز القائم على موجودات‬
‫وممتلكات المتعهد إلى أن يتم تسديد كامل‬
‫المبلغ المطالب به‬

materials have been paid in full
for work done or materials

‫قيامه بالدفع لجميع العمال و المتعهدين‬
‫الثانويين و دفع قيمة جميع المواد فيما‬
‫يتعلق بالعمل المنفذ أو بالمواد الموردة‬

 furnished to the date of such
affidavits in connection with the
performance of the Work, before
Company shall be obliged to
make any payment (s) on
account of the Contract Value at
the time or in the manner herein
provided.
Article No. 30 Release and
Replacement of liens:
Should any liens have been asserted
against the property of
Company, by or on behalf of,
any party furnishing labor or
materials to Contractor or to any
Sub-Contractor in connection
with the Work, then upon the
request of Company, Contractor
shall, at Contractor’s cost and
expenses, cause each such lien
to be released and replaced by a
temporary bond issued by a first
international bank through the
Commercial Bank of Syria
(acceptable to Company ).
The rights of Company under this
Article shall be additional ones
and shall not in any way limit
Company’s right under the other
articles of this Contract
including, but not limited to, the
Article titled “Affidavits and
liens”.

‫حتى تاريخ تلك اإلقرارات و ذلك فيما‬
‫يتصل بتنفيذ العمل قبل أن يترتب على‬
‫الشركة أي التزام بدفع أي مبلغ أو مبالغ‬
‫على حساب قيمة العقد في األوقات أو‬
‫وفق الطريقة المحددة في هذا العقد‬
‫رفع حقـــوق الحجز‬- 30 ‫المادة‬
:‫واستبدالها‬
‫في حال فرض حجز على ممتلكات الشركة‬
‫من جانب أو لصالح أي طرف آخر‬
‫يقدم عمال أو مواد إلى المتعهد أو إلى أي‬
‫من متعهديه الثانويين يتصل بالعمل‬
‫فيترتب عندئذ استجابة لطلب الشركة أن‬
‫يقوم المتعهد و على نفقته و حسابه‬
‫الخاص برفع ذلك الحجز و استبداله‬
‫بكفالة مؤقتة صادرة عن بنك دولي‬
‫توافق عليه الشركة و عن طريق‬
‫المصرف التجاري السوري‬
‫إن الحقوق المخولة إلى اإلدارة بموجب هذه‬
‫المادة إنما هي حقوق إضافية و ليست‬
‫لتحد بأي حال من حقها المخول إليها‬
‫بمقتضى المواد األخرى المدرجة في‬

‫و تشمل على سبيل المثال ال الحصر المادة‬
‫الواردة تحت عنوان الشهادات الخطية‬

Article No. 32-Responsibility
against Third Party:
The Contractor bears all damages
and responsibility against third
party resulting from the
execution of the Contract, and
undertakes to compensate all
such damages according to the
rules and laws in force in S.A.R.
regarding these damages
occurring in S.A.R.
The Administration has the
right to re-claim the Contractor
on all imposed obligations
resulting from this, by exchange
or any other way.

Language and Organization:

The Contract is drawn up in two
originals in English and Arabic.
Each party shall retain one
original. The Arabic text is the
only one valid for interpreting
the terms of this Contract.
Article No. 35 The Coming
Into Force of This Contract:
1. The Contractor shall abide by
the rules of this Contract as fully
and partially.
He has no right to withdraw from it,
or part of it.
2. This Contract comes into force
only after being ratified by the
competent Syrian authorities.
