Statutory Variation Clause

1 Statutory Variation in taxes and duties, or fresh imposition of taxes and duties by State/ Central Governments in respect of the items
stipulated in the contract (and not the raw materials thereof), within the original delivery period stipulated in the contract, or last
unconditionally extended delivery period shall be to Railways' account. Only such variation shall be admissible which takes place after
the submission of bid. No claim on account of statutory variation in respect of existing tax/duty will be accepted unless the tenderer has
clearly indicated in his offer the rate of tax/duty considered in his quoted rate. No claim on account of statutory variation shall be
admissible on account of misclassification by the supplier/ contractor.

Option Clause

1 OPTION CLAUSE : The purchaser shall be entitled to vary the order quantity upto +30% anytime within the delivery period (including
extended delivery period) on the same terms and conditions. The increase in quantity with respect to the tender quantity can be done
even at the time of ordering and the tenderer shall be bound to accept the quantity ordered on the basis of their original offer. The
purchaser shall be entitled to exercise +30% option clause in one or more than one instalment as long as the total variation in quantity
does not exceed the limit of 30% of ordered quantity.

including control equipment) for DETC / SPART, SPIC/ DEMU of 700HP and above. Supporting
documents in this regard should be submitted along with the offer. Suppliers of Electrics should
quote with engine of proven make and vice-versa. Firm should submit detailed technical proposal
along with documents indicating tie-up for balance items for which firm itself is not an OEM.
Definition of Proven make: (i). Supply of minimum 10 sets of Traction electrics (Traction Motor,
Alternator, Rectifier, Driver Desk including control equipment) in previous 5 years shall be
considered as proven make. (ii). Supply of minimum 10 sets of Traction engine in previous 5
years shall be considered as proven make. II. For developmental order: 1. OEMs/Authorised
dealers of Traction Engine stipulated for bulk order / equivalent traction Engine (Either on Board or
Underslung version) OR Traction Alternator OR Traction Motor OR Rectifier OR Control
equipment including Driver's desk for any type of Railway Rolling Stock in the IR are eligible.
Supporting documents for supply performance in this regard should be submitted along with the
offer. 2. Authorised dealers should submit tender specific authorisation along with the bid, without
which the offer shall be summarily rejected. 3. Firm should submit the list of M&P facilities and
QAP in support of above equipment, without which the offer shall be rejected. 4. Firm should
submit detailed technical proposal along with documents indicating tie-up for balance items for
which firm itself is not an OEM. NOTE- For Dev. Order, prototype clearance shall be done by
PLW/Patiala or ICF/Chennai.

2 In case the offer is submitted by authorised dealer of OEM, the Authorised dealer should submit No No Not Allowed

summarily rejected. They are also required to furnish the requisite EMD along with offer (unless

6 FOR: In case of road/Rail delivery, the date of delivery at destination [consignee's end] shall only be No No Not Allowed
treated as delivery date irrespective of F.O.R./ F.O.T. condition mentioned elsewhere in the contract
/ tender. Firm must quote FREE delivery at destination rates, clearly indicating transport charges.
7 MARKING : Manufacturer to mark his name and date of manufacture as per drawing, wherever No No Not Allowed
indicated, or at a location where it may not get obliterated in service on the item being supplied by
them against the purchase order. Supplies received without this are liable to be rejected by
consignee.

8 All the bidders/tenderers should ensure that they are GST compliant and their quoted tax structure/ No Yes Allowed
rates are as per GST Law. Successful tenderer should submit an undertaking that he will pay GST (Optional)
collected from Railway within due date and upload the payment details in GSTIN to enable Railway
(purchaser) to obtain input tax credit. In case the successful tenderer is not liable to be registered
under CGST/IGST/UTGST/SGST Act, The railway shall deduct the applicable GST from his/their
bills under reverse charge mechanism (RCM) and deposit the same to the concerned tax authority.
Bidders are instructed to quote correct HSN No. and corresponding GST rate.
9 COLLECTION BACK SCHEME FOR PACKING WASTE UNDER SWM: COLLECTION OF NON- No No Not Allowed
BIODEGRADABLE SOLID WASTE AFTER SUCCESSFUL DELIVERY OF THE
PRODUCT/MATERIAL FROM CONSIGNEE PLACE WILL BE ARRANGED BY THE SUPPLIER.
10 Warranty/Guarantee: As per Revised IRS terms and conditions of contract or Specification No No Not Allowed
whichever is higher.
11 Cartel Clause : As per clause 2.0 of General Conditions of the Tender contained in Instructions to No No Not Allowed

12 Make in India policy : This tender is issued as per public procurement policy 2017 or latest issued by No No Not Allowed
GOI. Consideration of offers and classification of firms under Make in India policy will be done
accordingly.
13 1. As per Latest guidelines of The Ministry of MSME, Govt of India, All benefits shall be extended to No Yes Allowed
MSE if they are having UDYAM Registration certificate. Please submit the Udyam certificate along (Optional)
with offer otherwise offer will not be considered for any benefit applicable to MSE firms. UAM
/NSIC/DIC or any other documents are not valid for consideration for benefit to MSE. Please ensure
to submit Udyam Certificate alongwith offer. 2. Please submit complete Udyam certificate indicating
social status of the MSE. 3. MSE benefit will not be given to the traders/dealers. 4. Medium scale
enterprise shall clearly indicate the date of upgradation to Medium scale from Micro or small
enterprise otherwise they will not be considered benefit under MSE scheme.
14 Compliance of Restrictions under Rule 144 (xi) of GFR 2017: Restrictions on procurement from a No No Allowed
bidder of a country which shares a land border with India I. Any bidder from a country which shares (Mandatory)
a land border with India will be eligible to bid in this tender only if the bidder is registered with the
Competent Authority. II. "Bidder" (Seller / Service Provider) means any person or firm or company,
including any member of a consortium or joint venture (that is an association of several persons, or
firms or companies), every artificial juridical person not falling in any of the descriptions of bidders
stated herein before, including any agency branch or office controlled by such person,participating in
a procurement process. III. "Bidder from a country which shares a land border with India" for the
purpose of this Order means: - A An entity incorporated, established, or registered in such a country;
or B. A subsidiary of an entity incorporated, established, or registered in such a country; or C. An
entity substantially controlled through entities incorporated, established, or registered in such a
country; or D. An entity whose beneficial owner is situated in such a country; or E. An Indian (or
other) agent of such an entity; or F. A natural person who is a citizen of such a country; or G. A
consortium or joint venture where any member of the consortium or joint venture falls under any of
the above IV. The beneficial owner for the purpose of (iii) above will be as under: 1. In case of a
company or Limited Liability Partnership, the beneficial owner is the natural person(s), who, whether
acting alone or together, or through one or more juridical person, has a controlling ownership interest
or who exercises control through other means. Explanation%u2014 a. "Controlling ownership
interest" means ownership of or entitlement to more than twenty-five per cent. of shares or capital or
profits of the company; b. "Control" shall include the right to appoint majority of the directors or to
control the management or policy decisions including by virtue of their shareholding or management
rights or shareholders agreements or voting agreements; 2. In case of a partnership firm, the
beneficial owner is the natural person(s) who, whether acting alone or together, or through one or
more juridical person, has ownership of entitlement to more than fifteen percent of capital or profits of
the partnership; 3. In case of an unincorporated association or body of individuals, the beneficial
owner is the natural person(s), who, whether acting alone or together, or through one or more
juridical person, has ownership of or entitlement to more than fifteen percent of the property or capital
or profits of such association or body of individuals; 4.Where no natural person is identified under (1)
or (2) or (3) above, the beneficial owner is the relevant natural person who holds the position of
senior managing official;

15 5. In case of a trust, the identification of beneficial owner(s) shall include identification of the author of No No Allowed
