Dear Landowner,

Letter of Intent (“LOI”) Non-Binding to purchase the schedule property

As discussed, we are willing to purchase the lands bearing Sy. Nos.36, 37, 38/3, and 38/5
and 89, totally measuring 8 Acres 30 Guntas situated at Thirumalashettihalli Village
(Soukya Road), Anugondanahalli Hobli, Hoskote Taluk, Bangalore Rural District, more
particularly described in the Schedule Property hereunder on the following terms and
conditions:

Limited (herein after referred to as"CG") or its
nominees and CG has agreed to purchase the
Schedule Property.

4. NAME AND ADDRESS OF CASA GRANDE GARDEN CITY BUILDERS
THE PURCHASER PRIVATE LIMITED, a company incorporated
under the Companies Act, 2013, with its
corporate identification number
U45205KA2015PTC082415 and having its
registered office at Salma BIZ House, No.34/1,
Third Floor,T-1&T-2 Meanee Avenue Road, Near
Ulsoor Lake, Bangalore-560042., Represented by
Authorised Signatory G.Sethupathy.
5. TRANSACTION TYPE OUTRIGHT-DEFFERED
6. TRANSACTION [a.] Signing of this LOI on ___________.15-07-
DOCUMENTS AND 2024
PAYMENT SCHEDULE a.[b.] The consideration agreed for sale of the
Schedule Property is Rs.13,72,00,000/-
(Rupees Thirteen Crores Seventy Two Lakhs
Only) Per Acre.
b.[c.] Preliminary Due Diligence to be completed
within 45 days from the date of this LOI
subject to the Landowner furnishing all the
necessary legal documents on time to enable
CG for completing legal and liaison due
diligence in respect of the schedule property.
[d.] On signing of this letter of intent that the
Purchaser shall effect Paper publication at cost
of CG and erect Notice board at the site
towards part of due diligence.
[e.] On satisfaction of Legal and Liaison Due
Diligence by the Purchasers’ Legal Panel, a
sum of Rs.10,00,00,000/- (Rupees Ten Crore
Only) as advance sale consideration for
Schedule Property will be paid at the time of
signing and registering the Sale Agreement
only if any advance is necessary to the
Landowner or else we shall enter directly into
sale deed after CLU is done. and registering
Powers for approvals of the Schedule

property.
c.[f.] The balance Sale consideration shall be paid
on: i. Getting the Change of Land Use (CLU)
ii. Betterment charges
iii. Khata
of the Schedule Property, which shall be
within period of _______ MONTHS the date
of Sale Agreement.
7. OBLIGATIONS OF THE a. The Landowner shall get Change of Land Use
LANDOWNER (CLU)
[b.] The Landowner shall pay the Betterment
charges and obtain the Khata in his name
[c.] The Landowner has agreed to pay the
outstanding up-to-date property taxes if any in
respect of the Schedule Property and furnish
the copies of the same to the Purchaser.
b.[d.] In the presence of Landowner, CG will do
Government survey and digital survey, as per
the landowner’s instructions of boundary
markings.
c.[e.] The Landowner represent that there are no
pending litigation on the Schedule Property. If
any suits, legal proceedings or claims arises
against the Schedule Property that may affect in
any way the Landowner’s title of the Schedule
Property, the same will be resolved by
Landowner and there will be no impediment
relating to dispose of the Schedule Property
under any law, order, decree or contract or
arbitration award.
d.[f.] No notice from the Government or any local
authority, local body, BMRDA, KARNATAKA
HOUSING BOARD (KHB), NHAI, SHAI, STTR,
Local Planning Authority or under any
legislative enactment, Government ordinances,
order or notification or any erstwhile authority
that was in existence (including any notice for

acquisition or requisition of the Schedule
Property or any part thereof) has been received
by or served upon the Landowners or any
person intended or any predecessors-in-title in
the Schedule Property.
e.[g.] That there are no easements, quasi-
easements, rights, exceptions or other similar
matters, whether or not apparent on inspections
or disclosed in any of the documents pertaining
to the Schedule Property.
f.[h.] Further the Landowner confirms and
declares that there are no agreement or MOU or
any kind of registered and unregistered or any
encumbrances in respect of the Schedule
property.
8. BINDING TERMS ON a. The sale consideration for the Schedule
PARTIES Property is agreed for the available least area
after the survey of the property.

b. CG shall pay the sale consideration to the


Landowner for an extent computed on the
basis of the below mentioned in any of the
following:

i. Extent as per sale deed


ii. Extent as per RTC,
iii. Extent as per physical measurement of the
Schedule Property on survey of property
iv. Any increase and decrease in extent of
land shall be dealt at the relevant point of
time.

c. It is agreed between the parties that the Sale


deed shall be executed within 30 days from
the date of CLU.

d. The Landowner undertakes not to deal with the

Schedule Property in any mode with any third
parties or create any manner of lien, charge
and/or mortgage over the Schedule Property,
without the concurrence and consent of CG
during the existence of this LOI.
9. JOINDER OF NECESSARY The Land Owner shall ensure that he will get all
PARTIES necessary required parties for execution of the
sale deed(s) in favour of the Purchaser.
10. ASSIGNMENT Neither Party shall be entitled to assign their
rights under this LOI in favour of any other party.
11. AMENDMENTS No amendment, modification, replacement or
cancellation of any provision of this LOI will be
valid unless the same is in writing and is signed by
the Parties.
12. STAMP DUTY AND The stamp duty and registration fees and other
REGISTRATION FEE charges towards registration of sale deed(s) shall
be borne solely by CG or its nominee(s).
13. Confidentiality Both parties agree to keep the terms and existence
of this LOI confidential and not to disclose any
information to third parties, except as required by
law or necessary to perform the terms of this LOI.
14. Non-Binding Nature Notwithstanding that this Letter of Intent contains
many of the essential points regarding the
transactions described herein, this is not intended to
be a legally enforceable agreement and no cause of
action shall arise in respect of the signing hereof.
15. Other This letter of intent will automatically terminate 45
days from the date of acceptance if a definitive Sale
Agreement has not been executed by both parties,
unless mutually extended in writing by both parties.

Both parties acknowledge and agree that this Letter


of Intent shall be superseded by the Sale Agreement.
Until such time as the Sale Agreement is executed,
both the parties agree to proceed in accordance with
the terms, conditions, and provisions outlined in this
Letter of Intent. If the Sale Agreement is not fully
executed within the Contract Negotiation Period,
this Letter of Intent shall expire, be of no further
force and effect, and neither Buyer nor Seller shall

have any further rights or duties hereunder. In the
event this Letter of Intent is terminated and the Sale
Agreement is not executed, each of Buyer and Seller
agree to return promptly to the applicable party all
documentation provided pursuant to this Letter of
Intent.

SCHEDULE PROPERTY

All that piece and parcel of Immovable Property bearing

(1) Survey No.36 measuring 3 Acres 01 Guntas,


(2) Survey No.37 measuring 4 Acres 14 Guntas,
[(3)] Survey No.38/3 measuring 12 ½ Guntas and
(3)[(4)] Survey No.38/5 measuring 14 ½ Guntas,
(4)[(5)] Survey No.89 measuring 38Guntas.

Totally measuring 8 Acres 30 Guntas all situated in Thirumalashettihalli Village,


Anugondanahalli Hobli, Hoskote Taluk, Bangalore Rural District.

Kindly acknowledge receipt of this letter by signing a duplicate copy (enclosed), which
may be returned to us.

Acknowledgement:

We have agreed and understood the contents of this Letter of Intent and hereby agree to
the same. The parties will enter into a legally binding agreement only CLU is done,
however until then this LOI shall not be treated as any legal document and is not binding
legally on both the parties respectively.
