MEMORANDUM OF AGREEMENT with

TRANSFER AND WAIVER OF RIGHTS

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement with Transfer and Waiver of Rights is

entered into this _________________ in Bacolod City, Philippines by and
between:

SPS. ROGELIO G. NEQUIA and LILIBETH G. NEQUIA, of legal age,

Filipino, married to each other, and residents of Mountainview Subdivision,
Bacolod City, Philippines, hereinafter referred to as TRANSFERORS;

-and-

KAREN MAE P. YEMA, of legal age, Filipino, single, and a resident of

Purok Fatima 1, Barangay Road Sum-ag, Bacolod City Philippines, hereinafter
referred to as TRANSFEREE;

-witnesseth that-

WHEREAS, the TRANSFERORS are the present occupant and has lawful
rights over a 110 SQUARE METERS (110 sq.m) parcel of land located at Purok
Fatima 1, Barangay Road Sum-ag, Bacolod City, Philippines including all existing
buildings/improvements thereon as a result of a donation made by the deceased
Mr. Steve Guanzon to them;

WHEREAS, the TRANSFERORS are no longer interested in the said

property and have now decided to relinquish their rights thereto in favor of the
TRANSFEREE;

WHEREAS, for an in consideration of the sum of THIRTY THOUSAND

PESOS (P30,000.00) paid by the Transferee, the Transferors, including their heirs
and assigns, are TRANSFERRING AND WAIVING THEIR RIGHTS, TITLE
AND INTEREST OVER THE SAID PARCEL OF LAND including all existing
building/improvements thereon in favor of the Transferee;

WHEREAS, the Transferor affirms that this transfer and waiver of rights is
not made with intent to deceive any persons, and is made in good faith;

WHEREAS, the Transferee accepts and receives the transfer of rights to the
property by the Transferor;

NOW, THEREFORE, for and in consideration of the above whereases, the

parties hereby agree as follows:

1. Upon payment and signing of this agreement, the Transferors TRANSFER

AND VOLUNTARILY CONVEY UNTO THE SAID TRANSFEREE, their
heirs and assigns all their rights and interests over the above-mentioned
parcel of land including all existing buildings/improvements thereon, and
forfeits any claim whatsoever after the signing of this agreement.

2. The transferors warrant the peaceful possession of the transferee and that
there are no existing claimants or occupants thereof, and the same is free
from all liens and encumbrances.

3. The Transferors further warrant to defend the rights of the Transferee from
claims from other persons.

4. This Memorandum of Agreement with Transfer and Waiver of Rights is

subject to all the warranties provided for by law for the protection of the
transferees.

5. This Memorandum of Agreement with Transfer and Waiver of Rights is

binding upon the party’s heirs, executors, administrators and assigns and
other third persons who may lay claim over the property.
