ABSOLUTE SALE DEED


THIS DEED OF ABSOLUTE SALE is made and executed on this 16th
Day of July Two Thousand and Twenty Four (Date:16.07.2024) at
BENGALURU.

BETWEEN:-

Aged about 70 years,
R/at No. 8,Kashi Vishwanath Layout,
3rd Cross, K.R. Puram,
Bengauru East Taluk, BENGALURU-560 036.

Hereinafter referred to as the “VENDOR” (which expression shall


unless repugnant to the context or meaning thereof is deemed to
include themselves, her legal heirs, legal representatives, executors,
successors, administrators, nominees and assignees, etc.,) of the ONE
PART:

Hereinafter referred to as thePURCHASER(which expression shall
unless repugnant to the context or meaning thereof is deemed to
include themselves,his legal heirs,legal representatives,executors,

successors,administrators,nominees and assignees)of the OTHER


PART:

PREAMBLE

1. WHEREAS the Vendor is the absolute owner of the immovable


property bearing portion of Eastern portion of Site No.1, Katha
No.104/5/111/1, Situated at: Krishnarajapuram Village,
Krishnarajapuram Hobli, Bengaluru East Taluk, Bengaluru-
560036, Now under the limits of BBMP, War No.52, and
measuring EAST TO WEST 30 FEET and NORTH TO SOUTH 40
FEET, Together with Ground floor and 1st Floor, Two Shops and
single Bed Room in Ground Floor and Two bed room House and
Single Bed Room House in First Floor, which is more fully
described in the schedule hereunder and hereinafter referred to
as the schedule “A” property.

2. Whereas the Vendor is selling the Schedule “C” Property for


discharging her personal loans and also for the legal necessities
of her family and old age exepenses. The Vendor has absolute
title, and interest to sell herself acquired Schedule Property as
absolute Owner to the Purchaser.

3. WHEREAS, the vendor has paid up to date taxes to the


concerned authorities. The Khata and other relevant documents
pertaining to the schedule property have been transferred in the
name of the vendor and ever since the date of purchase the
vendor is in peaceful possession and enjoyment the schedule
property and there are no Encumbrances affecting the Schedule
Property and the Vendor have katha certificate, Katha extract
and paid up to date tax.

RECITAL

4. WHEREAS, the Vendor had acquired schedule “A” Property


from from her Vendors under a valid registered sale deed vide
REG No.487/1995-96, dated:19.06.1995, registered in the office
of Sub-Registrar, K.R.Puram, Bengaluru for valuable sale
consideration.

5. WHEREAS, the Vendor, after the purchase schedule property


from her VENDOR and she in turn has approached the concerned
authorities and got transferred the katha in her name and she
has paid up to date taxes to the concerned authority till today
and in pursuant to the sale deeds dated: 19.06.1995 and all the
records effected in the name of the Vendor and as such she
purchased the schedule property and perfected the title in her
name and further she is in exclusive lawful possession and
enjoyment of the schedule property as its absolute owner
consisting Ground floor and 1st Floor, Two Shops and single Bed
Room in Ground Floor and Two bed room House and Single Bed
Room House in First Floor.

6. WHEREAS, The Vendor is the lawful owner in peaceful


possession for her Legal necessities has proposed to Convey, the
Schedule “C” Property in favor of the Purchaser the Vendor has
now offered to absolutely sell to the Purchaser the Schedule
Property, and the Purchaser had agreed to purchase the
Schedule Property for a total sale consideration of
Rs.22,00,000/- (Rupees Twenty Two Lakhs Only) and
whereas the Purchaser herein has agreed and come forward
to buy the schedule property for the aforesaid sale
consideration amount. Hence this Deed of absolute sale.

NOW THIS DEED OF ABSOLUTE SALE WITNESSETH


AS FOLLOWS:

1. The Vendor hereby agree and undertake to procure and convey


the Schedule “C” Property in favour of the Purchaser herein for
total sale consideration Rs.22,00,000/- (Rupees Twenty Two
Lakhs Only) the Purchaser has paid full sale consideration to
the vendor in the following manner.
a) a sum of Rs.7,00,000/- (Rupees Seven Lakhs Only) as paid
by the Purchaser to the VENDOR by way of Cheque Bearing
No.227918, Dated:15.07.2024, Drawn on State Bank of India old
Madras Road Branch, K.R.Puram, Bengaluru, same is
acknowledge and accepted by the Vendor.

b) a sum of Rs.7,00,000/- (Rupees Seven Lakhs Only) as paid


by the Purchaser to the VENDOR by way of Cheque Bearing
No.227919, Dated:15.07.2024, Drawn on State Bank of India old
Madras Road Branch, K.R.Puram, Bengaluru, same is
acknowledge and accepted by the Vendor.

c) . a sum of Rs.6,00,000/- (Rupees Six Lakhs Only) as paid


by the Purchaser to the VENDOR by way of Cheque Bearing
No.227920, Dated:15.07.2024, Drawn on State Bank of India old
Madras Road Branch, K.R.Puram, Bengaluru, same is
acknowledge and accepted by the Vendor.

d) . a sum of Rs.2,00,000/- (Rupees Two Lakhs Only) as paid


by the Purchaser to the VENDOR by way cash before the witness
and same is acknowledge and accepted by the Vendor.

Thus the Vendor acknowledges for having received the full sale
consideration amount of Rs.22,00,000/- (Rupees Twenty
Two Lakhs Only) in full satisfaction and full sale consideration
and the vendor hereby sells, transfer all the right, title and
interest in the said property and set over the possession of the

Schedule “C” property to the purchaser as a absolute owner


from here on and forever.

2. The Vendor further assure and covenant with the purchaser that
the vendor has neither sold nor alienated the schedule “c”
property to any other person and vendor has perfect right title,
interest and vendor is in lawful possession and enjoyment over
the schedule property.
3. The vendor thus having received the full sale consideration, the
vendor through this sale deed sell, convey, transfer, assign and
grant by way of absolute sale, free from all types of charges and
encumbrances, with all estate rights, title, interest, claim and
demand, easementary rights, paths, ways, water sources,
liberties etc., of the vendor in to or upon the same TO HAVE AND
TO HOLD AND TO ENJOY the same UNTO and to the use of the
purchaser absolute and forever, without any let or hindrance
from the vendor
4. The purchaser shall hereinafter and at all times peacefully and
quietly hold, own, possess and enjoy the schedule’C” property
without any let or hindrance, interruption or disturbance
whatsoever from or by the vendor or any person or person
claiming any right whatsoever. The Vendor is desirous to the
purchaser the B schedule property givenup to the purchaser
and the B Schedule Property has been retained by the Vendor
till her death and after death, the Purchaser has right to entitle
the “B” Schedule property as per will.

5. The vendor confirms that schedule property is free from lien,


charges, agreements, court attachments, litigation’s,
minor/major claims, maintenance claims acquisition proceedings,

mortgages, defect in title, women’s right etc., and in future if


any defect of title arises the vendor will set right the same to the
entire satisfaction of the purchaser at vendor own cost and risk
and hereby undertakes to indemnify the purchaser, the actual
loss based on the then existing market price of the schedule
property including any improvements made thereon by the
purchaser pursuant to this sale deed.

6. To save the purchaser harmless the vendor hereby covenants to


indemnify the purchaser from and against all encumbrances,
losses, damages, costs, charges, equities etc., which the
purchaser may incur, sustain, legally compelled to pay in
consequences of any claim put forward by any person over the
schedule property or in the event of breach of covenants by the
vendor or for the reasons of any arrears of taxes or any
encumbrances or defect in title.

7. The vendor has delivered possession and all the originals/copies


of the documents today to the purchaser from vendor custody
with respect to the schedule property and the vendor further
hereby confirms to have delivered vacant and peaceful
possession of the schedule property to the purchaser.

8. The vendor further covenants that the vendor shall at all times at
the request of the purchaser do or execute or cause to be done
executed all such lawful acts, deeds and things whatsoever for
further and more perfectly conveying and assuring the schedule
property and every part thereof in a manner aforesaid according
to true intent and meaning of this deed.

9. The vendor hereby records her irrevocable consent to transfer


the Khata, and other records/documents of the schedule property
in favour of the purchaser and the purchaser shall pay all future
taxes to the concerned authority.

10. The Vendor agrees and undertakes to execute any


other deed or document in favour of the Purchaser herein
for conveying effective and better title in relation to the
schedule property in favour of the Purchaser herein.

11. The Vendor hereby declare that neither she nor any
persons claiming under her, shall not have any manner or right,
title, claim, ownership whatsoever over the schedule property
from this day onwards and the Purchaser can HAVE, HOLD,
ENJOY, possess the same as absolute owner thereof forever.

12. The Vendor agrees to keep the Purchaser fully indemnified


and harmless against any loss or liability cost or claim, action or
proceedings that may arise against the Purchaser on account of
any defect in or want of title of Vendor or on account of any third
party claims only to the value of the Schedule Property.

13. The vendor assures the purchaser that the schedule


property is not subject matter of grants in favour of the deprived
class and schedule property is not the subject matter of any
acquisition proceedings by the BDA, KHB, KIADB, any housing
societies or any other state or Central Government bodies etc.,

14. The vendor hereby declares that the schedule property is


self acquired property of the vendor and is free from all types of
encumbrances. Neither the vendor nor any persons claiming
under vendor shall have any manner of right, title, claim,

ownership whatsoever over the schedule property. From this day


onwards the purchaser shall have, hold, enjoy, and possess the
same as absolute owner thereof forever.

15. The vendor assures and covenant with the purchaser that
the purchaser shall be entitled to receive, use and enjoy all the
available resources like water etc. and the purchaser can put up
any construction on the schedule property and the purchaser
shall also enjoy the schedule property, and hereinafter the
purchasers shall be the true and absolute owner of the schedule
property.

16. The stamp duty and registration expenses are borne by


the PURCHASER herein.

17. The Market Value of the Property is Rs.20,00,000/-


(Rupees Twenty Lakhs Only)

SCHEDULE ‘A’ PROPERTY


All that part and parcel of property Eastern portion of Site No.1,
Katha No.104/5/111/1, Situated at: Krishnarajapuram Village,
Krishnarajapuram Hobli, Bengaluru East Taluk, Bengaluru-560036,
Now under the limits of BBMP, War No.52, and measuring EAST TO
WEST 30 FEET and NORTH TO SOUTH 40 FEET, Together with Ground
floor and 1st Floor, Two Shops and single Bed Room in Ground Floor
and Two bed room House and Single Bed Room House in First Floor,
Measuring :

East to West :: 30 Feet


North to South :: 40 Feet
Totally in all measuring 1200 Sq. ft., and property being bounded on:

House in Ground floor and Two bed Room House in First Floor and
property being bounded on:

East Taluk, Bengaluru, Now under the limits of BBMP, Bengaluru,
Measuring :

Totally in all measuring 600 Sq. ft. together with Two shops in Ground
floor, measuring 450 Sq.Ft. and Single bed room House in First Floor,
bounded on:

East by :: 20 feet Road,

West by :: K.V.Muniyappa Property,

North by :: Remaining Shanthamma’ property of Same Site


South by :: 20 feet Road.
IN WITNESS WHEREOF both the VENDOR and the PURCHASER have
affixed their signatures to this DEED OF ABSOLUTE SALE on the day,
