Sub: Invitation for Quote for the Annual Maintenance Contract for CNC Milling and Turning.
Indian Institute of Technology Jammu invites Quote from M/s S&T Engineers (P) Ltd. It
should reach with email reply to latest by 21/09/2022. The Important information related to
tender are as follows:
1. Validity: The validity of the offer shall remain valid for 90 days from the date of
submission of the offer.
2. Payment Terms: Payment would be made to the vendor on yearly basis at the start of
the AMC year for the defined scope of work on submission of technically and
commercially clear bill. Any statutory deduction (if any) will be deducted from the
payment.
3. Performance Security: The supplier shall require to submit the performance security of
100% of the value of the contract per year in the form of irrevocable bank guarantee
issued by any commercial bank within 21 days from the date of receipt of the purchase
order/LC and should be kept valid for a period of 03 years and 02 Months.
5. Liquidated Damages (L.D): LD clause shall be applicable as 0.50% (1/2 Percent) per week
of the Contract Value. The LD shall be deducted if the breakdown lingers beyond
reasonable period. The maximum amount of the LD shall be 10% (Ten Percent) of the
Contract Value.
6. Cancellation: IIT Jammu reserves the right to accept or reject or cancel any or all
enquiries or quotations at any stage without assigning any reason thereof.

ANNUAL MAINTENANCE CONTRACT
1. SCOPE OF AGREEMENT:
The contract shall be in force for the period from **/**/2022 to **/**/2022 and shall cover all those
items as specified in the Annexure to this agreement. That the prices as specified in this Agreement shall
not be subject to any escalation. Taxes as applicable alone would bereimbursed as shown in the invoice.
2. Scope of Work
Breakdown call Service engineer will have to attend the breakdown Upto 4 in a year
response calls on priority basis
3.1 AMC is for a period of three years from the date of placement of supply order.
3.2 AMC is applicable to the maintenance and repair of all control units, electronics, mechanical,
electricaland pneumatic systems of the machine.
3.3 There will be at least one visit per half year by Service Engineer of the firm for preventive
maintenanceof the machine.
3.4 In case of occurrence of Break-down in the machine, it will be attended within 03 days by
the firm`s engineer from the date of receipt of intimation from IIT Jammu (except Govt.
holidays/ week off days).
3.5 The firm`s Engineer will make first visit within one month from the date of supply order.
3.6 The Service Engineer deputed for service work will have to follow IIT Jammu Security rules.
3.7 All defective parts removed from machine will be property of IIT Jammu.
3.8 Parts required for repair and replacement will be arranged by IIT Jammu.
3.9 If service is not found satisfactory The Director IIT Jammu can cancel the Contract.
3.10 Boarding and lodging will be at vendors end.
3.11 This is a service contract. All consumables like lubricants, Kerosene oil, cotton waste etc. will
be supplied free of cost by us during maintenance period inside our premises. It does not
contain any materialsupply from the party.
3.12 Crane facilities along with lifting tackles, trolleys, truck etc. will be provided if available, free of
charges while working inside IIT Jammu premises only.
4.1 Payment would be made to the vendor on yearly basis at the start of the AMC year for the

deduction (if any) will be deducted from the payment.
4.2 LD clause shall be applicable as 0.50% (1/2 Percent) per week of the Contract Value. The LD
shall be deducted if the breakdown lingers beyond reasonable period. The maximum amount of
the LD shallbe 10% (Ten Percent) of the Contract Value.
In case of any damage to any property of IIT Jammu, than the same shall be either recovered from
theinvoice or the supplier shall get rectified at no extra cost to the institute.
5. Performance Security: The supplier shall require to submit the performance security of 100% of the
value of the contract per year in the form of irrevocable bank guarantee issued by any commercial
bank within 21 days from the date of receipt of the purchase order/LC and should be kept valid for
a period of 03 years and 02 Months.
Either party may terminate the agreement prior to expiry of contract period by giving three
months written notice. Without prejudice to any other provision contained within these Terms and
Conditions or of any Agreement the Company may terminate the Agreement by 90 days’ notice in
writing in any of the following events:
(i) The Vendor commits a material breach of the Agreement which is incapable of
remedy; or
(ii) The Vendor commits a material breach which is capable of remedy but which the
Vendor fails to remedy within 30 days of written notice by the Company specifying the
event ofdefault and requiring its remedy.
(iii) The Company and the Vendor may by notice in writing to the other terminate the
Agreement if the other shall have a receiver or liquidator appointed, shall pass a
resolution for winding up (otherwise than for the purpose of amalgamation or
reconstruction), if a Court shall make an order to that effect, if the other party shall
enter into composition or arrangement with its creditor(s) or shall become insolvent.
Such an event shall be deemed to be a material breach incapable
of remedy. Any termination of the Agreement howsoever caused shall not affect any
accrued rights or liabilities of either the Company or the vendor arising out of the Agreement.
