MEMORANDUM OF UNDERSTANDING (MOU)

This Memorandum of Understanding (MOU) is made and entered into on 6th


September 2023 by and between PPTS (Professional Path Technical Services)
(hereinafter referred to as "PPTS"), and Auriga Consulting S.p.A. (hereinafter
referred to as "Auriga").

WHEREAS, PPTS and Auriga desire to establish an exclusive business partnership


for all opportunities in the Libyan market.

WHEREAS, the parties recognize that the collaboration will be mutually beneficial
and will lead to the achievement of their business objectives.

NOW, THEREFORE, the parties agree as follows:

1. Purpose: The purpose of this MOU is to establish an exclusive business


partnership between PPTS and Auriga for all opportunities in the Libyan market.
This partnership will allow both parties to leverage their respective expertise to
provide high-quality engineering and consulting services to clients in Libya.

2. Scope of Partnership: PPTS will be the on-ground entity responsible for leading
the contracts with end clients and providing logistics support, as well as a highly
skilled team of engineering and consulting professionals to support the business in
Libya. PPTS will also take care of the proposal management and coordination with
end clients after the sales phase. Auriga will be the specialist company responsible
for the core activities of engineering and consultancy.

3. Front Sales and Technical Sales Activities: PPTS will be responsible for all front
sales activities and technical sales activities in Libya. However, PPTS may require
Auriga's support for technical sales activities.

4. Exclusive Partnership: The parties agree that this partnership is exclusive and
neither party will engage in similar relationships with other third parties for the
duration of this MOU for all projects located in Libya.

5. Special Pricing: The parties agree to offer each other special pricing and rates for
all services provided under this MOU.

6. Authorization Letter: Auriga will provide PPTS with an authorization letter as a


business partner in the territory of Libya as needed for the registration process in
client databases and/or for bidding and tendering purposes.

7. Amendment: This MOU may be amended or modified at any time by mutual


agreement of the parties in writing.

8. Project/Service Contracts: The parties acknowledge that each project or service


will require a separate and dedicated contract or agreement. The terms and
conditions of each contract or agreement will be negotiated by the parties on a
case-by-case basis.

9. Term and Termination: This MOU will remain in effect for a period of three years,
unless terminated earlier by mutual agreement of the parties. Either party may
terminate this MOU without cause at any time upon sixty calendar days prior

written notice to the other party. In the event of termination, both parties will
cooperate to ensure a smooth transition of ongoing projects and activities.

10. Confidentiality: The parties agree to keep confidential all information that is
provided to them by the other party in connection with this MOU.

11. Governing Law: This MOU will be governed by the laws of the country in which
the services are provided, without regard to conflict of laws principles. Any disputes
arising from or related to this MOU will be resolved in accordance with the dispute
resolution procedures set forth in any project or service contract entered into
pursuant to this MOU.

12. Entire Agreement: This MOU constitutes the entire agreement between the
parties relating to the subject matter hereof and supersedes all prior or
contemporaneous oral or written communications and proposals between the
parties.

1. GENERAL

1.0 PURPOSE
The purpose of this manual is:
 To know and understand the policies and general procedures of PPTS and show its
customers how it ensures quality in the produced products.
 To guide the organizations personnel on the standard practices and operations.
 To ensure that the key personnel assigned to establish and maintain are adequately
qualified and appointed.
Together with this manual, the procedures, work instructions/manuals and forms state how
these policies are enacted, deployed and managed by PPTS.

1.2 SCOPE OF THE QMS


Provision of Construction, Engineering, Procurements, System Integration, Installation,
Maintenance, Surveys & Studies, Technical & Consultancy Services.

1.3 DISTRIBUTION
The Quality Manual is for the organizational circulation. It must not be copied or distributed
to other companies or persons without prior written consent of the MR/GM. This manual is
subject to document change control procedures stated herein and/or of the QMS.

1.4 AMENDMENTS
This quality manual is composed of several sections as shown in the table of contents.
Amendments to any of these sections and subsections shall be made in writing and submitted
to the MR for initial evaluation before it is changed. The GM shall after consideration give the
approval for change. The changes are then recorded in the DCR and document revision history
of this quality manual.

1.5 AUTHORIZATION
The GM has the ultimate authority to approve this Quality Manual and its quality policy.
The policies and procedures, written and/or referenced in this document are to be followed
in order to attain, maintain, improve and ensure the quality of products traded, supplied and
service provided by PPTS and subsequently, meet the customer requirements.

2. INTRODUCTION
PPTS was formed in the year 2020 as an independent private company, established to supply
industrial domains Clients with Construction, Maintenance, Engineering, Technical and
Procurement services, whilst observing internationally approved standards and techniques.
This is managed through experienced technical staff with related international approved
certificates and skills in executing their duties.

4. QUALITY MANAGEMENT SYSTEM

4.0 General Requirements


PPTS establishes, documents, implements and maintains a QMS and continually improves its
effectiveness in accordance with the requirements of ISO9001:2015 and total quality
management principles.
 Establish documented information, where required and/or necessary (e.g. process flow,
procedures, work instructions, etc.), as reference for the proper operation and
monitoring of processes.
 Implement necessary actions to achieve planned results (e.g. internal audit and
management review) and data analysis (e.g. corrective and preventive actions) for
continual improvement of the processes.
The QMS structure of activities shall consider QMS improvements, management review
output, customer needs, regulatory requirements related to the products and services and
other factors that affect the integrity of the QMS.
The MR shall ensure that actions to changes in QMS requirements are planned during the
management review meeting and implemented through application of corrective and/or
preventive actions on the identified gaps. The QMS requirements shall be established and
controlled according to the QMS documentation processes.
Where PPTS chooses to outsource any process (sub-contract) that affects project conformity
with requirements, company shall ensure control over such processes. The type and extent
of control that are applied to these outsourced processes shall be defined in the
procedures/work instructions.

4.1 Documentation Requirements


The QMS documentation includes the following:
 Documented statements of the Quality Policy and Quality Objectives
 A Quality Manual
 Documented procedures and records required by the ISO9001:2015 QMS standard
 Documents, including records determined by PPTS to be necessary to ensure effective
planning, implementing and control of its processes
 Quality records required by the ISO9001:2015 QMS standard

4.2.1 Document Hierarchy


The document structure consists of four levels as per described in the Control of Documents
Procedure.
Where applicable, if laws and/or other regulation(s) related to the products exist, such
reference shall be followed as per the document control procedure.

4.2.2 Quality Manual


This quality manual describes PPTS’s QMS statements in meeting the ISO9001:2015 standard
requirements that include the scope of the organization’s QMS and justification for any
exclusion, the policy statement and reference to procedures, and description of the
interaction between the processes of the QMS.

4.2.3 Control of Documents


The responsibilities and requirements for document control shall be defined in the Document
Control procedure. This procedure outlines the requirements for approval, re-approval,
identification, control of changes and its review, legibility, display of documents, control of
obsolete documents and control of external documents.
The master printouts of all documents shall be kept by the MR. The quality manual, quality plan,
quality policy, procedures, work instructions and other references are also maintained by the
MR and can be accessed by all employees.

4.2.4 Control of Records


Records are identified, collected and indexed by the function (or assigned by the MR) as
indicated in the documents. The responsibilities and requirements for record control shall be
defined in the Control of Records procedure that shall include filing, accessing, storage,
protection, retention and disposition of records.

For the purpose of administrating the Quality Management System, top management is
defined to include the GM and Departmental Managers.
PPTS’s top management provides evidence of its commitment to the development and
implementation of the QMS and continually improving its effectiveness by:
 Communicating to the organization the importance of meeting customer as well as
statutory and regulatory requirements
 Establishing Quality Policy and Objectives
 Conducting Management Reviews
 Ensuring the availability of resources as and when needed and depending upon the
budget of such resources

5.2 Customer Focus


PPTS’s top management ensures that customer needs and requirements are determined and
are met with the aim of enhancing customer satisfaction.
The management strives to identify current and future customer needs to meet requirements
and where possible, exceed customer expectations.
Top management ensures that the customer requirements are understood and met, by
complying with documented procedures. Customer requirements are determined, converted
into internal requirements and communicated to the appropriate personnel in the
organization.

5.4 Planning

5.4.1 Quality Objectives


The top management shall establish and review the quality objectives taking into
consideration the following:
 Current and future needs of the organization and market segment
 Result of data analysis (e.g. customer survey/feedback, etc.)
 Regulatory requirement(s) related to the product (if any)
 Customer satisfaction/dissatisfaction
 Result of internal and external audits
The quality objectives and targets shall be measurable and consistent with the quality policy.
The top management shall approve the quality objectives. The progress of quality objectives
shall be monitored by the MR/Department Heads and reviewed during the management
review meeting. The top management shall approve any changes to quality objectives.

5.4.2 Quality Management System Planning


The quality management system is designed to satisfy PPTS’ aims and objectives in attaining
and maintaining the desired quality standards.
GM shall ensure that :
a) The Planning of QMS is carried out in order to meet ISO 9001:2019 requirements as
well as the set quality objectives;
b) The integrity of the QMS is maintained when there are changes to the QMS.

5.5 Responsibility, Authority and Communication

5.5.1 Responsibility and Authority


PPTS’ top management has defined, documented and communicated the responsibilities and
authorities of all employees within the organization.

5.5.2 Management Representative


The management has appointed the Quality Department Head as the MR who, irrespective
of other responsibilities, has the responsibility and authority that includes:
 Ensuring that the processes needed for the QMS are established, implemented and
maintained,
 Reporting to top management on the performance of the QMS and any need for
improvement, and
 Ensuring the promotion of awareness of customer requirements throughout the
organization.
In the absence of the MR, the Planning Department Head shall act as the MR.

The MR shall communicate quality objectives, QMS plan as well as the fulfillment of objectives
throughout the organization. Other requirements shall be communicated throughout the
organization through the relevant Department Head.
Control shall be exercised to ensure that there will be no confusion or inadvertent use of
superseded information.

5.6 Management Review


The management shall implement regular review of the QMS. Management review shall be
conducted at least once in twelve months. The review shall include assessing opportunities
for improvement and the need for changes to the QMS. Records of such review shall be
maintained.

6. RESOURCE MANAGEMENT

6.1 Provision of Resources


The management shall identify and provide appropriate resources to implement and maintain
the QMS, continually improve its effectiveness, develop strategies to sustain and meet
existing customer requirements and to attract prospective customers.

6.2 Human Resources

6.2.1 General
Personnel required in the execution of processes/projects and services shall be available and
competent on the basis of appropriate education, training, skills and experience. Likewise, all
personnel shall be aware of the relevance and importance of their activities, including the
achievement of quality policy and objectives.

6.2.2 Competence, Awareness and Training


Training ensures the development and continuous education of the personnel for the needed
job skills, values and knowledge as well as attitude towards the assurance of quality work in
relation to their respective job assignments. HR Coordinator shall arrrange training to ensure
that personnel performing work affecting product/service conformity are adequately trained
and/or qualified. Trainings can be in the areas of quality, environment, safety & health,
technical, product related, soft skills, etc. Once training has been conducted, its effectiveness
shall be evaluated and records shall be maintained.

6.3 Infrastructure
The management shall identify, provide and maintain the infrastructure needed for ensuring
product(s) meet the necessary customer requirements in the following areas where
applicable:
Building, resources, machine manuals, reference materials, equipment & facility, supporting
services (such as transport, communication, information systems).

6.4 Work Environment


The management shall determine and manage the work environment needed to achieve
conformity to product/service requirements (both on-site and off-site). The management
shall look into the needs in the future where needed.

7. PRODUCT REALIZATION

7.1 Planning of Product Realization

The processes, resources, methods and records needed for product/service realization are
established and documented in the QMS procedures and shall be practiced consistently.
Project verification and validation plans shall be established where necessary for inspection
and testing, and for materials and components incorporated into the product.

7.2 Customer Related Processes


The management’s policy is to ensure that all customer requirements are adequately
understood, documented and thoroughly reviewed by competent personnel. The objective is
to gain a clear understanding of the product requirements, to consider whether these can be
met and agree to terms. These include:
 Requirements specified by the customer, including delivery and post-delivery activities.
 Where customers do not specify the requirements, it shall be clarified or brought up to
the customers attention.
 Product that need to comply with statutory and/or regulatory requirements applicable to
the product.
 Any additional requirements considered necessary by PPTS management.
All enquiries are reviewed to ensure the customer requirements are understood and that
PPTS can fulfill those requirements.
The management shall also maintain communication with the customers. Feedback from
customers shall be inputs for the organization to look into areas of improving product,
processes and support services in achieving customer satisfaction.
Any amendments related to customer requirements shall be reviewed.

7.3 Design & Development

PPTS has established a process to ensure that raw material, equipment, outsourced processes
and other necessary items are controlled. Supplier/Sub-Contractor selection, evaluation and
re-evaluation are done periodically and to ensure that the quality of the purchased
product/service is not compromised. This is also done to evaluate the performance of the

7.5 Production and Service Provision

7.5.1 Control of Production and Service Provision


PPTS shall plan and carry out production and service provision under controlled conditions
shall include, as applicable:

a) the availability of information that specified the characteristics of the product


b) the availability of work instructions
c) the use of suitable equipment
d) the availability and use of measuring and monitoring equipment
e) the implementation of monitoring and measurement, and
f) the implementation of product/service release, delivery and post-delivery activities

7.5.2 Validation of Processes for Production and Service Provision


PPTS shall validate any process(es) for project and service provision where the resulting
output cannot be verified by subsequent monitoring and measurement and, as a
consequence, deficiencies become apparent only after the product is in use or the service has
been delivered.
Validation shall demonstrate the ability of these projects and services to achieve planned
results.
PPTS has established arrangements for these processes including, as applicable,
a) Defined criteria for review and approval of these process
b) Approval of equipment and qualification of personnel
c) Use of specific methods and procedures
d) Requirements for records, and
e) revalidation

7.5.3 Identification and Traceability


PPTS shall identify the product by suitable identification throughout the product realization.
Identification of product/project status respective to monitoring and measurement,
traceability shall be maintained to identify the source of the activity. Where traceability is a
requirement, PPTS shall control the unique identification of the product and maintain records.

7.5.4 Customer Property


PPTS shall exercise care with customer property while it is under PPTS control or being used
by the organization. PPTS shall identify, verify, protect, safeguard and maintain customer
property provided or used (on-site or off-site). If any customer property is lost, damaged or
otherwise found to be unsuitable for use, it shall be reported to the customer and records
maintained.
Customer property under PPTS use includes customer specifications/drawings, any customer
tools/devices/equipment used during work carried out at site and customer site where work
is carried out.
Note: Customer property may include intellectual property (e.g. drawing and specification in
addition to any hardware or material)

Identification, handling, packaging, storage and protection of product shall be in a way to


prevent deterioration or damage. Product movement and stock condition shall be controlled.
Quality of finished product/project shall be protected after final inspection/commissioning
and/or test including delivery to destination/handing over.

8. MEASUREMENT, ANALYSIS AND IMPROVEMENT

8.1 General
PPTS has established a documented system to ensure activities are defined, planned,
implemented, monitored, measured and analyzed. These shall assist the management in
managing its QMS in ensuring the products and processes meet the necessary requirements
and areas are identified for continual improvement.

8.2 Monitoring and Measurement

8.2.1 Customer Satisfaction


Customer satisfaction and/or dissatisfaction will be monitored and analyzed through suitable
methods.

8.2.2 Internal Audit


PPTS shall conduct internal quality audits at least once in twelve months, to determine
whether the QMS:
 Conforms to planned arrangements, to the requirements of this the ISO9001:2008 QMS
requirements established by the organization, and
 Is effectively implemented and maintained.

8.2.3 Monitoring and Measurement of Processes


PPTS shall apply suitable methods for monitoring and, where applicable, measurement of the
QMS processes. This shall include internal audit and management review. These methods
shall demonstrate the ability of the processes to achieve planned results. When planned
results are not achieved, correction and corrective action shall be taken, as appropriate.

8.2.4 Monitoring and Measurement of Product


PPTS monitors and measures the characteristic of the product/project to verify that
product/project requirements have been met. This shall be carried out at appropriate stages
of the product/project realization process in accordance with planned arrangements.
Evidence of conformity with the acceptance criteria shall be maintained. Records shall

indicate the person(s) authorizing release/handing over of product/project after


commissioning.
The release of product and delivery of service to the customer shall not proceed until the
planned arrangements have been satisfactorily completed, unless otherwise approved by a
relevant authority and where applicable, by the customer.

8.3 Control of Nonconforming Product


PPTS shall ensure that product which does not conform to product requirements is identified
and controlled to prevent its unintended use or delivery. A documented procedure shall be
established to define the controls and related responsibilities and authorities for dealing with
nonconforming product.
Where applicable, the organization shall deal with nonconforming product by one or more of
the following ways:
a) by taking action to eliminate the detected nonconformity;
b) by authorizing its use, release or acceptance under concession by a relevant authority and,
where applicable, by the customer;
c) by taking action to preclude its original intended use or application;
d) by taking action appropriate to the effects, or potential effects, of the nonconformity when
nonconforming product/service is detected after delivery or use has started.

8.4 Analysis of Data


PPTS quality management system related data is recorded as indicated in Quality Records
Procedure and analyzed with the objectives below in mind and used to determine the
suitability, effectiveness and opportunities for improvement of the quality management
system. Statistical techniques are appropriately used in the analysis of data.

The types of data to be analyzed may be revised when the situation warrants.
The output of this analysis will be recommended for improvement (if necessary) to the
relevant processes. The MR/Dept. Heads will review these recommendations and devise a

8.5.1 Continual Improvement


PPTS shall continually improve the effectiveness of the QMS through the use of the quality
and environmental policy, objectives, audit results, analysis of data, corrective and preventive
action and management review.

8.5.2 Corrective Action


In order to avoid the recurrence of problems, appropriate corrective actions are taken.
Corrective actions are to be appropriated with the impact and effects of the nonconformities
encountered. These include:
a) The identification of non-conformities including customer complaints
b) The determination of causes of non-conformities
c) Assessing the need for actions to avoid recurrence
d) The implementation of determined corrective actions
e) Records of the results of action taken, and
f) Reviewing the effectiveness of corrective actions taken

8.5.3 Preventive Action


PPTS determines action to eliminate the causes of potential non-conformities in order to
prevent their occurrence. Preventive actions are to be appropriated to the impact and effects
of the potential problems.
The documented procedure is established to define requirements for:
a) Determining potential nonconformities and their causes
b) Evaluating the need for action to prevent occurrence of nonconformities
c) Determining and implementing action needed
d) Records of results of action taken, and
e) Reviewing the effectiveness of the preventive action taken
