MEMORANDUM OF UNDERSTANDING (MOU)
WHEREAS, the parties recognize that the collaboration will be mutually beneficial
and will lead to the achievement of their business objectives.
2. Scope of Partnership: PPTS will be the on-ground entity responsible for leading
the contracts with end clients and providing logistics support, as well as a highly
skilled team of engineering and consulting professionals to support the business in
Libya. PPTS will also take care of the proposal management and coordination with
end clients after the sales phase. Auriga will be the specialist company responsible
for the core activities of engineering and consultancy.

3. Front Sales and Technical Sales Activities: PPTS will be responsible for all front
sales activities and technical sales activities in Libya. However, PPTS may require
Auriga's support for technical sales activities.
4. Exclusive Partnership: The parties agree that this partnership is exclusive and
neither party will engage in similar relationships with other third parties for the
duration of this MOU for all projects located in Libya.
5. Special Pricing: The parties agree to offer each other special pricing and rates for
all services provided under this MOU.
9. Term and Termination: This MOU will remain in effect for a period of three years,
unless terminated earlier by mutual agreement of the parties. Either party may
terminate this MOU without cause at any time upon sixty calendar days prior

written notice to the other party. In the event of termination, both parties will
cooperate to ensure a smooth transition of ongoing projects and activities.
10. Confidentiality: The parties agree to keep confidential all information that is
provided to them by the other party in connection with this MOU.
11. Governing Law: This MOU will be governed by the laws of the country in which
the services are provided, without regard to conflict of laws principles. Any disputes
arising from or related to this MOU will be resolved in accordance with the dispute
resolution procedures set forth in any project or service contract entered into
pursuant to this MOU.
12. Entire Agreement: This MOU constitutes the entire agreement between the
parties relating to the subject matter hereof and supersedes all prior or
contemporaneous oral or written communications and proposals between the
parties.

1. GENERAL
1.0 PURPOSE
The purpose of this manual is:
To know and understand the policies and general procedures of PPTS and show its
customers how it ensures quality in the produced products.
To guide the organizations personnel on the standard practices and operations.
To ensure that the key personnel assigned to establish and maintain are adequately
qualified and appointed.
Together with this manual, the procedures, work instructions/manuals and forms state how
these policies are enacted, deployed and managed by PPTS.
1.3 DISTRIBUTION
The Quality Manual is for the organizational circulation. It must not be copied or distributed
to other companies or persons without prior written consent of the MR/GM. This manual is
subject to document change control procedures stated herein and/or of the QMS.
1.4 AMENDMENTS
This quality manual is composed of several sections as shown in the table of contents.
Amendments to any of these sections and subsections shall be made in writing and submitted
to the MR for initial evaluation before it is changed. The GM shall after consideration give the
approval for change. The changes are then recorded in the DCR and document revision history
of this quality manual.
1.5 AUTHORIZATION
The GM has the ultimate authority to approve this Quality Manual and its quality policy.
The policies and procedures, written and/or referenced in this document are to be followed
in order to attain, maintain, improve and ensure the quality of products traded, supplied and
service provided by PPTS and subsequently, meet the customer requirements.

2. INTRODUCTION
PPTS was formed in the year 2020 as an independent private company, established to supply
industrial domains Clients with Construction, Maintenance, Engineering, Technical and
Procurement services, whilst observing internationally approved standards and techniques.
This is managed through experienced technical staff with related international approved
certificates and skills in executing their duties.

The organization shall establish and maintain communication processes, both internally and
externally for the following:
The MR shall communicate quality objectives, QMS plan as well as the fulfillment of objectives
throughout the organization. Other requirements shall be communicated throughout the
organization through the relevant Department Head.
Control shall be exercised to ensure that there will be no confusion or inadvertent use of
superseded information.

6. RESOURCE MANAGEMENT
6.2.1 General
Personnel required in the execution of processes/projects and services shall be available and
competent on the basis of appropriate education, training, skills and experience. Likewise, all
personnel shall be aware of the relevance and importance of their activities, including the
achievement of quality policy and objectives.
6.3 Infrastructure
The management shall identify, provide and maintain the infrastructure needed for ensuring
product(s) meet the necessary customer requirements in the following areas where
applicable:
Building, resources, machine manuals, reference materials, equipment & facility, supporting
services (such as transport, communication, information systems).

The processes, resources, methods and records needed for product/service realization are
established and documented in the QMS procedures and shall be practiced consistently.
Project verification and validation plans shall be established where necessary for inspection
and testing, and for materials and components incorporated into the product.

7.4 Purchasing
PPTS has established a process to ensure that raw material, equipment, outsourced processes
and other necessary items are controlled. Supplier/Sub-Contractor selection, evaluation and
re-evaluation are done periodically and to ensure that the quality of the purchased
product/service is not compromised. This is also done to evaluate the performance of the
supplier/vendor. Product/ service shall be verified once it is delivered.

8.1 General
PPTS has established a documented system to ensure activities are defined, planned,
implemented, monitored, measured and analyzed. These shall assist the management in
managing its QMS in ensuring the products and processes meet the necessary requirements
and areas are identified for continual improvement.

The types of data to be analyzed may be revised when the situation warrants.
The output of this analysis will be recommended for improvement (if necessary) to the
relevant processes. The MR/Dept. Heads will review these recommendations and devise a
plan for corrective and preventive actions.

Since 2021, PPTS has operated of full compliance with integrated QMS, qualifying for ISO9001
Management system, OHSAS 18001 Health and Safety system, ISO 14000 Environment
Management System.
The past few months have made it difficult to be certified with ISO9001, given the lately occurred
security circumstances and concerns for any foreign entity to visit us.
However, nowadays we have resumed building up the system ,to be audited by RoyalCert, a 3rd
Party Germany auditing company, to review all operations, including Field locations, meet all
requirements then go with Certification process.
